1. ACCEPTANCE OF TERMS 

By accessing or using Ultimate Reviewer Series ("the Application," "the Service," "the App"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "you," "your") and XenonLabs ("Company," "we," "us," "our"). 

If you do not agree to these Terms, you must not access or use the Application.

2. DESCRIPTION OF SERVICE

Ultimate Reviewer Series is an artificial intelligence-powered educational application designed to assist in preparation for the Examinations in the Philippines. The Service provides:

• AI Chat Assistant (Mayari): Conversational AI study companion for exam preparation - 

• Build Your Confidence (BYC): Practice quiz system with multiple-choice AI-generated questions organized by subject domains 

• Flashcard Study System: Customizable flashcard decks with spaced repetition algorithm (SM-2) 

• Pomodoro Timer: Study session timer with productivity tracking 

• Progress Tracking: Performance analytics and study session history 

The Application operates on a freemium model with both free and premium subscription tiers.

3. ELIGIBILITY AND REGISTRATION

3.1 User Requirements 

You must be at least 13 years of age to use Ultimate Reviewer Series. If you are under 18 years of age, you must have parental or guardian consent to use the Service. By using the Service, you represent and warrant that you meet these age requirements.  

3.2 Account Registration 

To access the Application, you must create an account using Apple/Google Sign-In authentication, which provides:

• Full name

• Email address

• Profile information from your account

3.3 Multi-Device Access 

Your account may be used across a maximum of 3 devices. The Company reserves the right to limit the number of simultaneous active devices for security and abuse prevention purposes. If you wish to use your account on a new device after reaching the device limit, you must remove one of your previously registered devices through the Application settings. Attempting to exceed the device limit may result in temporary account suspension pending verification.

3.4 Account Sharing Prohibition 

Account sharing is strictly prohibited. Each account is intended for individual use only. You may NOT: 

• Share your account credentials with any other person 

• Allow others to access the Service using your account 

• Use another person's account to access the Service 

• Create multiple accounts to circumvent usage limitations 

Violation of this policy will result in immediate account suspension or permanent termination without refund. The Company employs monitoring systems to detect account sharing activities, including but not limited to unusual login patterns, simultaneous usage from different locations, and other suspicious behaviors.

4. SERVICE TIERS AND BILLING

4.1 Free Tier 

The free tier includes: 

• Full Access to Build Your Confidence quiz questions 

• Flashcards System

• Pomodoro timer

4.2 Premium Subscription 

Premium subscribers receive:

• All in Free

• Ads Free

• Review Session Mode

4.3 Pro Subscription 

Pro tier includes:

• All in Premium

• Unlimited Chat with Mayari AI Assistant with advanced tools

4.4 Subscription Options and Pricing

Premium subscriptions are available as auto-renewable subscriptions with the following options:

• Monthly Subscription: Automatically renews every month

• Annual Subscription: Automatically renews every year

Pricing is displayed in your local currency within the Application and in your App Store or Google Play account. Current pricing can be viewed at any time in the app's subscription settings.

4.5 Auto-Renewal Terms

Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date. You will be charged through your Apple App Store or Google Play Store account at confirmation of purchase.

To cancel auto-renewal:

• iOS: Settings → [Your Name] → Subscriptions → Ultimate Reviewer Series → Cancel Subscription

• Android: Google Play Store → Subscriptions → Ultimate Reviewer Series → Cancel Subscription

Upon cancellation, you will retain premium access until the end of your current billing period, after which your account will revert to the free tier.

4.6 Payment and Billing

All payments are processed through the Apple App Store or Google Play Store. All payments are final and non-refundable except as required by applicable law or platform policy.

The Company reserves the right to modify subscription prices with 30 days advance notice. Price changes will not affect current subscribers until their next renewal period.

4.7 Free Tier

Automatic Free Tier access when signed in.

5. ACCEPTABLE USE AND RESTRICTIONS

5.1 Permitted 

Use Ultimate Reviewer Series is intended solely for educational purposes related to exam preparation. You may use the Service for: 

• Personal study and exam preparation 

• Academic review and learning 

• Professional development as an aspiring or licensed teacher

5.2 Prohibited Activities 

You agree NOT to: 

• Use the Application as a substitute for formal education, official study materials, or professional educational guidance 

• Share, redistribute, or republish quiz questions, flashcards, or other proprietary content from the Application 

• Share your account credentials with others or allow others to access the Service through your account 

• Attempt to reverse engineer, decompile, or extract source code from the Application 

• Use automated tools, bots, or scripts to access or interact with the Service 

• Upload malicious content, spam, or inappropriate material 

• Violate any applicable laws or regulations 

• Abuse the Service or violate these Terms in any manner

5.3 Content Accuracy and Disclaimer 

YOU ACKNOWLEDGE AND AGREE THAT: 

• Ultimate Reviewer Series provides study assistance and practice materials only, not guaranteed exam success 

• The Application is not affiliated with, endorsed by, or officially connected to the Professional Regulation Commission (PRC) or any official examination body 

• Quiz questions and study materials are for educational purposes and may not reflect actual examination content 

• AI-generated responses from Mayari may contain errors or inaccuracies 

• You use the Service entirely at your own risk 

• You must verify all important information from authoritative educational sources and official review materials 

• The Company is not liable for any consequences arising from your use or reliance on the Service

6. INTELLECTUAL PROPERTY

6.1 Company Rights 

The Service, including all content, features, functionality, software code, branding, and design, is owned by XenonLabs and is protected by applicable copyright laws and intellectual property principles. All rights not expressly granted to you are reserved by the Company. Unauthorized use, reproduction, or distribution of the Service or its content is prohibited.

6.2 User Content 

• User-Created Flashcards: You retain ownership of flashcard decks and cards you create within the Application 

• Usage License: By creating content within the Application, you grant the Company a limited, non-exclusive, royalty-free license to store, display, and process such content solely for the purpose of providing and improving the Service 

• AI Chat Conversations: Chat conversations with Mayari may be used in anonymized form to improve AI response quality and Service functionality

6.3 User Responsibilities 

You are solely responsible for ensuring that any content you create or upload does not: 

• Infringe any third-party intellectual property rights 

• Violate any laws or regulations 

• Contain harmful, offensive, or inappropriate material

6.4 Prohibited Use of Content 

You may not: 

• Copy, reproduce, or redistribute the source code of the application

• Extract or scrape content from the Application for commercial purposes 

• Create derivative works based on proprietary Application content without written permission

6.5 AI Generated Content

 All quiz questions, study materials, and educational content generated by our AI systems (including but not limited to Mayari AI) are created through artificial intelligence models trained on publicly available information and educational principles. These AI-generated questions:

•   Are original creations produced by AI algorithms

•   Do not reproduce, replicate, or infringe upon copyrighted content from the Professional Regulation Commission (PRC) or any official examination bodies

•   Are designed to assist with learning concepts and test-taking practice, not to replicate actual examination content

•   May cover similar educational topics and subject matter as official examinations, but are independently generated

The Company does not claim copyright over facts, concepts, or general educational principles covered in AI-generated content. Users acknowledge that any similarity between AI-generated questions and actual examination questions is coincidental and results from both covering the same educational domain.

7. AI-GENERATED CONTENT DISCLAIMERS

7.1 No Accuracy Warranties 

THE COMPANY PROVIDES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF AI-GENERATED CONTENT FROM MAYARI. Artificial intelligence systems can make mistakes, provide incorrect information, or generate responses that are inappropriate or irrelevant. 

7.2 User Verification Required 

You must independently verify all important information provided by Mayari against: 

• Official examination materials 

• Authoritative educational textbooks and resources 

• Licensed educators and professional teaching materials 

7.3 No Educational Guarantee 

AI-generated study assistance does not constitute: 

• Professional educational advice or tutoring 

• A guarantee of examination success 

• A replacement for comprehensive exam preparation 

7.4 Model Limitations 

• Mayari uses third-party large language models (LLMs) 

• The Company does not control the training data, biases, or limitations of these models 

• Response quality may vary based on model availability and performance

8. PRIVACY AND DATA PROTECTION

Your use of the Application is governed by our Privacy Policy, which is incorporated into these Terms by reference. You can view our Privacy Policy at:

We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security against unauthorized access or data breaches.

9. ACCOUNT TERMINATION

9.1 Termination by User

You may terminate your account at any time by:

• Requesting account deletion within the Application form

Upon termination, you will lose access to premium features and stored data.

9.2 Termination by Company

We reserve the right to immediately suspend or terminate your account for:

• Violation of these Terms

• Abuse of the Service or attempts to circumvent usage limitations

• Fraudulent activity or payment disputes

• Extended periods of inactivity

• Any other reason at our sole discretion where we believe termination is necessary to protect the Service or other users

9.3 Appeals Process

If your account is terminated by the Company, you may appeal the decision by contacting us at xenon.dev.ph@gmail.com within 30 days of termination. We will review your appeal and respond within a reasonable timeframe.

9.4 Effect of Termination

Upon termination:

• Your account data will be deleted from our servers (subject to legal retention requirements)

• You will lose access to all premium features immediately

• You may lose access to user-created flashcards and study progress

• No refunds will be provided for remaining subscription time

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability

• Fitness for a particular purpose

• Non-infringement

• Accuracy, reliability, or completeness of content

• Uninterrupted or error-free operation

10.2 Limitation of Liability

THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or use

• Business interruption

• Personal injury or property damage

• Failure to pass the examination or achieve desired academic outcomes

• Reliance on AI-generated content or study materials

• Unauthorized access to your account or data

ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Maximum Liability

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR PHP 1,000.00, WHICHEVER IS GREATER.

10.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by law.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service

• Your violation of these Terms

• Your violation of any rights of another party

• Your user-generated content

• Your failure to pass the examination or any academic outcome

• Any reliance on information provided by the Service

12. MODIFICATIONS TO SERVICE AND TERMS

12.1 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any feature of the Service at any time without notice

• Update quiz questions, flashcard content, or study materials

• Change AI models or features used by Mayari

• Adjust usage limitations for free and premium tiers

We are not liable for any modification, suspension, or discontinuation of the Service.

12.2 Terms Modifications

We may update these Terms periodically. When we make material changes, we will:

• Update the "Last Updated" date at the top of this document

• Notify you through the Application or via email (if provided)

• Provide at least 30 days' notice for changes that materially reduce your rights

Continued use of the Service after changes take effect constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Philippines.
