Terms of Service — Social Ratios

Welcome to Social Ratios. These Terms of Service ("Terms") form a binding agreement between you ("you," "user") and Social Ratios llc ("we," "our," "us") and govern your use of the Social Ratios mobile application and related services (collectively, the "App"). Please read carefully — by creating an account or using the App, you agree to these Terms.

1. Eligibility

You must be at least 21 years old to use Social Ratios. The App features bars and nightclubs that serve alcohol, and we enforce a 21+ age requirement at signup. If you are under 21, you may not create an account or use the App.

By using the App, you represent and warrant that:

• You are 21 years of age or older

• You have the legal capacity to enter into these Terms

• You will comply with all applicable local, state, and federal laws while using the App

• The information you provide in your account is true and accurate

2. Accounts

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at [your support email] if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard your credentials.

We may suspend or terminate accounts that violate these Terms, provide false information, or are used in a manner we determine is harmful to other users, venues, or our business.

3. The Service

Social Ratios provides:

• A directory of partnered bars and nightclubs

• Live male-to-female ratio data at partnered venues, sourced from venue partners and aggregate user check-ins

• Crowd size and event information

• Check-in functionality, badges, and a referral program

• A separate Venue Dashboard for venue partners (subscription required)

Ratio data and crowd information are provided for informational purposes only. We do not guarantee the accuracy, completeness, or real-time precision of any data shown. Conditions at venues change rapidly and reported data may not reflect the current state of any venue.

4. User Conduct

When using Social Ratios, you agree NOT to:

• Provide false information, including fake age, gender, or identity

• Impersonate any person or entity

• Harass, threaten, defame, or harm any other user, venue, or third party

• Use the App for any illegal purpose

• Attempt to gain unauthorized access to other accounts, the App's systems, or its data

• Reverse engineer, decompile, scrape, or interfere with the App

• Use automated tools (bots, scripts) to access or interact with the App

• Submit spam, advertising, or promotional content without our written permission

• Misuse check-ins (e.g. checking in to a venue you are not physically at)

We reserve the right to remove content, suspend accounts, and refuse service for conduct that violates these Terms.

5. User Content

If you submit content to the App (profile photo, bio, or other information), you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, and display that content within the App for the purpose of operating the service. You retain ownership of your content.

You represent that you own or have permission to use any content you submit, and that the content does not violate any law or third-party right.

6. Venue Partners and Subscriptions

Venue owners may apply for partnership and access a separate Venue Dashboard. Venue subscriptions are sold inside the App and processed by Apple. Subscription pricing, billing terms, and renewal terms are displayed at the time of purchase.

• Subscriptions auto-renew through your Apple ID until canceled

• You can manage or cancel subscriptions in iPhone Settings → Apple ID → Subscriptions

• Refunds are handled by Apple in accordance with Apple's refund policy

• We reserve the right to change subscription pricing with reasonable notice; changes apply at the next renewal period

The regular user experience of Social Ratios is free. Regular users do not have any in-app purchases or paid features in this version of the App.

7. Alcohol, Nightlife, and Personal Safety

Social Ratios provides information about venues that serve alcohol. We do not encourage excessive drinking or unsafe behavior. You are solely responsible for your decisions, conduct, and safety while using the App and while at any venue.

We are not responsible for any incident, injury, or loss that occurs at a venue, in transit to or from a venue, or as a result of any interaction with another user or third party. Always drink responsibly, plan safe transportation, and follow the rules of any venue you visit.

8. Third-Party Services

The App may include or rely on third-party services (such as Apple's App Store, payment processing, push notifications, analytics, and mapping services). We are not responsible for the content, policies, or practices of third-party services. Your use of those services is governed by their own terms.

9. Intellectual Property

All rights, title, and interest in and to the App — including the name "Social Ratios," the logo, the design, and all software — are owned by Social Ratios llc . You may not copy, modify, distribute, or create derivative works of the App without our written permission.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, ACCURATE, OR FREE OF HARMFUL COMPONENTS. WE DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY LAW.

Ratio and crowd data are estimates and informational only. Do not rely on them for any decision involving safety, legal compliance, or significant financial impact.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Social Ratios llc AND ITS OWNERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP — WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so portions of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless [Your LLC name], its owners, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the App, (b) your violation of these Terms, (c) your violation of any law or third-party right, or (d) any content you submit.

13. Termination

You may stop using the App and delete your account at any time (Profile → Settings → Delete Account). We may suspend or terminate your access to the App at any time, with or without notice, for any reason — including violation of these Terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you in the App and update the "Last Updated" date above. Your continued use of the App after the update means you accept the new Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in San Bernardino County, California, and you consent to the personal jurisdiction of those courts.

16. Apple-Specific Terms (iOS)

You acknowledge that these Terms are between you and Social Ratios llc , not Apple. Apple is not responsible for the App or its content. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation. Apple is a third-party beneficiary of these Terms and has the right to enforce them against you.
