1. Agreement to Terms

By downloading, installing, or using Scenzy (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

These Terms constitute a legal agreement between you and Brady Reed (“we,” “us,” or “Developer”), the developer of Scenzy.

Apple Inc. is not a party to these Terms and has no responsibility for the App, its content, or any claims related to it. Your use of the App must also comply with Apple’s App Store Terms and Conditions.

2. Description of Service

Scenzy is a mobile application that uses artificial intelligence technology to generate images and videos from text prompts. The App operates entirely on your device, with AI processing handled by third-party services (FAL.ai and Replicate).

3. Age Requirements

• You must be at least 13 years old to use Scenzy.

• If you are under 18, you must have permission from a parent or guardian to use the App and make purchases.

• We do not knowingly collect personal information from children under the age of 13, in compliance with the Children’s Online Privacy Protection Act (COPPA).

4. User Accounts and Authentication

• No Account Required: Scenzy can be used without creating an account.

• Anonymous Usage: You may use the App anonymously with local device storage.

• Device-Only Storage: All your content is stored locally on your device only.

5. Content Ownership and License

5.1 Your Content

• You Own Your Creations: You retain full ownership of all content (images and videos) generated using Scenzy.

• Commercial Use Allowed: You may use your generated content for personal or commercial purposes.

• No Restrictions: We do not claim any rights to your generated content.

5.2 AI-Generated Content Disclaimer

• AI Technology: Content is created using artificial intelligence and may not always be accurate or appropriate.

• Random Generation: AI-generated faces and people are randomly created, not based on real individuals.

• Your Responsibility: You are responsible for how you use and share generated content.

6. Prohibited Content and Use

You agree not to use Scenzy to generate content that:

• Violates any applicable laws or regulations

• Promotes violence, hatred, or discrimination

• Contains explicit sexual or pornographic material

• Infringes on intellectual property rights

• Deliberately spreads false or misleading information

• Harasses or bullies specific individuals

• Creates realistic depictions of real people without consent (“deepfakes”)

• Is used for spam, phishing, or malicious purposes

7. Content Monitoring

• No Monitoring: We do not monitor, review, or store your generated content.

• Local Storage Only: All content remains on your device.

• User Responsibility: You are solely responsible for ensuring your use complies with these Terms.

8. Subscriptions, Credits, and Payments

8.1 Credits

• No Expiration: Purchased credits never expire.

• Non-Transferable: Credits cannot be transferred between devices or users.

• Usage: Credits are consumed when generating AI content.

8.2 Subscriptions

• Monthly Billing: Subscriptions are billed monthly through Apple’s App Store.

• Auto-Renewal: Subscriptions automatically renew unless cancelled.

• Cancellation: Cancel through your Apple ID account settings.

• No Pro-Rating: No refunds or credits for partial subscription periods.

8.3 Refunds

• Apple’s Policy Applies: All purchases are subject to Apple’s standard refund policy.

• No Separate Refunds: We do not process refunds independently.

• Contact Apple: Refund requests must be directed to Apple Support.

9. Service Availability and Modifications

9.1 Service Availability

• Best Effort: We strive to keep Scenzy available, but do not guarantee 100% uptime.

• Third-Party Dependencies: Availability may be affected by FAL.ai or Replicate.

• Maintenance: Temporary outages may occur for updates and maintenance.

9.2 Modifications

• App Updates: We may update the App to improve functionality or fix issues.

• Terms Changes: We may modify these Terms with notice in the App or App Store.

• Feature Changes: Features may be added, modified, or removed.

10. Privacy and Data

• Local Storage: Your content is stored only on your device.

• No Cloud Backup: We do not provide cloud storage or backups.

• Data Loss: We are not responsible for content loss due to device issues or app deletion.

You also represent and warrant that you are not located in a country subject to a U.S. government embargo, or on any U.S. government restricted parties list. You agree to comply with all applicable export control laws.

11. Disclaimers and Limitations

11.1 Content Disclaimers

• AI Limitations: AI-generated content may contain errors, biases, or inappropriate elements.

• No Warranties: We provide no warranties about the accuracy or quality of generated content.

• User Discretion: Use generated content at your own risk.

11.2 Service Disclaimers

• “As Is” Service: Scenzy is provided “as is,” without warranties of any kind.

• No Guarantees: We do not guarantee the App will meet your specific needs.

• Third-Party Services: We are not responsible for issues with FAL.ai, Replicate, or Apple services.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• No Liability: Brady Reed shall not be liable for any indirect, incidental, special, or consequential damages.

• Limited Liability: Total liability shall not exceed the amount you paid for the App in the 12 months preceding the claim.

• User Responsibility: You assume all risks associated with using AI-generated content.

You agree to indemnify and hold harmless Brady Reed, its affiliates, and partners from any claims, damages, liabilities, and expenses (including attorney’s fees) arising from your use of the App, your content, or your violation of these Terms.

12. Termination

12.1 By You

• You may stop using Scenzy at any time by deleting the App.

• Subscriptions may be cancelled through Apple ID settings.

12.2 By Us

• We may discontinue Scenzy by removing it from the App Store.

• Reasonable notice will be provided before discontinuation.

• No refunds will be provided for unused credits or subscription time.

12.3 Effects of Termination

• Your locally stored content remains on your device.

• You will lose access to features and generation capabilities.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

13.2 Arbitration Agreement

• Binding Arbitration: Disputes will be resolved through binding arbitration.

• Individual Basis: Arbitration will be conducted individually, not as a class action.

• Location: Arbitration will take place in Tennessee or online.

• Costs: Each party bears its own arbitration costs.

• Exception: Claims may be brought in small claims court if applicable.

13.3 Class Action Waiver

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Brady Reed.

14. Intellectual Property

14.1 App Ownership

• Our Rights: Brady Reed owns all rights to the Scenzy app, including code, design, and trademarks.

• Limited License: You receive a limited, non-exclusive license to use the App.

• No Transfer: You may not copy, modify, or distribute the App.

14.2 Third-Party Rights

• AI Services: Third-party AI services retain their rights.

• Apple: Apple App Store terms apply to your download and use.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

These Terms are subject to all applicable U.S. laws, including export control and sanctions laws.
