3. Eligibility

• You are representing a legitimate business or personal brand

• All information you provide is accurate and current

4. Client Responsibilities

Clients agree to:

• Provide accurate business information and assets

• Supply logos, media, access credentials, and brand materials as required

• Respond to communication requests in a timely manner

• Approve or request revisions within agreed timelines

• Ensure they have rights to all materials provided

Delays in client responses may impact delivery timelines.

5. Payments & Billing

5.1 Fees

All prices are listed in Canadian Dollars (CAD) unless otherwise stated.

5.2 Payment Terms

• Payment is due upfront unless otherwise agreed in writing

• Subscription services are billed monthly or annually

• Late or failed payments may result in service suspension

5.3 Non‑Payment

Rough Seas Marketing reserves the right to:

• Pause or terminate services

• Withhold deliverables

• Revoke licenses to completed work

• Send unpaid balances to collections

6. Subscription Services

For recurring services:

• Billing occurs automatically on the renewal date

• Clients may cancel with 30 days written notice unless otherwise specified

• No partial refunds are issued for unused time within a billing cycle

7. Refund Policy

Due to the digital and custom nature of our services:

• All sales are final once work has commenced

• Deposits and strategy fees are non‑refundable

• Refunds are not provided for completed or partially completed services

Exceptions may be made at our sole discretion.

8. Revisions & Creative Work

Unless otherwise stated:

• Packages include a defined number of revisions

• Additional revisions are billed hourly

• Major scope changes require a new agreement

Creative direction is subjective; Rough Seas Marketing will make reasonable efforts to meet client expectations based on the original brief.

Upon full payment:

• Rough Seas Marketing retains portfolio and promotional usage rights

9.2 Pre‑Existing Assets

We retain ownership of:

• Templates

• Frameworks

• Systems

• Marketing methodologies

• Proprietary networking ecosystems

10. Affiliate & Networking Promotions

Where applicable:

• Commission structures are defined per campaign

• Results are not guaranteed

• Promotion placement, reach, and visibility vary

• We are not liable for partner performance

Reverse proxy networking and collaborative promotions rely on third‑party participation.

11. Results Disclaimer

Marketing outcomes vary based on factors beyond our control, including:

• Market demand

• Pricing

• Competition

• Seasonality

• Client responsiveness

We do not guarantee specific revenue, leads, bookings, or ROI.

12. Third‑Party Platforms

We may work with or publish content on platforms such as:

• Social media networks

• Advertising platforms

• Website hosts

• Affiliate systems

We are not responsible for outages, algorithm changes, bans, or policy shifts on third‑party platforms.

13. Confidentiality

Both parties agree to keep confidential:

• Business strategies

• Financial information

• Client data

• Campaign analytics

Confidential information will not be disclosed without consent unless required by law.

14. Termination

We reserve the right to terminate services if:

• Terms are violated

• Payments are not made

• Abuse, harassment, or misconduct occurs

• Fraudulent or illegal activity is suspected

Clients may terminate services per their agreement terms.

15. Limitation of Liability

To the fullest extent permitted by law, Rough Seas Marketing shall not be liable for:

• Lost profits or revenue

• Business interruption

• Indirect or consequential damages

• Third‑party actions

Total liability shall not exceed the amount paid for services in the preceding 3 months.

16. Indemnification

Clients agree to indemnify and hold harmless Rough Seas Marketing from claims arising from:
