1.0 ACCEPTANCE OF TERMS
1.1 AGREEMENT TO TERMS
1.1.1 These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and New Version Limited ("we," "us," or "our") governing your access to and use of the My Men mobile application (the "App").
1.1.2 By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
1.1.3 If you do not agree to these Terms, you must not access or use the App. Continued use of the App constitutes acceptance of these Terms and any future modifications.
1.2 MODIFICATIONS TO TERMS
1.2.1 We reserve the right to modify, amend, or update these Terms at any time at our sole discretion.
1.2.2 Material changes to these Terms will be communicated through:
(a) In-app notification upon next app launch
(b) Updated "Last Updated" date at the top of this document
(c) App Store update notes (when applicable)
1.2.3 Your continued use of the App after such modifications constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the App immediately.
1.2.4 It is your responsibility to review these Terms periodically. We recommend checking for updates whenever you receive an app update notification.
1.3 ADDITIONAL TERMS
1.3.1 Certain features or services within the App may be subject to additional terms, guidelines, or rules ("Additional Terms") that will be presented to you when you access such features.
1.3.2 Additional Terms are incorporated into these Terms by reference and are legally binding.
1.3.3 In the event of conflict between these Terms and Additional Terms, the Additional Terms will control with respect to the specific feature or service.
2.0 ELIGIBILITY AND ACCOUNT
2.1 AGE REQUIREMENT
2.1.1 The App is intended exclusively for users who are 18 years of age or older.
2.1.2 By using the App, you represent and warrant that:
(a) You are at least 18 years of age
(b) You have the legal capacity to enter into these Terms
(c) You are not prohibited from using the App under applicable law
2.1.3 We do not knowingly collect information from, or provide services to, anyone under the age of 18. If we discover that a user is under 18, we will immediately terminate their access and delete all associated data.
2.1.4 Age verification is required during onboarding and must be completed truthfully. Misrepresentation of age constitutes a material breach of these Terms and will result in immediate termination.
2.2 GEOGRAPHIC RESTRICTIONS
2.2.1 The App is available globally through the Apple App Store (iOS) and the Google Play Store (Android), subject to regional availability and applicable laws of each store.
2.2.2 You are responsible for ensuring that your use of the App complies with all laws in your jurisdiction, including but not limited to:
(a) Laws regarding LGBTQ+ content and relationships
(b) Content restrictions and censorship laws
(c) Data protection and privacy laws
(d) Age of majority and consent laws
2.2.3 We make no representation that the App is appropriate or lawful for use in all jurisdictions. Users who access the App from jurisdictions where the content or features may be illegal do so at their own risk and are solely responsible for compliance with local laws.
2.3 ACCOUNT INFORMATION
2.3.1 The App does not require account creation with email, phone number, or password.
2.3.2 A unique anonymous identifier (UUID) is automatically generated upon first use and stored locally on your device.
2.3.3 You may optionally provide profile information (name, pronouns, age, bio, interests), which is:
(a) Entirely optional (except age verification for adult content)
(b) Stored locally on your device only
(c) Used solely for AI personalization
(d) Editable or deletable at any time through Settings
2.3.4 You are responsible for:
(a) Maintaining the security of your device
(b) All activity conducted through the App on your device
(c) Protecting your device with a passcode or biometric lock if privacy is a concern
3.0 SUBSCRIPTION AND PAYMENT TERMS
3.1 SUBSCRIPTION TIERS
3.1.1 The App offers the following subscription tiers:
FREE TIER (No Payment Required):
(a) Access to 30 of 130 AI companions
(b) Unlimited text messages with fair usage cooldown (short break every 20 messages)
(c) Profile personalization
(d) Basic companion memory
(e) No access to: interactive scenarios, voice features, image generation, custom content, or premium features
LITE TIER (Paid Subscription):
(a) All 130 AI companions
(b) Unlimited text messages
(c) All interactive scenarios
(d) Voice input (speech-to-text)
(e) Standard companion memory (with automatic consolidation)
(f) 7-day free trial for new subscribers (eligibility determined by Apple)
(g) No access to: voice calls, image generation, custom content, group chats, check-ins
PRO TIER (Paid Subscription):
(a) Everything in Lite, plus:
(b) 30 minutes of voice calls per month
(c) 30 AI image generation requests per month (Request Photo — companion sends you an AI-generated photo)
(d) 30 Send Photo analyses per month (Share Photo — you share a photo with the companion, AI vision describes it and the companion reacts in chat)
(e) Up to 3 custom companions
(f) Up to 3 custom scenarios
(g) Deep companion memory (automatic memory updates to keep facts accurate over time)
(h) Relationship tracking and milestones
(i) Voice customization for built-in companions
(j) No access to: group chats, companion check-ins
MAX TIER (Paid Subscription):
(a) Everything in Pro, plus:
(b) 90 minutes of voice calls per month (increased from 30)
(c) 90 AI image generation requests per month (Request Photo, increased from 30)
(d) 90 Send Photo analyses per month (Share Photo, increased from 30)
(e) Unlimited custom companions
(f) Unlimited custom scenarios
(g) Full companion memory (most frequent smart updates)
(h) Group chats (2-3 companions)
(i) Companion check-in notifications
3.1.2 All subscription features and limits are subject to change. We will provide reasonable notice of material changes to subscription benefits.
3.2 BILLING AND PAYMENT
3.2.1 Payment Processing:
(a) iOS: All payments are processed by Apple Inc. through the Apple App Store; payment is charged to your Apple ID account; pricing is determined by Apple and varies by region and currency
(b) Android: All payments are processed by Google LLC through Google Play Billing; payment is charged to the payment method on file with your Google account; pricing is determined by Google Play and varies by region and currency
(c) We do not collect, store, or have access to your payment card information on either platform
(d) Prices shown in the App are the prices supplied by the respective store for your region
3.2.2 Billing Cycles:
(a) Monthly subscriptions: Billed every month on the subscription start date
(b) Yearly subscriptions: Billed annually on the subscription start date
(c) Billing cycle determines monthly quota resets (voice call minutes, image credits, share-photo credits)
3.2.3 Currency and Pricing:
(a) Prices are displayed in your local currency as determined by the App Store
(b) Currency conversion is handled by Apple
(c) Prices are subject to change with reasonable notice
(d) Price changes do not affect active subscriptions until renewal
3.2.4 Taxes:
(a) Prices may be subject to applicable taxes (VAT, GST, sales tax)
(b) Tax calculation and collection handled by Apple
(c) You are responsible for all taxes associated with your subscription
3.3 FREE TRIAL
3.3.1 Lite Tier Free Trial:
(a) Duration: 7 days
(b) Availability: Lite Monthly and Lite Yearly subscriptions only
(c) Eligibility: One-time per Apple ID (iOS) or per Google account (Android), determined by Apple's or Google's servers respectively
(d) Cannot be reset or repeated (persists across app reinstalls and device changes on the same store account)
3.3.2 Trial Terms:
(a) Full access to Lite tier features during trial period
(b) Automatic conversion to paid subscription after 7 days unless cancelled
(c) Cancel anytime during trial to avoid charges
(d) Trial eligibility is non-transferable and cannot be combined with other offers
3.3.3 Cancellation During Trial:
(a) iOS: Cancel via the Apple App Store subscription management settings (iOS Settings → [Your Name] → Subscriptions → My Men → Cancel Subscription)
(b) Android: Cancel via Google Play (Google Play Store → Profile icon → Payments & subscriptions → Subscriptions → My Men → Cancel subscription)
(c) Must cancel at least 24 hours before trial end to avoid charge
(d) Upon cancellation, access to Lite features ends at trial expiration
(e) Revert to Free tier features after trial ends
3.3A PROMOTIONAL OFFERS
3.3A.1 From time to time, the App may present time-limited promotional pricing on paid subscription plans ("Promotional Offers"). These offers appear on the subscription screen with a countdown timer indicating when the offer expires.
3.3A.2 Promotional Offer Terms:
(a) Offers provide a discounted introductory price on the first billing period (e.g., 20% off monthly or 40% off yearly plans)
(b) After the promotional period, the subscription renews at the standard price for the selected plan and billing cycle
(c) Promotional pricing is applied at checkout through Apple App Store (iOS) or Google Play (Android) promotional offer mechanisms
(d) The discounted price is displayed clearly before purchase confirmation
(e) All standard auto-renewal, cancellation, and refund terms (Sections 3.4, 3.6) apply to promotional subscriptions
3.3A.3 Eligibility and Availability:
(a) Promotional Offers are available to Free and Lite tier users only
(b) Offers are rate-limited: a maximum of one offer per 24-hour period and three offers per 7-day period per device
(c) Each offer has a limited redemption window (displayed via an on-screen countdown timer); once the timer expires, the offer is no longer available for that session
(d) Promotional Offers may not be combined with free trials or other offers
(e) Availability, discount amounts, and eligible plans may vary and are subject to change at our discretion without prior notice
3.3A.4 After the Promotional Period:
(a) Your subscription automatically renews at the then-current standard price unless cancelled at least 24 hours before the end of the promotional billing period
(b) The standard renewal price is shown on the subscription management screen and in your App Store or Google Play subscription settings
(c) You may cancel at any time; cancellation takes effect at the end of the current billing period
3.4 AUTO-RENEWAL
3.4.1 All subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
3.4.2 Your Apple ID account (iOS) or Google account payment method (Android) will be charged for renewal within 24 hours prior to the end of the current period.
3.4.3 Renewal charges are for the same tier and billing cycle (monthly or yearly) as the original subscription, at the then-current price on the respective store.
3.4.4 To cancel auto-renewal:
iOS:
(a) Open iOS Settings → [Your Name] → Subscriptions
(b) Select "My Men" subscription
(c) Tap "Cancel Subscription"
(d) Confirm cancellation
Android:
(a) Open the Google Play Store app
(b) Tap your profile icon → Payments & subscriptions → Subscriptions
(c) Select "My Men"
(d) Tap "Cancel subscription" and follow the prompts
3.4.5 Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.
3.5 IN-APP PURCHASES (CONSUMABLE CREDITS)
3.5.1 Additional Credits Available:
(a) Audio Call Minutes: 30 minutes or 90 minutes
(b) Request Photo Credits (AI image generation by the companion): 30 credits or 90 credits
(c) Share Photo Credits (AI vision analysis of photos you send to the companion): 30 credits or 90 credits
(d) Credits are consumable, non-refundable, and never expire
(e) Credits stack on top of subscription limits
(f) Request Photo credits and Share Photo credits are SEPARATE pools and cannot be substituted for each other
3.5.2 Credit Usage Priority:
(a) Subscription quota used first (resets monthly)
(b) Purchased credits used second (never expire)
(c) Credits consumed based on actual usage (seconds for calls, per-image for generation, per-photo for analysis)
3.5.3 Credit Consumption:
(a) Voice calls: Billed per second, charged per complete minute (fair billing)
(b) Image generation (Request Photo): 1 credit per successfully generated image; failed generations do not consume credits
(c) Vision analysis (Share Photo): 1 credit per successful AI vision API call. Note: this includes calls where the vision provider reviews your photo and determines it cannot be analyzed (for example, because it contains content the provider does not describe) — the API call still ran and 1 credit is consumed. Transient failures (network errors, timeouts, malformed responses) do NOT consume credits
(d) Credits preserved across app reinstalls (backed up to secure cloud)
3.5.4 In-app purchases are final and non-refundable except as required by law or at our sole discretion.
3.6 REFUNDS AND CANCELLATIONS
3.6.1 Subscription Refunds:
(a) Managed exclusively by the store of original purchase — Apple Inc. (iOS) or Google LLC (Android)
(b) iOS refunds: request through Apple App Store support or https://reportaproblem.apple.com
(c) Android refunds: request through https://play.google.com/store/account/orderhistory → "Report a problem" → "Request a refund"
(d) We do not have the ability to issue refunds for Apple App Store or Google Play purchases
(e) Refund eligibility is determined by Apple's or Google's respective refund policies
3.6.2 In-App Purchase Refunds:
(a) Generally non-refundable once credits are granted
(b) iOS: request through Apple if you believe you are entitled to a refund
(c) Android: Google Play provides an automatic self-serve refund window of approximately 48 hours for most in-app purchases; after that window, refunds are subject to Google's review and our discretion
(d) Unused credits may be considered for refund at our discretion
(e) Contact mymen.support@newversion.studio for refund inquiries that Apple or Google cannot resolve
3.6.3 Subscription Cancellation:
(a) You may cancel your subscription at any time
(b) Cancellation takes effect at the end of the current billing period
(c) No partial refunds for unused time in the current billing period
(d) Upon cancellation, you revert to Free tier features
3.6.4 We reserve the right to issue refunds at our sole discretion in cases of:
(a) Service interruptions or technical failures
(b) Billing errors or duplicate charges
(c) Extraordinary circumstances
3.7 CHANGES TO SUBSCRIPTION PLANS
3.7.1 Upgrades:
(a) Upgrade to a higher tier at any time
(b) Effective immediately upon purchase
(c) Prorated credit for unused time in lower tier (handled by Apple)
(d) New billing cycle begins at upgrade date
3.7.2 Downgrades:
(a) Downgrade to a lower tier through App Store subscription management
(b) Effective at the end of current billing period
(c) No refund for unused time in current period
(d) Features locked upon downgrade (data preserved, access restricted)
3.7.3 Tier Change Effects:
(a) Monthly quotas reset upon tier change
(b) Purchased credits (IAP) preserved across all tier changes
(c) Custom companions/scenarios may become locked if exceeding new tier limit
(d) Existing data preserved but access restricted to new tier limits
3.8 CROSS-PLATFORM SUBSCRIPTIONS AND PURCHASES
3.8.1 Subscriptions and in-app purchases are tied to the store on which they were made:
(a) Subscriptions purchased through the Apple App Store are managed by Apple and are valid only on iOS devices signed in with the same Apple ID
(b) Subscriptions purchased through Google Play are managed by Google and are valid only on Android devices signed in with the same Google account
3.8.2 NO CROSS-PLATFORM TRANSFER OR SYNC. We do not transfer, link, merge, or synchronize:
(a) Subscription status or tier between Apple and Google accounts
(b) Free-trial eligibility between Apple and Google accounts
(c) Purchased consumable credits (voice call minutes, image generation credits) between the two stores
(d) Remaining monthly quota between the two stores
3.8.3 Using the App on both iOS and Android:
(a) An active subscription on one platform does NOT grant paid-tier access on the other platform
(b) To access paid features on both platforms, you must purchase a separate subscription on each store
(c) Cancelling a subscription on one platform does not cancel or affect the subscription on the other platform
(d) Your local data (chats, custom companions, profile, albums) is stored on-device and does not sync between iOS and Android devices
3.8.4 Refunds, trial eligibility, billing disputes, and renewal management for a given subscription are handled exclusively by the store where the original purchase was made.
4.0 ACCEPTABLE USE POLICY
4.1 PERMITTED USES
You may use the App solely for:
(a) Personal, non-commercial entertainment and companionship
(b) Conversing with AI companions via text and voice
(c) Generating AI images for personal use
(d) Creating custom companions and interactive scenarios
(e) Other features as intended and described in the App
4.2 PROHIBITED CONDUCT
You agree NOT to use the App for any of the following purposes:
4.2.1 Illegal Activities:
(a) Any unlawful purpose or in violation of applicable laws
(b) Solicitation of illegal activities
(c) Harassment, abuse, or harm to others
(d) Child exploitation or any content involving minors
4.2.2 Abuse and Exploitation:
(a) Attempting to circumvent subscription limits or access controls
(b) Exploiting bugs, glitches, or vulnerabilities for unfair advantage
(c) Reverse engineering, decompiling, or extracting source code
(d) Using automated tools, bots, or scripts to access the App
4.2.3 Harmful Content:
(a) Creating custom companions or interactive scenarios depicting minors
(b) Generating illegal, obscene, or unlawful content
(c) Content that promotes violence, hate, or discrimination
(d) Content that violates third-party intellectual property rights
4.2.4 System Abuse:
(a) Overloading, interfering with, or disrupting App functionality
(b) Attempting to gain unauthorized access to systems or data
(c) Distributing malware, viruses, or harmful code
(d) Scraping, data mining, or harvesting content without permission
4.2.5 Fraudulent Activities:
(a) Using stolen payment methods or engaging in payment fraud
(b) Creating multiple accounts to abuse free trials (subject to Apple's trial policies)
(c) Misrepresenting age or eligibility
(d) Requesting chargebacks or refunds in bad faith
4.2.6 Commercial Use:
(a) Reselling, distributing, or commercializing App content
(b) Using the App for business purposes without authorization
(c) Sublicensing or transferring your access rights to others
4.3 ENFORCEMENT
4.3.1 We reserve the right to:
(a) Monitor usage patterns to detect abuse (no monitoring of conversation content)
(b) Investigate suspected violations of these Terms
(c) Remove, restrict, or disable access to any content or features
(d) Suspend or terminate accounts for violations
4.3.2 Termination for Cause:
(a) Immediate termination without refund for serious violations
(b) No obligation to provide warnings before termination
(c) Report illegal activity to law enforcement authorities
(d) Pursue legal remedies for damages caused by violations
4.3.3 We are not obligated to monitor user-generated content but reserve the right to review custom companions, interactive scenarios, or other content if violations are reported or suspected.
5.0 INTELLECTUAL PROPERTY RIGHTS
5.1 APP OWNERSHIP
5.1.1 The App, including all content, features, functionality, software code, design, graphics, user interface, and related materials, is owned by New Version Limited and is protected by:
(a) Copyright laws (New Zealand, international)
(b) Trademark laws
(c) Patent laws (where applicable)
(d) Other intellectual property laws and treaties
5.1.2 "My Men" name, logo, and related marks are trademarks of New Version Limited. Unauthorized use is strictly prohibited.
5.2 LICENSE GRANT
5.2.1 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
(a) Download and install the App on personal iOS or Android devices you own or control
(b) Access and use the App for personal, non-commercial purposes
(c) Use features in accordance with subscription tier and payment status
5.2.2 This license does not grant you any rights to:
(a) Reproduce, distribute, or publicly display the App
(b) Modify, adapt, or create derivative works
(c) Reverse engineer, decompile, or disassemble the App
(d) Remove or alter proprietary notices or labels
(e) Use the App for commercial purposes
5.3 AI-GENERATED CONTENT
5.3.1 AI Companion Responses (Text and Voice):
(a) Generated in real-time by third-party AI services
(b) Not created, endorsed, or controlled by New Version Limited
(c) Provided "as is" without warranties of accuracy or suitability
(d) You acknowledge that AI responses may be unpredictable, inappropriate, or inaccurate
5.3.2 AI-Generated Images:
(a) Images generated through the App are for your personal use only
(b) You may save images to your device's Photos app for personal use
(c) You may NOT commercially exploit, redistribute, or claim ownership of generated images
(d) Images may include characters based on companion personas owned by New Version Limited
(e) Third-party AI service terms may apply to generated images
5.3.3 We make no warranties regarding:
(a) Quality, accuracy, or appropriateness of AI-generated content
(b) Originality or uniqueness of generated images
(c) Compliance with third-party intellectual property rights
(d) Suitability for any particular purpose
5.4 USER-GENERATED CONTENT
5.4.1 Custom Companions and Interactive Scenarios:
(a) You retain ownership of original text content you create (names, descriptions, prompts)
(b) By creating custom content, you grant us a worldwide, non-exclusive, royalty-free license to:
(i) Store and process your content to provide App functionality
(ii) Use, reproduce, and display your content within the App
(iii) Create derivative works necessary for AI processing
(c) This license terminates when you delete the custom content or uninstall the App
5.4.2 User Profile Information:
(a) You retain ownership of profile information (name, bio, interests)
(b) We use this information solely for AI personalization as described in our Privacy Policy
(c) You may edit or delete profile information at any time
5.4.3 Uploaded Photos (Together Photos Feature and Send Photo Feature):
(a) You retain ownership of photos you upload for AI image generation OR for AI vision analysis (Send Photo / Share Photo feature)
(b) By uploading photos, you represent and warrant that:
(i) You own the photo or have permission to use it
(ii) The photo does not depict minors
(iii) The photo does not depict identifiable third parties whose consent you have not obtained (Send Photo / Share Photo: the AI vision provider may describe people, clothing, body language, and surroundings; you are responsible for ensuring you have any necessary consent to share images of others)
(iv) The photo does not violate third-party rights
(v) The photo does not contain content prohibited under §5.4.4 below (weapons being wielded/pointed, illegal drug use, graphic violence, self-harm, abuse, sexually explicit material involving anyone under 18, etc.)
(c) Photos uploaded for image generation are used solely for that generation; photos uploaded for Send Photo / Share Photo are used solely for a single AI vision call and the resulting text description is forwarded to the chat AI for the companion's in-character reply
(d) Temporary copies on hosting infrastructure expire within 24 hours
(e) The original photo bytes remain on your device until you delete the chat message (which also removes the file)
(f) If the AI vision provider's safety system or our app-side check flags your photo as policy-violating, the companion will surface a friendly refusal in chat and 1 Share Photo credit will be consumed because the analysis call still ran (see §3.5.3)
5.4.4 Restrictions on User Content:
You agree that your user-generated content will NOT:
(a) Infringe third-party intellectual property, privacy, or publicity rights
(b) Depict or reference minors in any context
(c) Contain illegal, obscene, or defamatory material
(d) Violate applicable laws or regulations
5.5 THIRD-PARTY CONTENT
5.5.1 The App may display or link to third-party content, services, or websites for which we have no control or responsibility.
5.5.2 Third-party content is the sole responsibility of the originating party. We do not endorse or assume liability for third-party content.
5.5.3 Your use of third-party services (AI providers, image generation, etc.) may be subject to separate terms and conditions imposed by those providers.
5.6 COPYRIGHT COMPLAINTS (DMCA)
5.6.1 We respect intellectual property rights and respond to valid copyright infringement notices.
5.6.2 If you believe content in the App infringes your copyright, submit a notice to mymen.support@newversion.studio with:
(a) Identification of the copyrighted work
(b) Description of allegedly infringing material and its location in the App
(c) Your contact information
(d) Statement of good faith belief that use is unauthorized
(e) Statement that information in notice is accurate, under penalty of perjury
(f) Physical or electronic signature of copyright owner or authorized agent
5.6.3 We will investigate valid notices and take appropriate action, which may include removing content or terminating repeat infringers.
6.0 PRIVACY AND DATA PROTECTION
6.1 PRIVACY POLICY
6.1.1 Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at Settings → Legal → Privacy Policy and incorporated into these Terms by reference.
6.1.2 By using the App, you consent to our data practices as described in the Privacy Policy.
6.1.3 Key privacy highlights:
(a) Most data stored locally on your device only (conversations, profile, images)
(b) Minimal cloud storage for usage tracking (anonymous UUID, quotas, credits)
(c) No selling, sharing, or marketing use of personal data
(d) Third-party AI services process conversations in real-time (not stored by us)
(e) Strong encryption and security measures
6.2 DATA USAGE AND SHARING
6.2.1 We share minimal data with third-party services only as necessary to provide functionality:
(a) Third-party AI language-model provider — accessed through an API gateway service (for text chat: messages, conversation history, profile info)
(b) Third-party empathic voice AI provider — accessed through an API gateway service (for voice calls: real-time audio, profile info)
(c) Third-party AI image-generation provider — accessed through an API gateway service (for AI photos: text prompts, uploaded photos, reference images)
(d) Third-party AI vision provider — accessed through an API gateway service (for Send Photo / Share Photo: the resized photo only; the photo is described and the description is forwarded to the chat AI for the companion's in-character reply)
(e) Payment processor (Apple App Store on iOS; Android-store billing on Android)
(f) Cloud infrastructure providers (for usage tracking)
6.2.2 We do NOT share, sell, or rent your personal information to:
(a) Advertisers or marketing companies
(b) Data brokers or analytics firms
(c) Social media platforms
(d) Other third parties for commercial purposes
6.3 DATA RETENTION AND DELETION
6.3.1 Local data (conversations, profile, images) is:
(a) Stored on your device indefinitely until you delete it
(b) Deletable at any time through in-app controls

(a) Retained for duration of active subscription
(b) Automatically deleted 1 year after last app use
(c) Deletable upon request (may affect credit preservation)
6.3.3 You may exercise data deletion rights as described in our Privacy Policy.
6.4 SECURITY
6.4.1 We implement industry-standard security measures to protect your data, including:
(a) HTTPS/TLS encryption for all data transmission
(b) Secure storage on device and cloud infrastructure
(c) Access controls and authentication
(d) Regular security updates and patches
6.4.2 However, no system is completely secure. You acknowledge that:
(a) Data transmission over the internet carries inherent risks
(b) Unauthorized access, loss, or disclosure may occur despite our efforts
(c) We are not liable for security breaches beyond our reasonable control
6.4.3 You are responsible for:
(a) Protecting your device with passcode or biometric authentication
(b) Keeping your iOS or Android software updated
(c) Not sharing device access with untrusted individuals

7.0 DISCLAIMERS AND LIMITATIONS OF LIABILITY
7.1 "AS IS" AND "AS AVAILABLE" DISCLAIMER
7.1.1 THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
7.1.2 TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) Warranties of merchantability, fitness for a particular purpose, and non-infringement
(b) Warranties regarding accuracy, reliability, or completeness of content
(c) Warranties that the App will be uninterrupted, secure, or error-free
(d) Warranties regarding AI-generated content quality or appropriateness
7.1.3 We make no guarantees about:
(a) Availability or uptime of the App or third-party services
(b) Accuracy, quality, or appropriateness of AI responses
(c) Compatibility with all devices or iOS versions
(d) Continued availability of any feature or service
7.2 AI COMPANION DISCLAIMERS
7.2.1 NOT REAL RELATIONSHIPS:
(a) AI companions are simulated conversational agents, not real people
(b) Conversations are generated by artificial intelligence algorithms
(c) Companions cannot form genuine emotional bonds, relationships, or attachments
(d) Any perceived emotional connection is a product of AI simulation
7.2.2 NOT PROFESSIONAL SERVICES:
(a) AI companions do NOT provide medical, mental health, legal, or professional advice
(b) AI responses are not a substitute for professional consultation
(c) Do not rely on AI companions for crisis intervention, therapy, or counseling
(d) Seek qualified professionals for health, legal, or financial matters
7.2.3 NOT CRISIS SUPPORT:
(a) The App is not designed for mental health crises or emergencies
(b) If you are experiencing a mental health emergency, contact emergency services (911 in US, 111 in New Zealand, or local equivalent) or crisis hotlines
(c) Community resources available in Settings → About → Community Resources
7.2.4 ACCURACY AND RELIABILITY:
(a) AI responses may be inaccurate, inappropriate, offensive, or harmful
(b) AI may generate false information or "hallucinate" facts
(c) We do not verify, endorse, or guarantee accuracy of AI-generated content
(d) Use AI responses at your own discretion and risk
7.3 THIRD-PARTY SERVICES
7.3.1 The App relies on third-party services (AI providers, cloud infrastructure) over which we have no control.
7.3.2 We are not responsible for:
(a) Availability, reliability, or performance of third-party services
(b) Changes to third-party services or pricing
(c) Termination or disruption of third-party services
(d) Data practices or security of third-party providers
7.3.3 Third-party service interruptions may affect App functionality. We will make reasonable efforts to restore service but cannot guarantee uninterrupted access.
7.4 LIMITATION OF LIABILITY
7.4.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEW VERSION LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:
(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
(b) LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
(c) EMOTIONAL DISTRESS, PERSONAL INJURY, OR REPUTATIONAL HARM
(d) DAMAGES RESULTING FROM:
(i) Use or inability to use the App
(ii) AI-generated content or responses
(iii) Unauthorized access to or alteration of your data
(iv) Third-party conduct or content
(v) Errors, bugs, viruses, or security breaches
7.4.2 IN JURISDICTIONS THAT DO NOT ALLOW EXCLUSION OF LIABILITY, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
7.4.3 IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF:
(a) The amount you paid to us in the 12 months preceding the claim, OR
(b) One hundred US dollars (USD 100)
7.4.4 This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
7.5 ASSUMPTION OF RISK
7.5.1 You acknowledge and accept the following risks:
(a) AI Unpredictability: AI may generate unexpected, inappropriate, or offensive content
(b) Emotional Impact: Conversing with AI companions may affect your emotional well-being
(c) Privacy Risks: Data shared with third-party AI services is subject to their privacy policies
(d) Technical Failures: Bugs, errors, or service interruptions may occur
(e) Security Risks: Unauthorized access or data breaches may occur despite security measures
(f) LGBTQ+ Content Risks: Use in hostile jurisdictions may carry personal safety risks
7.5.2 By using the App, you voluntarily assume these risks and agree that we are not liable for any harm arising from them.
8.0 INDEMNIFICATION
8.1 YOUR INDEMNIFICATION OBLIGATION
8.1.1 You agree to indemnify, defend, and hold harmless New Version Limited, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
(a) Your use or misuse of the App
(b) Your violation of these Terms or applicable laws
(c) Your violation of third-party rights (intellectual property, privacy, publicity, etc.)
(d) User-generated content you create (custom companions, interactive scenarios, uploaded photos)
(e) Your negligence, willful misconduct, or fraudulent activities
8.1.2 This indemnification obligation survives termination of these Terms and your use of the App.
8.2 DEFENSE AND SETTLEMENT
8.2.1 We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you.
8.2.2 You agree to cooperate fully with our defense of such claims.
8.2.3 You may not settle any claim without our prior written consent.
9.0 DISPUTE RESOLUTION
9.1 GOVERNING LAW
9.1.1 These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to conflict of law principles.
9.1.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
9.2 JURISDICTION AND VENUE
9.2.1 Subject to the arbitration provisions below, any legal action or proceeding arising out of or related to these Terms or the App shall be brought exclusively in the courts of New Zealand.
9.2.2 You irrevocably consent to the jurisdiction of such courts and waive any objection to venue.
9.3 INFORMAL DISPUTE RESOLUTION
9.3.1 Before initiating formal proceedings, you agree to first attempt to resolve disputes informally by contacting us at mymen.support@newversion.studio with:
(a) Your name and contact information
(b) Description of the dispute
(c) Relief sought
9.3.2 We will attempt to resolve the dispute in good faith within 30 days of receiving your notice.
9.4 ARBITRATION (OPTIONAL)
9.4.1 If informal resolution fails, either party may elect binding arbitration as an alternative to court litigation.
9.4.2 Arbitration shall be conducted under the rules of a mutually agreed arbitration organization or as determined by applicable law.
9.4.3 Arbitration shall take place in New Zealand or remotely via videoconference.
9.4.4 The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
9.5 CLASS ACTION WAIVER
9.5.1 TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY.
9.5.2 You waive the right to participate in class actions, class arbitrations, or representative proceedings.
9.5.3 Claims may not be consolidated or joined with claims of other users without our consent.
9.6 EXCEPTIONS
9.6.1 Either party may seek injunctive or equitable relief in court to prevent irreparable harm, including:
(a) Intellectual property infringement
(b) Unauthorized access or use of the App
(c) Breach of confidentiality obligations
9.6.2 Such relief may be sought without first engaging in informal dispute resolution or arbitration.
10.0 TERMINATION
10.1 TERMINATION BY YOU
10.1.1 You may terminate your use of the App at any time by:
(a) Uninstalling the App from your device
(b) Cancelling your subscription through App Store settings
(c) Ceasing to access or use the App
10.1.2 Upon termination by you:
(a) Your subscription will remain active until the end of the current billing period (no refund)
(b) Local data will be deleted when you uninstall the App
(c) Cloud data (usage tracking) will be automatically deleted after 1 year of inactivity
(d) You may request immediate deletion of cloud data by contacting mymen.support@newversion.studio
10.2 TERMINATION BY US
10.2.1 We reserve the right to suspend or terminate your access to the App immediately, without prior notice or liability, for any reason, including but not limited to:
(a) Violation of these Terms
(b) Fraudulent activity or payment disputes
(c) Abusive, harmful, or illegal conduct
(d) Suspected security threats
(e) Extended periods of inactivity
(f) Discontinuation of the App or specific features
10.2.2 Termination for cause (violation of Terms):
(a) Immediate termination without refund
(b) No obligation to provide warnings or opportunities to cure
(c) We may report illegal activity to authorities
(d) We may pursue legal remedies for damages
10.2.3 Termination for convenience (App discontinuation):
(a) Reasonable advance notice when feasible
(b) Pro-rata refund of active subscriptions (at our discretion)
(c) Opportunity to export or backup data (if technically feasible)
10.3 EFFECTS OF TERMINATION
10.3.1 Upon termination of your access:
(a) All rights and licenses granted to you immediately cease
(b) You must immediately cease all use of the App
(c) Provisions intended to survive termination remain in effect (see Section 10.4)
10.3.2 Subscriptions and In-App Purchases:
(a) Active subscriptions managed by Apple will continue until end of billing period
(b) Unused purchased credits may be forfeited upon termination for cause
(c) No refunds for terminations due to Terms violations

11.0 ADDITIONAL TERMS FOR SPECIFIC FEATURES
11.1 VOICE CHAT TERMS
11.1.1 Voice calls are provided through third-party voice AI services and are subject to:
(a) Real-time audio processing (not recorded or stored by us)
(b) Audio quality dependent on internet connection and third-party services
(c) Usage limits based on subscription tier (measured in seconds, billed per minute)
(d) Purchased credits (never expire) used after subscription quota exhausted
11.1.2 Voice Chat Restrictions:
(a) For personal use only (no recording or redistribution)
(b) Microphone permission required (granted through the iOS or Android system permission prompt the first time you start a voice call)
(c) Calls may be terminated due to quota exhaustion or technical issues
(d) Maximum call duration: 30 minutes per session
11.1.3 You acknowledge that:
(a) Voice AI responses are unpredictable and may be inappropriate
(a) Third-party AI provider may process and analyze voice data per their privacy policy
(c) Call quality not guaranteed and may vary
(d) Emergency services are NOT available through the App
11.2 AI IMAGE GENERATION TERMS
11.2.1 Image generation is provided through third-party AI services and is subject to:
(a) Usage quotas based on subscription tier
(b) Content policies and restrictions (no illegal or harmful content)
(c) Generation success not guaranteed (technical failures may occur)
(d) Credits only consumed upon successful generation
11.2.2 Solo Photos (Pro and Max):
(a) AI-generated images featuring companion personas only
(b) Images for personal use only (no commercial use)
(c) Quality and accuracy not guaranteed
11.2.3 Together Photos (Max Only):
(a) Requires uploading a user photo for AI processing
(b) You represent and warrant that:
(i) You own or have permission to use the uploaded photo
(ii) The photo does not depict minors
(iii) The photo does not violate third-party rights
(c) Photos temporarily uploaded to third-party services for processing
(d) Temporary uploads automatically deleted after generation
11.2.4 Content Restrictions:
(a) No images depicting or referencing minors
(b) No illegal, violent, or harmful content
(c) No violations of third-party intellectual property
(d) Content filtering applied to block prohibited requests (72 keywords across 5 categories)
11.2.5 You acknowledge that:
(a) Generated images may be inaccurate, inappropriate, or offensive
(b) We do not guarantee originality or uniqueness
(c) Images may inadvertently infringe third-party rights (use at your own risk)
(d) Saved images are subject to the iOS Photos app and iCloud Backup policies (iOS) or the Android photo gallery, Google Photos, and Google Drive sync policies (Android)
11.2.6 Photo Album:
(a) Each companion (built-in and custom) has a personal Photo Album where you may save AI-generated images from chat
(b) Album images are stored locally in the app's Documents folder on your device only — no cloud sync or external transmission
(c) You may use album images to set a companion's profile picture or chat background within the App
(d) Album images may be downloaded to your device's Photos library for personal use only; commercial use is prohibited
(e) Deleting a companion or resetting the App permanently removes all associated album images
(f) Album storage counts toward your device's available storage; manage storage via iOS Settings → General → iPhone Storage, or Android Settings → Apps → My Men → Storage
11.3 CUSTOM COMPANIONS AND INTERACTIVE SCENARIOS
11.3.1 Pro and Max users may create custom companions and interactive scenarios subject to:
(a) Limits based on subscription tier (Pro: 3 each, Max: unlimited)
(b) Content policies (no minors, illegal content, or harmful scenarios)
(c) AI-generated images for custom companions (uses image generation quota)
11.3.2 You are solely responsible for custom content you create and must ensure it complies with:
(a) These Terms and acceptable use policy
(b) Applicable laws in your jurisdiction
(c) Third-party rights (no infringement)
11.3.3 We reserve the right to:
(a) Review custom content if violations are reported
(b) Remove content that violates these Terms
(c) Terminate accounts for repeated or serious violations
(d) No monitoring obligation, but enforcement rights reserved
11.4 GROUP CHATS (MAX PLAN)
11.4.1 Max users may create group chats with 2-3 companions.
11.4.2 Group chat features:
(a) Sequential AI responses from multiple companions
(b) Custom naming and rainbow background themes
(c) Stored locally on device only
11.4.3 Group chat restrictions:
(a) Cannot mix built-in and custom companions in same group
(b) Cannot use voice calls in group chats (text only)
(c) Image generation may reference group context but not multiple companions simultaneously
11.5 COMPANION CHECK-INS (MAX PLAN)
11.5.1 Max users may enable companion check-in notifications.
11.5.2 Check-ins are local notifications sent at configured times and do NOT:
(a) Send data to our servers
(b) Require internet connection
(c) Track user activity or behavior
11.5.3 You may disable check-in notifications at any time through App settings or iOS notification settings.
11.6 COMPANION MEMORY (ALL PLANS)
11.6.1 All users have access to companion memory features that allow AI companions to remember key facts from your conversations across sessions. Memory capacity varies by subscription tier.
11.6.2 How companion memory works:
(a) Key facts are periodically extracted from your conversations using AI processing
(b) Extracted memories are stored locally on your device only
(c) Memories are injected into AI prompts to enable companions to reference past conversations naturally
(d) Memory capacity and update frequency vary by subscription tier (higher tiers store more memories and update more frequently)
11.6.3 Memory data and privacy:
(a) All companion memories are stored locally on your device — never on external servers
(b) Recent conversation messages are sent to the AI service for memory extraction (same service used for chat)
(c) You may clear all memories globally via Settings → Danger Zone → Clear All Memories
(e) Memories are permanently deleted when you reset the App
11.6.4 Memory content:
(a) Memories may include personal facts, preferences, experiences, emotional moments, and intimate preferences you shared in conversations
(b) Memory extraction is designed for the context of a gay companion app and treats all user-shared content, including intimate and sexual content, as valid
(c) We do not review, moderate, or access your stored memories
12.0 GENERAL PROVISIONS
12.1 ENTIRE AGREEMENT
12.1.1 These Terms, together with our Privacy Policy and any Additional Terms, constitute the entire agreement between you and New Version Limited regarding the App.
12.1.2 These Terms supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral.
12.2 SEVERABILITY
12.2.1 If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be:
(a) Deemed severable from these Terms
(b) Modified to the minimum extent necessary to make it enforceable
(c) Not affect the validity and enforceability of remaining provisions
12.3 WAIVER
12.3.1 Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
12.3.2 No waiver shall be effective unless made in writing and signed by an authorized representative of New Version Limited.
12.3.3 Waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.
12.4 ASSIGNMENT
12.4.1 You may not assign, transfer, or delegate these Terms or your rights hereunder without our prior written consent.
12.4.2 We may assign these Terms, in whole or in part, without your consent in connection with:
(a) Merger, acquisition, or sale of assets
(b) Corporate reorganization
(c) Operation of the App by a successor entity
12.4.3 Any attempted assignment in violation of this section is void.
12.5 NO THIRD-PARTY BENEFICIARIES
12.5.1 These Terms are for the benefit of you and New Version Limited only.
12.5.2 No third party (including AI service providers, other users, or affiliates) has any rights under these Terms.
12.6 FORCE MAJEURE
12.6.1 We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:
(a) Acts of God (natural disasters, pandemics)
(b) War, terrorism, civil unrest
(c) Government actions or regulations
(d) Labor disputes or strikes
(e) Internet or telecommunications failures
(f) Third-party service provider failures
12.6.2 During force majeure events, our obligations are suspended to the extent affected, and the time for performance is extended accordingly.
12.7 NOTICES
12.7.1 Notices to you may be provided through:
(a) In-app notifications
(b) App Store update notes
(c) Email (if provided to us)
(d) Updates to this Terms document
12.7.2 Notices to us must be sent to:

12.8.2 These Terms do not create any:
(a) Partnership, joint venture, or agency relationship
(b) Employment or contractor relationship
(c) Franchise or fiduciary relationship
12.8.3 Neither party has authority to bind or represent the other.
12.9 INTERPRETATION
12.9.1 Section headings are for convenience only and do not affect interpretation.
12.9.2 Use of "including" means "including but not limited to."
12.9.3 Singular includes plural and vice versa where context requires.
12.9.4 "You" and "your" refer to the individual user or entity using the App.
12.10 LANGUAGE
12.10.1 These Terms are drafted in English.
12.10.2 If these Terms are translated into other languages, the English version shall prevail in case of conflict or ambiguity.
12.11 EXPORT CONTROLS
12.11.1 You agree to comply with all applicable export control laws and regulations.
12.11.2 You represent that you are not:
(a) Located in a country subject to embargo or trade restrictions
(b) Listed on any government prohibited or restricted party list
(c) Otherwise prohibited from receiving or using the App under applicable law
12.12 APPLE APP STORE ADDITIONAL TERMS (iOS USERS)
12.12.1 These Terms are between you and New Version Limited, not Apple Inc.
12.12.2 Apple has no obligation to provide support, maintenance, or warranty for the App.
12.12.3 Apple is not responsible for addressing any claims relating to the App, including:
(a) Product liability claims
(b) Claims that the App fails to conform to legal or regulatory requirements
(c) Claims arising under consumer protection or similar legislation
(d) Intellectual property infringement claims
12.12.4 Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your use of the App, and Apple has the right to enforce these Terms against you.
12.12.5 Your use of the App must comply with the Apple App Store Terms of Service.
12.13 GOOGLE PLAY ADDITIONAL TERMS (ANDROID USERS)
12.13.1 These Terms are between you and New Version Limited, not Google LLC.
12.13.2 Google has no obligation to provide support, maintenance, or warranty for the App.
12.13.3 Your use of the App on Android must comply with the Google Play Terms of Service (https://play.google.com/intl/en_us/about/play-terms/) and the applicable Google Play Developer Distribution Agreement under which the App is distributed.
12.13.4 If the App fails to conform to any applicable warranty that cannot be disclaimed under law, you may notify Google and Google will refund the purchase price of the App (where applicable) to you; to the maximum extent permitted by law, Google has no further warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are our responsibility, not Google's.
12.13.5 We, not Google, are solely responsible for addressing any claims you or any third party may have relating to the App or your use of the App, including product liability, consumer protection, and intellectual property infringement claims.
12.13.6 You represent and warrant that you are not located in a country subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties — this mirrors §12.11 and is required by Google Play distribution terms.
