The following terms and conditions govern the relationship between You and MTN Communications Nigeria Limited, and form a legally binding contract in relation to your use of the MTN ePresence Service. Your reservation and/or use of the Service constitutes acceptance of all the Terms and Conditions contained herein.
1. Interpretations
In this ‘Terms and Conditions’:
a. "Rate" means the price MTN charges for the available ePresence Session;
b. "Contract" means, in order of precedence, the terms and conditions herein and the session reservation and confirmation processes;
c. "Participant" means the Customer and all persons who subscribe to and/or participate in an ePresence Session;
d. "Reservation Process" means the process defined by MTN through which You book or reserve an ePresence Session;
e. "Confirmation Process" means the process defined by MTN through which You receive confirmation of Your booked/reserved ePresence Session;
f. "Service" means the MTN ePresence Service as described under Clause 2(a) of this Terms and Conditions and shall include all steps, processes and activities carried out prior to, during the and upon the completion of a Session;
g. "Session" means the period reserved and or granted to You and the Participants to use the Service and such additional time used by You and the Participants for the Service;
h. "ePresence Room" means the provided meeting room in which You and anyone You allow will use the Service;
i. "ePresence System" means the equipment provided in the ePresence Room which enables You and anyone You allow use the Service;
j. “ePresence Session” means a meeting reserved and/or held at two or more of the ePresence Rooms by You and Your Participants;
k. “MTN”, "We" and "Us" mean MTN Nigeria Communications Limited;
l. "You/Your" means the Customer and subscriber to the ePresence Service with whom this Contract is being made and who is named in the Reservation/Confirmation Process and/or the Participants as the context admits.
2. Introduction
a. The MTN ePresence Service is being offered by MTN in conjunction with third parties and provides You the ability to have a virtual face-to-face meeting experience at designated facilities involving other Participants at geographically separated locations within Nigeria using interconnected state-of-the-art and high quality audiovisual systems.
b. Each ePresence Room is appropriately furnished with equipment and meeting facilities to enable the conduct of the ePresence Session.
c. Accessibility to the Service shall be subject to availability of an ePresence Room and the ePresence System.
d. MTN does not guarantee that the time-slots and Session type required by the Customer will always be available at any given time.
e. In providing the Service, We shall endeavor to use the reasonable skill and care of a competent Service provider.
3. Commencement of this Contract
a. This Contract shall commence upon the submission of a signed order Form and or the receipt of payment for use of the Service by MTN and or use of the Service in any of the locations designated by MTN to be so used to access or use the Service.
4. Provision of the Service
a. The provision of the Service is subject to the terms stated herein.
b. We do not guarantee that the Service or the platform on which the Service is being provided shall not be faulty to be limited or hindered by Force Majeure events, but We will endeavor to make every effort to correct reported faults as soon as it is reasonably practicable.
c. Subject to limitations listed herein and in the general terms and conditions for accessing MTN services, the Service is available between 8:00am and 10:00pm, 7 Days per week. Except:
i. in the event of scheduled planned maintenance, in which case the Service may not be available at the times advertised; or
ii. in the event of unplanned or emergency maintenance to be carried out on the ePresence System, ePresence Room and/or the MTN network; or
iii. in the event of force majeure events and any other circumstances beyond our reasonable control.
d. MTN reserves the right to:
i. make changes to the operational and/or technical specifications of the Service from time to time;
ii. give You instructions that We believe are necessary for health or safety, or for the quality of the Service that we provide to You or the Participants which You hereby agree to ensure are duly observed
5. Charges for the Service
a. The applicable rates for using the Service shall be communicated to You at the time of booking Your Session.
b. MTN reserves the right to make changes to the Rates for the Service from time to time.
c. Subject to the provisions of Clause 4 above, You shall be entitled to use the Service for the period reserved and You hereby agree that You shall not be eligible for or
d. entitled to a refund, in the event that the period reserved is not fully utilized by You.
e. Your access to the Service shall be limited to the Session so reserved and You shall be liable to pay for the period used outside the reserved rate of which shall computed at hourly rates. A final invoice shall be sent to you at the end of your Session and any additional payment due to session extensions shall be payable within 7 days of receipt of the invoice.
6. Reserving/Booking the Service
a. By making a booking/reservation, you are making an offer to use the Service.
b. Any acknowledgement (verbal, written and/ or electronic) you receive from MTN when You make a reservation is simply an acknowledgement that Your reservation has been received by Us and does not indicate acceptance/confirmation of Your booking.
c. MTN reserves the right to reject your offer to use the Service.
d. You shall immediately inform us of any changes, if any, to the information on Participants supplied by You during the reservation/booking process.
7. Holding/Confirming Your Reservation
a. Availability of all required ePresence Rooms will be confirmed on receipt of payment. Where there is a conflict in session booking. MTN reserves the right to cancel or request for a change to your scheduled session, at no additional cost to You.
b. MTN reserves the right to cancel Your booking/ reservation if full payment is not received within 48 hours of Your booking/ reserving the Service.
c. A confirmation notice sent to You and anyone You so indicate after receipt of payment by MTN shall constitute Our acceptance/ confirmation of Your booking/reservation. Receipt of payment by MTN for the Service, in itself, does not constitute Our acceptance/confirmation of Your reservation/booking.
8. Cancelling Your Reservation/ Booking
a. You may cancel Your booking up to 48 hours prior to the start of the Session. You are entitled to have the amount so paid for the cancelled booking applied to your credit against another booking or such other MTN services that you may have subscribed to PROVIDED your instruction to apply the said amount is received by Us within 7 days of your cancellation. Where your instruction as aforesaid is not received within the period stated, You shall receive a full refund, upon Your formal request, of the amount so paid within 30days from receipt of your formal request for a refund.
b. Cancellations that occur less than 48 hours prior to the commencement of Your Session shall be subject to an administration fee equal to fifty percent (50%) of the total Session charges payable.
c. Cancellations less than 24 hours prior to the start of the Session shall be subject to a cancellation fee equal to one hundred percent (100%) of the total Session charges payable.
d. If You have scheduled and not cancelled a booking or You or Your Participant do not use one or more ePresence Rooms booked for that Session, those ePresence Rooms shall be charged at the full rate for which they were reserved.
9. Modifying Your Reservation/Booking
a. If You need to modify your confirmed reservation/booking, including changes to a reservation date, time, location or Participants, You will need to give Us at least 24 hours notice, otherwise your booking shall be subject to the cancellation policy as indicated above.
b. Requests for additional ePresence Rooms or additional time when modifying your reservation/ booking shall be subject to availability. We do not guarantee that Your modified time and ePresence rooms requirements will be available.
10. Use of the Service
a. You agree that you are solely responsible for the content of all visual, written or audible communications sent by You in ePresence Sessions booked and/or held by You.
b. You further agree not to use the Service to communicate any message or material that is offensive, illegal, seditious, abusive, menacing, harassing, libellous, threatening, obscene, indecent, that can violate or is capable of violating the intellectual property rights or trademarks of any party or is otherwise unlawful, that would give rise to civil liability, or that constitutes or encourages conduct that could constitute a criminal offense, under any applicable law or regulation.
i. Without prejudice to your sole liability for the message or material referred to in ‘b’, MTN reserves the right to terminate any such communications of which We become aware, at any time without notice to You. We also reserve the right to disclose details of communications during the Session to law enforcement agencies and regulatory authorities. In addition, You agree You are solely responsible for any damage to the facility or any equipment/furnishings in the ePresence Rooms caused by You.
c. The terms and conditions of any existing group sales agreements or comparable contracts with any of the individual parties involved in the delivery of the Service or for events at the location where the ePresence Room is located shall not apply to, control or override the terms and conditions of this Service.
d. Other than using the Service for conferences or meetings in which You are an active Participant, and as permitted under this Contract, the Service may be used for internal business purposes only.
e. You agree that You may not resell, distribute, make any commercial use of, use on a timeshare or service bureau basis, or use to operate a Web-site or otherwise generate income from the Service or use the Service for the development, production or marketing of a service or product substantially similar to the Service. You shall not use the Service in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt the Service, the equipment or any network or networks connected to the Service.
f. You agree that Your Session may be recorded for purposes of quality control and such other purposes required by MTN for the effective delivery of the Service or as may be required by law enforcement agencies and regulatory authorities.
11. End of session
a. MTN is not obliged to remind You of the time the Session will end.
b. Any additional time spent after the time granted for the Session shall be counted as additional hour(s) and shall be charged for through additional invoice payable within 7days from date of delivery of the invoice.
12. Payment Method
a. Payment can be made via:
i. Cash: Payable only in MTN Service Centres
ii. Cheques: Payable to MTN
13. Limitation of Liability
a. We do not recommend use of the Service where the risk of non-availability carries a material risk. Accordingly You may only use the Service if You accept that all such risk is Yours and You shall take steps to insure Yourself against such risks.
b. MTN shall not be responsible for any damages arising out of Your and Your participants' use of the Service, including for any damages from property loss, theft or damage; injury to any persons; or the functionality of the ePresence System, unless the damages are solely due to gross negligence on Our part.
i. To the extent that MTN has any liability hereunder; you acknowledge and agree that Our total liability under this Contract shall be limited to the amount paid for the Service. Without limiting the foregoing, any statutory limitations of liability available to either party shall apply.
c. To the extent allowed by law We disclaim all liability for the use of the Service, in particular:
i. Any liability We may be adjudged as having incurred shall be limited to the rate paid for the Service.
ii. MTN shall not be liable for any unauthorized use or misuse of the Service by You or anyone else.
iii. MTN shall not be liable either to You or any other Participant of Your Session for any consequential or indirect loss or loss that is not reasonably foreseeable, nor any loss of business, revenue, profit, or savings You expected to make, wasted expense, financial loss or data being lost or harmed.
iv. Matters beyond our reasonable control including but not limited to; lightning, flood, or exceptionally severe weather, fire or explosion, sabotage, fibre cut, civil disorder, war, or military operations, national or local emergency, anything done by government or other competent authority, or industrial disputes of any kind, (including those involving our employees). MTN shall not be liable whether in contract, tort (including liability for negligence) or otherwise for the acts or omissions of third party partners involved in the provision of the Service, other service providers of telecommunication services or for faults in or failures of their networks and equipment.
d. Each part of this Contract that excludes or limits our liability shall operate separately. If any part is disallowed or is not effective, the other parts shall continue to apply.
14. Termination/ Suspension of Service/ Contract
1. MTN reserves the right to suspend or terminate the Service and this contract for a breach of any of the provisions in this Contract without notice and You hereby agree that You shall indemnify MTN for any loss or damages suffered by MTN or any third party claim made against MTN for Your breach of the provision stated herein or in any other section of this ‘Terms and Conditions’. Upon MTN’s termination of this Contract, You shall cease any further use of the Services:
i. If You are in breach of this Contract and/or We believe that the Service is being misused as stated in Paragraph 9 or under any relevant law or regulation, this right shall be exercised by MTN, at MTN’s discretion, per se, once it occurs and shall not be defeated by reason that the Service was being misused without Your knowledge or consent. You shall be informed of such suspension or termination as soon as reasonably possible.
ii. upon reasonable notice if you breach this Contract and fail to remedy the breach within a reasonable period of being asked to do so.
2. The performance of this Contract is subject to termination without liability upon the occurrence of any circumstance beyond the control of either party to the extent that such circumstance makes it illegal or impossible for Us to provide, or for groups in general to use, the Service, including failure of the ePresence System to function.
15. Variation
a. MTN reserves the right to make changes to these Terms and Conditions stated herein from time to time.
b. The Terms and Conditions in effect at the time you make a booking for the Service shall apply to such booking - any change will apply to future bookings.
c. Notwithstanding the foregoing, you agree that MTN may make changes to the Terms and Conditions applicable to Your booking to the extent that such change is required by law or government authority.
d. You cannot transfer your rights, benefits or obligations under this Contract or any part of it to a third party.
16. Third Party Rights
a. A person who is not a party to this Contract, has no right to enforce any term of this Contract.
17. Prevailing Law
a. The Terms and Conditions are governed by Nigerian Law and such regulatory policies as may be published by relevant law enforcement and or regulatory agencies.
18. MTN Terms and Conditions
a. All other general user terms and conditions as published on the MTN website (www.mtnonline.com) shall apply.
