Officer Information

ARTICLE V: ELECTED ROLES

Section 1. The officers of the HEA shall be a President, a Vice President, a Secretary and a Treasurer, each of whose terms shall be two years. The President’s and Secretary’s terms shall run concurrently, and will be staggered with the Vice President’s and Treasurer’s terms. Each of these offices may be occupied by two members running together as a pair.

Section 2. Should a vacancy in any of these offices occur which leaves the office unoccupied, the Executive Board shall have the responsibility to elect a replacement to complete the remainder of the term, by simple majority, from a pool of members who submit themselves as candidates. Should one member of a pair occupying an office leave such office for any reason, the remaining member will assume the role solely for the remainder of the term.

Section 3. Should a vacancy occur in the office of President, leaving the office unoccupied, the Vice President (or Co-Vice Presidents) shall immediately assume the role of Acting President (or Acting Co-Presidents) until such time as the Executive Board elects a replacement.

Section 4. No officer shall hold any other elected HEA position simultaneously during their time in office. The President shall not serve on any special or standing committee. The position of Building Representative may be held simultaneously with the positions of Negotiations Team Member, Negotiations Team Chair, or Grievance Chair. 

Section 5. The President

A. Shall be the Executive Officer of the HEA, who is principally responsible for leading and ensuring the operation of the HEA

B. Shall preside over meetings of the Executive Board and the general membership.

C. Shall, with the approval of the Executive Board, establish special committees.

D. Shall prepare an agenda for the Executive Board meetings, and general membership meetings.

E. Shall meet with the Superintendent of Schools regarding Association concerns, at least once a month.

F. Shall take the responsibility, in case of an emergency, to sign checks.

G. Shall perform all other functions usually attributed to this office.

Section 6. Vice President

A. Shall preside over meetings in the absence of the President.

B. Shall serve as a liaison between the President and the standing committees, providing committee chairpersons with written committee responsibilities.

C. Shall perform all other functions usually attributed to this office.

D. Shall work with the treasurer to conduct the annual member registration drive and maintain a role of the membership.

Section 7. The Secretary

A. Shall attend all meetings of the Executive Board and General Membership, and keep and disseminate accurate minutes of all meetings, to include all votes taken and a roll of the yeas, nays and abstentions.

B. Shall maintain and update as needed a contact list for all officers, building representatives, Negotiations Team members.

C. Shall maintain and update the HEA website as needed.

D. Shall be responsible for facilitating HEA elections.

Section 8. The Treasurer

A. Shall hold the funds of the HEA and disperse them in accordance with budgeted authorization.

B. Shall provide the Town Treasurer with the necessary information for payroll deduction by October 15th.

C. Shall transmit all amounts due to the MTA on a regular basis.


D. Shall keep an accurate account of income and disbursements, and shall report balances, in writing, at each Executive Board meeting.


E. Shall have all expenditures outside the regular budget over $100.00 approved by the Executive Board. The regular budget shall include payment of stipends, disbursements to MTA, tax payments, and fees related to accounting and storage.

F. Shall prepare an annual financial statement for publication to members as directed by the Executive Board.

G. Shall be bonded by the HEA.


H. Shall provide records for annual financial reviews.

I. Have custody of all the funds belonging to the Association, and deposit them in the name of the Hudson Education Association, Inc., in any appropriate financial institution legally authorized to do banking and/or investment business in Massachusetts.

J. Shall work with the Vice President to conduct the annual member registration drive and maintain a role of the member.


Section 9. Grievance Chair

A. Shall be elected by the membership for a 2 year term.

B. Shall be on call to communicate with members regarding potential contract violations, and to guide them through the grievance process.

C. Shall communicate with and provide updates to Leadership and the MTA as needed.

D. Shall complete, file and maintain all paperwork related to grievances.

E. This position may be occupied by two members serving as co-chairs.

Section 10. Resignations
Resignations for any elected or appointed HEA positions shall be made in writing to the President and Executive Board.
