Welcome to Headr! These Terms and Conditions ("Terms") govern your use of the Headr mobile application and website (collectively, the "Service"). By accessing or using Headr, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you may not use the Service.

1. Use of the Service

a. Eligibility

You must be at least 13 years old to use Headr. By using the Service, you represent and warrant that you meet this age requirement.

b. Account Registration

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

c. Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

2. User Content

a. Ownership and Responsibility

You retain ownership of any content you upload, post, or otherwise transmit through the Service ("User Content"). You are solely responsible for your User Content and the consequences of sharing it.

b. License to Headr

By posting User Content, you grant Headr a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and Headr's business.

c. Prohibited Content

You agree not to upload, post, or otherwise transmit any User Content that:

• Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

• Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.

• Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.

3. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law.

• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.

• Taking any action that imposes, or may impose, at our sole discretion, an unreasonable or disproportionately large load on our infrastructure.

• Using any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.

• Uploading invalid data, viruses, worms, or other software agents through the Service.

• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity, conducting fraud, hiding or attempting to hide your identity.

4. Intellectual Property

a. Ownership

The Service and its original content, features, and functionality are and will remain the exclusive property of Headr and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

b. Feedback

You may provide Headr with suggestions, comments, or other feedback ("Feedback") about the Service. You hereby grant Headr a perpetual, irrevocable, non-exclusive, royalty-free, and fully sublicensable right to use the Feedback for any purpose without any obligation to you.

5. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach any of these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Headr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Service; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Service; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

7. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from these Terms or the use of the Service shall be resolved in the courts located in India.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
