## 3. User Content
### 3.1 Your Ownership
You retain ownership of content you upload, submit, or create through the Service (“User Content”), subject to third-party rights in any underlying materials.
### 3.2 License You Grant to Us
To operate the Service, you grant us a limited, non-exclusive, non-transferable, revocable license to host, process, reproduce, and display your User Content solely to:
- perform the AI processing you request
- deliver, store (temporarily), and export outputs

This license ends when your content is deleted from our systems, except where retention is required by law or for legitimate security purposes.
### 3.3 AI Processing Limits
- Your User Content is processed on a request-by-request basis.
- We do not use your uploads to train general AI models or improve services for other users.
- You are responsible for ensuring you have the rights to upload and use all materials you provide.

## 4. Acceptable Use
You agree not to use the Service to create, upload, generate, or distribute content that:
- violates applicable laws or regulations
- is sexually explicit, pornographic, or exploitative
- is violent, hateful, harassing, or abusive

- infringes intellectual property, privacy, or publicity rights
- is misleading, fraudulent, or deceptive

- **One-time in-app purchases** — credit packs for AI features
- **Free trials** — where offered, subject to conversion rules in the Subscription Terms
### 6.1 Billing
All payments are processed through **Google Play**. We do not directly collect or store your payment card information.
### 6.2 Auto-Renewal
Subscriptions renew automatically unless canceled before the end of the current billing period. Details on cancellation, trials, credits, and pricing changes are set out in the **Subscription Terms**.
### 6.3 Refunds
Refunds for Google Play purchases are handled under **Google Play’s refund policies**. Contact us at **FluxMoviohelp@outlook.com** for account or entitlement issues; we cannot override Google Play billing decisions.
### 6.4 Advertising
Non-subscribers may see in-app ads. Subscribers with an active ad-free plan will not receive in-app advertising from us during the subscription period, as described in the Subscription Terms.

## 7. Intellectual Property

- the Service will be uninterrupted, secure, or error-free
- outputs will be free from third-party claims
AI-generated content is not professional, legal, medical, or financial advice.

## 11. Limitation of Liability
To the maximum extent permitted by law:
- we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, Credits, or business opportunities
- we are not liable for AI output quality, similarity to other users’ outputs, third-party claims related to your use of outputs, or interruptions caused by third-party services
- our total aggregate liability for any and all claims arising from or relating to the Service is limited to the greater of (a) the amount you paid us through Google Play in the **12 months** before the claim, or (b) **USD $50**
These limits apply whether claims are based on contract, tort, negligence, strict liability, or any other theory, even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the minimum extent permitted by law.

## 14. Dispute Resolution and Governing Law

### 14.2 Informal Resolution
Before initiating arbitration or legal proceedings, you agree to contact us at **FluxMoviohelp@outlook.com** and allow **30 days** for informal resolution. During this period, both parties will negotiate in good faith.
### 14.3 Binding Arbitration (Exclusive Forum)
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service (including non-contractual disputes) shall be **finally settled by binding arbitration** as the **sole and exclusive method of dispute resolution**, except that we may seek injunctive or other equitable relief in the courts of Hong Kong to protect our intellectual property, confidential information, or Service integrity.
The arbitration shall:
- be **seated in Hong Kong**
- be conducted in **English**
- be governed by the **Arbitration Ordinance (Cap. 609)** of Hong Kong
- be heard by **one arbitrator** appointed by mutual agreement; if the parties cannot agree within **30 days**, the arbitrator shall be appointed upon the request of either party by the **Hong Kong International Arbitration Centre (HKIAC)**
The arbitral award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
### 14.4 Class and Representative Action Waiver
To the fullest extent permitted by law, you and **Flux Movio: AI Video Maker** agree that all disputes shall be resolved **only on an individual basis**. You waive any right to participate in or bring a class, collective, consolidated, private attorney general, or other representative action or proceeding.
### 14.5 Limitation Period
Any claim arising out of or relating to these Terms or the Service must be commenced within **one (1) year** after the event giving rise to the claim; otherwise, it is permanently barred to the fullest extent permitted by law.
### 14.6 Costs
The arbitrator may award costs and reasonable legal fees to the **prevailing party**, as determined by the arbitrator under applicable law and the circumstances of the dispute.
Nothing in this section limits non-waivable rights under mandatory applicable consumer protection law.
