HOUSE RULES ASML SOFTBALL TEAM
GOAL:
Promoting the mutual "sports" contacts of mainly ASML employees by practicing softball sport in accordance with the rules prescribed by the KNBSB in a recreational context.
HOUSEHOLD REGULATIONS:
Article 1 - When can you become a member:
If one is employed on a permanent basis at ASML (worldwide), is a long-term temporary worker at, or is otherwise directly associated with ASML. Others can also become a member if the percentage of ASML employees is at least 50%.
Article 2 – Who can join:
Both ladies and gentlemen are welcome, whereby the board can announce a membership freeze when the number of participants has reached 25. For the time being, there is no stop for ladies who want to join, because of the fact that in competitions and tournaments often 3 ladies have to be on the field.
Article 3 - When are you a member:
Membership is a fact when the financial obligation has been met (at the discretion of the treasurer). Making the payment also indicates that you agree with the “HOUSEHOLD REGULATIONS ASML SOFTBALL TEAM”.
Article 4 - Duration of membership:
A membership is entered into for the duration of one season. Membership is not automatically renewed. Before the start of the new season, the start of registration for the new season will be announced via the appropriate channels.
Upon termination of ASML employment or any other relationship with ASML, the membership will automatically end. The executive board then decides whether to grant membership.
Those who were registered as a member in the previous season (reference date October 1) are granted the right to register with priority over “new members” before the start of the new season. This “pre-registration” takes place in the month of February. Those on a waiting list (reference date October 1) have priority over “newcomers”.
Article 5 - Contribution:
Each participant owes a personal contribution. The amount of the personal contribution is determined annually by the executive board.
If the membership starts during the season, the personal contribution will be calculated and determined pro rata.
The personal contribution is used for non-sponsored expenditure participation such as bank costs, domain costs, material costs, etc.
Article 6 - Honorary members:
Honorary members are members who have been appointed as such on account of special merits towards the association.
Honorary members do not pay the full annual personal contribution, but only a symbolic amount of €0.01 for administrative convenience. However, they do have all the rights of the members. An Honorary Member is a member for life and has all the rights and obligations that the members have. No more than one member per year may be appointed as an honorary member.
AST can appoint a maximum of 3 honorary members.
Honorary membership is in principle for life. Only in case of repeated neglect of the responsibilities that an honorary membership entails, the GMM can, on the recommendation of the board, ask the relevant honorary member to cancel his or her honorary membership.
An honorary member is appointed by the General Assembly with at least 75% of the valid votes cast.
Conditions for eligibility for honorary membership
He/she must:
• Be a member and have been a member of the association for at least 10 years
• Have satisfactorily fulfilled a board position or have performed an exceptional performance for the association
• Be nominated by the board or at least 5 voting members
• Always been very loyal and positive towards the association and its board members
Procedure:
1. A nomination must be submitted in writing to the board and may be submitted by any member of the association. The nomination must include clear and objective arguments and is signed by at least five members.
2. The board assesses whether the proposed candidate meets the criteria, also it is checked whether there are otherwise no objections to the proposal.
3. If the board agrees with the nomination, this will be recorded in the minutes of the board meeting.
4. The award will be presented by the board during the next general meeting of members.
5. If the board rejects the proposal, the applicant concerned will be informed in writing, stating the reasons for the rejection.
The approval of a new honorary member by the General Members' Meeting (GM) takes place in a voting round. The board of the AST can nominate a candidate who meets the above conditions.
The GMM can then approve or disapprove by majority vote. The candidate honorary member will only be informed of his or her nomination if the result is positive.
AST introduces its new honorary member to its members through an article on the website and email.
Article 7 - Equipment:
A team member is responsible for his own baseball glove and footwear.
A uniform consists of a shirt, trousers with a belt, and a cap. The shirt and pants with belt are made available on loan by the club.
These parts of the uniform made available on loan may only be worn during official matches and tournaments, not during training sessions. The cap must be purchased through the club and becomes personal property.
After termination of the membership or in the event of non-compliance with the financial obligations, the shirt and pants with belt must be returned immediately.
A deposit must be paid by the member for the uniform parts made available on loan, which will be refunded upon termination of membership and return of the uniform. The amount of the refundable deposit is determined by the condition of the returned uniform.
Article 8 - Risk of participation:
Participation in activities is at the risk of the participant/star. No separate collective insurance has been taken out. Any consequential damage must be recovered from the personal health insurance or liability insurance.
Article 9 - Status of the club:
The club plays as a corporate softball team.
The club is not licensed by the Royal Dutch Baseball and Softball Association (KNBSB) and is not affiliated with this organization in any other way. There are therefore no financial obligations with regard to this bond.
Article 10 - Training evening / Competition evening:
The regular training evening is determined on the recommendation of the majority of the members, depending on the availability of the accommodation.
In principle, training and competition evenings always take place. If a training/match is canceled in rainy weather, a cancellation notice will be sent to the members on the same day around 4 p.m.
Cancellations for training sessions and competitions must be communicated to the trainers in advance, preferably via the Teamers app.
Article 11 - Board and Daily Board:
The board preferably consists of 3 persons. The General Assembly elects the board members from among its members. The elected board members are appointed for a period of 3 years (+ transfer period).
The General Assembly elects the chairman from among the elected board members.
The board elects the secretary and treasurer from among the board members. The board also appoints a material manager and a training staff.
The chairman, secretary and treasurer together form the daily board.
The chairman and treasurer must be employed by ASML. This must not be deviated from.
The secretary preferably works at ASML. This may be deviated from with the approval of the General Members' Meeting.
In the absence of a secretary, this function will be fulfilled by a collaboration of the chairman and treasurer.
All affiliated members of the club have their own responsibility in this and should take on a (partial) task where possible.
Article 12 - Start and end of the outdoor season:
The season formally kicks off in April when daylight saving time kicks in.
The season ends – depending on the light – at the end of September.
Article 13 - Handling equipment/uniforms/accommodation:
Each member is responsible for normal handling of the materials/uniforms/accommodation made available to him/her, and must abide by the directions imposed by the designated trainers/board members.
If one deliberately evades the instructions indicated by the aforementioned persons, one can deny him/her further participation in the team. Any damage caused will be recovered from the person.
Each member is responsible for the material made available to him/her and ensures correct maintenance resp. repairs. The costs of cleaning, repair or replacement due to loss are for the account of the user. Normal wear and tear, the uniforms are written off after 5 years. Damage caused during the practice of the sport (by sliding slides, for example) is considered “normal” wear and tear.
The materials made available on loan are and remain the property of the club.
Modifications without permission from the board are not allowed. After termination of the employment/membership, the materials provided on loan must be returned immediately to the board.
Article 14 - Sponsorship ASML:
As part of ASML's sponsorship, the official uniform must be worn at any official competition event (including tournaments).
The caps are preferably worn during any outdoor activity.
Article 15 - Disputes, etc.:
If a conflict cannot be resolved privately, the board can call an extraordinary members' meeting in which the members are granted voting rights.
The outcome of the (written) vote is binding on all parties.
The board reserves the right to deviate from what is stated under point 4 in these regulations for practical reasons.
Article 16 - Participation obligation:
All members are expected to participate in all training and competitions. If (at the discretion of the board) a team member makes (too) little or no use of the training and/or competition evenings offered, the board may decide to revoke the membership of the person concerned, in order to make the vacant place available. to any “waiting list” members resp. new members.
Before proceeding with the implementation of this article, the board will contact the coaching staff and inform itself about the attendance frequency.
The coaching staff will keep track of attendance at training sessions and matches throughout the season. The obligation to unsubscribe for training sessions and competitions remains in full force and will be included as an important factor in the decision-making process when the board consults Article 16.
No defense as referred to in Article 15 of these regulations is possible against the decision.
Article 17 - Refund of membership fees:
Only under very special circumstances (eg unforeseen posting during a period of 6 months or longer) can the board decide on a (partial) refund of the personal contribution paid. Termination of membership due to Article 16 of these Rules of Procedure or premature voluntary termination of membership does not entitle the person concerned to any refund of the personal contributions as referred to in Article 5.
Article 18 - Finance:
The management of the funds is entrusted to the treasurer.
The funds have been deposited into an appropriate account. Powers of attorney belonging to the bank account are preferably granted to two board members.
Each season, the treasurer reports to the General Members' Meeting on the financial policy pursued by the board.
Objective control of the said monies is performed by an appointed audit committee whose members are elected by the General Assembly. An elected audit committee member is appointed for a period of 2 years. In order to guarantee continuity, the members take turns resigning each year.
