BYLAWS OF THE

ALTURA PARK NEIGHBORHOOD ASSOCIATION



ARTICLE I – NAME


The name of this non-profit corporation shall be ALTURA PARK NEIGHBORHOOD ASSOCIATION (APNA).


ARTICLE II – PURPOSE


The purpose for which the corporation is organized are:

  1. To promote a better neighborhood and community through group action, and to do any and all other acts incident thereto, or which are permissible pursuant to the New Mexico Non-profit Corporation Act and within the meaning of Section 501(C)(3) of the Internal Revenue Code for a neighborhood association.

  2. Develop and maintain an effective working relationship between members and the governmental entities that influence or directly impact the APNA.

  3. Provide an atmosphere to increase the sense of community among our members.


ARTICLE III – MEMBERSHIP AND VOTING


There shall be one class of members whose rights and interests shall be equal:

  1. Any person who is an adult resident who owns or rents a residence or real property within the boundaries of the Association is eligible to be a member of the Association. There shall be one voting membership for each household.

  1. Any person or legal entity who operates a place of business or institution within the boundaries of the Association is eligible to be a member of the Association. There shall be one voting membership for each place of business.

  1. To become a voting member of the association, eligible members must sign up with the APNA.

  1. The boundaries of the Altura Park Neighborhood Association are the area within Indian School Rd. NE, Washington St. NE, Constitution Ave. NE and Morningside Dr. NE which boundaries include residences on either side of the boundary streets. A map of the Altura Park Neighborhood Association is attached as Exhibit “A” to these Bylaws.


ARTICLE IV – DUES


Changes to dues shall be approved by the Board of Directors at the beginning of every fiscal year. The fiscal year of the Association shall be October 1 to September 30 of each year. Any person who is an adult resident or who owns or rents a residence or real property within the boundaries of the association may become members and establish voting rights without payment of annual dues.





ARTICLE V – OFFICERS AND BOARD OF DIRECTORS

  1. The governing body of the organization shall be a Board of Directors consisting of a minimum of seven and a maximum of eleven (7-11) members elected to two-year staggered terms, (three to five members even years, four to six members odd years) by the general membership at the annual meeting on the third week in September of each year, or at such time as set by the Board of Directors.

  1. The officers shall be President, Vice President, Secretary and Treasurer who shall be elected by the Board of Directors from amongst their members at the first Board meeting following the annual meeting.

  1. Vacancies among the Board of Directors shall be filled for the remaining term by the Board of Directors from a slate of candidates presented by the election committee.

  1. Any member of the Board of Directors who miss more than 40% of the board meetings within their two-year term, may not be eligible for another term unless voted otherwise by majority vote of the remaining Board Members.

  1. A majority of the Board of Directors shall constitute a quorum.



ARTICLE VI – COMMITTEES


  1. The election committee is responsible for preparing and managing the process of electing members to the Board of Directors and filling any mid-term vacancies of board members. The President shall name a chair of the election committee. The election committee chair shall recruit a minimum of one member. The election committee will recruit and prepare a slate of candidates for election at the annual membership meeting. Eligible members who want to serve on the board can be added to the ballot at the annual meeting.


  1. The election committe is responsible for managing the process for the election of Officers at the first board meeting following the annual membership meeting and the filling of any mid-term vacancies.


  1. The President may establish committees as deemed necessary or recommended by the Board of Directors. Committee chairpersons shall be appointed by the President. Committees may include APNA members in addition to Board Members.


  1. The role of the committee shall be to research, report, recommend action and to undertake activities authorized by the Board. Committee chairpersons are responsible for facilitating committee meetings and communications with all committee members. The committee chairperson shall regularly update the Board of Directors and shall be available for questions.





ARTICLE VII - MEETINGS

  1. The regular meeting held in September shall be known as the Annual Meeting, and this meeting shall be advertised, at least seven days in advance of the meeting, to all residents and businesses within the boundaries of the Association by at least two of the following methods;

a. Written notice through placement of one or more signs at prominent locations within the boundaries of the association; or

b. U.S. mail; or

c. Delivered flyers; or

d. Website or social media posting; or

f. Email, text message, direct message through social media, or other forms of electronic messages delivered to the known address of each member,

  1. The purpose of the meeting shall be to elect Board members and conduct other business as determined by the Board.

  1. Only those persons within the boundaries of the association who have affirmatively joined the association for the current or subsequent fiscal year may be counted as members and vote in the election The payment of dues is not a prerequisite of membership or voting rights in the association. Members must be present at the annual meeting to vote. Results are tallied by the election committee. Candidates receiving the most votes shall be elected. In case of a tie there shall be an immediate runoff election by written ballot.

  1. Board meetings will be held as deemed necessary by the Board of Directors.

  1. Special meetings of the Board of Directors may be called by request of a Board member or a member of the association.

  1. The President shall preside over meetings of the association. The Vice President shall perform all duties of the President during the absence of the President. If the President and Vice President are absent the Secretary will assume the responsibility. The election committee is responsible for filling all mid-term vacancies.




ARTICLE IX – DISSOLUTION


In the event of the dissolution of the Altura Park Neighborhood Association, after all bills of the Association have been paid, all funds then held by the Association shall be turned over to the Parks and Recreation Department of the City of Albuquerque for the improvement or maintenance of Altura Park.



ARTICLE X – AMENDMENTS


The Bylaws may be amended at any regular meeting of the Board providing that the proposed items have been circulated to all members of the Board at least five (5) days prior to the meeting at which they are to be considered and that two-thirds (2/3) of those Board members in attendance approve the amendment.



ARTICLE XI – PARLIAMENTARY AUTHORITY


Roberts Rules of Order, Newly Revised, shall be the parliamentary authority for all matters of procedure not specifically covered by the Bylaws.



ARTICLE XII – NON-LIABILITY


To the extent permitted by law, the corporation and its Directors shall not be personally liable to the corporation or its members pursuant to the provisions of NMSA 1978, Sections 53-8-25.2 and 25.3




ARTICLE XIII - BYLAW AMENDMENT 1


In keeping with the original concept of Altura Park to provide abundant open spaces for the children of Albuquerque to play and with consideration to the City of Albuquerque and its residences any placement of “memorial trees” must meet the guidelines set forth by the Altura Park Neighborhood Association. The “Association" requests advance notification from the City of Albuquerque Parks and Recreation Department and from those desiring a “memorial” in Altura Park for approval and to determine the proper memorial and placement.
