Welcome to अदिरथ/Adirath (the "Platform" or "App"), a Software-as-a-Service (SaaS) ride-pooling and route-matching application. Adirath is owned, managed, and operated by Sukham Jeevan Private Limited [CIN: U52290DL2025PTC444669 Registered Office: A-5, Carnal Bhatia Road, Vikas Nagar, Uttam Nagar, New Delhi, West Delhi- 110059, Delhi] ("we", "us", or "our").
By registering, logging into, accessing, ticking the "I Agree" checkbox, or using the Platform, you ("User", "you", or "your") acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.
1. NATURE OF THE SERVICE (SaaS PLATFORM ONLY)

1.1. Platform Provider Status: Adirath is strictly a Software as a Service (SaaS) digital technology platform that facilitates communication and route matching among individuals belonging to the same verified organization (e.g., university, corporate hub, or institution, etc.).
1.2. Not a Transportation/Mobility Service Provider: Adirath is NOT a motor cab aggregator, mobility service provider, taxi operator, or carrier. We do not own, operate, manage, or lease vehicles, nor do we employ, contract with, or engage drivers or transport service providers (such as private car owners, auto drivers, or cab operators, etc.).
1.3. Independent Arrangements: Any ride-pooling or shared travel arrangement initiated through the Platform is a private, voluntary agreement entered into directly between the platform users. Adirath is not a party to any agreement, contract, or arrangement between Users.
2. ELIGIBILITY, REGISTRATION, AND ACCOUNT SECURITY

2.1. Verified Organizational Membership: Access to Adirath is restricted exclusively to users with active, verifiable and parent organization issued email id, hereby referred as the official email id. For example, students, faculty, and staff of with university issue email id (currently Bennett University and subsequent partner organizations).
2.2. Account Creation:
Users must register by providing accurate details, including official email id, and a clear photo/scan of their official institutional ID card. What user details are captured, stored and for what purpose, everything is detailed in Privacy Policy.
First-time account activation and password setup are completed via an email verification link sent to your official email id.
2.3. Accuracy of Information: You warrant that all information supplied during registration is truthful, complete, and up to date. Impersonation or submitting false information will result in immediate termination of access and potential reporting to your organization’s administrative authorities.
2.4. Account Responsibility: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.
3. RIDE CREDITS, VALIDITY, AND COMMISSION

3.1. Ride Credits Maintenance:
To access ride-publishing or ride-requesting features, Users must maintain a minimum account balance of 150 Ride Credits.
If your credit balance falls below 150 credits or your account validity expires, you will be required to purchase additional Ride Credits (e.g., at the rate of 1 Ride Credit = ₹1, say for ₹500 for a extended validity period of T+30 days, or as determined by Adirath from time to time).
3.2. Platform Commission: Adirath charges a 10% SaaS Platform Commission to cover the platform costs for matching and facilitating the connection.
3.3. Credit Deduction: Upon completion of a ride, Adirath automatically deducts the calculated SaaS commission and relevant platform usage credits from the Users’ credit balance and generates an in-app receipt.
3.4. Transferability-Refundability of Ride Credits:
Purchased Ride Credits are absolutely non-transferable.
Refund of the Ride credits can be requested, only if the user wishes to close their account permanently with Adirath.
Refund will be made into equivalent ₹, at the same rate at which the user made the purchase, after settling any pending dues.
The request for refund must be made by writing to: guptaprashant1986@gmail.com, within the validity period Ride Credits. Post expiry of the validity period, the decision to refund the Ride Credits is solely at the discretion of Sukham Jeevan Private Limited.
Please note that Administrative charges or transaction fees incurred during payment processing may be deducted from the refunded amount.
4. RIDE PUBLISHING AND MATCHING

4.1. Fixed Origin/Destination Rule: Every ride published or searched on the Platform must have either its starting point or final destination fixed at the user's organization’s campus/premises.
4.2. Allowed Travel Modes & Capacity:
Personal Car: Maximum of 1 Car Owner + up to 3 Co-travellers.
Cab / Auto: Maximum of 1 Ride Publisher + up to 2 Co-travellers.
4.3. Scheduling Window: Rides can only be scheduled or searched from present moment up to a maximum of 7 calendar days in advance.
4.4. Corridor Route Matching: Route matching is determined algorithmically. Co-travellers are matched if their requested drop-off/pick-up point falls within a maximum corridor width (e.g., 1.3 kilometers or as fixed algorithmically) of the Publisher’s published route. The app displays estimated deviations/distances to the User prior to requesting a seat.
4.5. Approval Authority: Ride Publishers retain full discretion to approve or reject any seat request placed by a Co-traveller.

5.1. Non-Commercial Fuel/Cost Sharing:
In full compliance with the Motor Vehicles Act, 1988 (and its amendments), personal vehicles registered on the Platform shall NOT be used for commercial gains, profit, or hire.
Cost calculations on the Platform (presently benchmarked at ₹10/km or as updated) represent a purely fair-share contribution toward direct travel expenses (e.g., fuel, tolls, etc.).
5.2. Publisher Contribution: The vehicle owner/Ride Publisher is explicitly factored as a cost-contributing party to the overall ride cost, ensuring no profit or commercial fee is generated by the car owner.
5.3. Distance Corridor Billing: Co-travellers are charged only for the actual distance corridor traveled, divided equally among all co-travelers (including the driver/publisher) present during that segment.
5.4. Off-App Financial Settlements:
Adirath does NOT handle, collect, or process peer-to-peer cash or digital money transfers between Users for ride costs.
Expense-reimbursement settlements (paying the car owner, cab driver, or auto driver) must be handled directly between the Co-travellers and the Ride Publisher/Driver outside the App.
Adirath disclaims all liability concerning payment disputes, non-payment, or cash handling between Users.
Adirath or Sukham Jeevan Private Limited does not guarantee, recover, or enforce off-app payment settlements between platform users.
6. USER CONDUCT, SAFETY, AND VERIFICATION

6.1. Code of Conduct: Users agree to behave respectfully, legally, and responsibly during shared trips. Any harassment, discrimination, reckless driving, substance abuse, or illegal activity during a pooled ride is strictly prohibited.
6.2. Direct Interactions: Adirath connects verified organizational peers to enhance personal safety; however, Users are advised to exercise their own reasonable discretion, caution, and judgment before embarking on any shared trip.
6.3. Zero Tolerance for Misuse: Misrepresenting organizational status, abusing the matching algorithm, or engaging in unauthorized commercial taxi operations via the Platform will result in immediate permanent banning and legal action.
7. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

7.1. "As-Is" Service: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including fitness for a particular purpose or availability.
7.2. No Guarantee of Rides: Adirath does not guarantee that a User will find a matching ride, or that a published ride will be completed without cancellation.
7.3. Exclusion of Liability for Rides/Accidents:
Adirath is not responsible or liable for any loss, damage, personal injury, death, vehicular accident, delays, route deviation, theft, or property loss occurring before, during, or after a ride facilitated by the Platform.
Vehicle condition, insurance coverage, driving licenses, and compliance with traffic laws are the sole responsibility of the vehicle owner/driver.
7.4. Maximum Liability: Under no circumstances shall Adirath’s aggregate liability to any User exceed the total amount of SaaS platform commission fees actually received by Adirath from that User in the preceding thirty (30) days.
8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Adirath, its founders, developers, employees, partners, and affiliated organizations from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or related to:
Your violation of these Terms or any applicable laws (including traffic laws and the Motor Vehicles Act);
Your usage or participation in any ride-pooling trip facilitated by the Platform;
Any dispute arising between you and another User (or third-party transport driver).

Your privacy is paramount. Adirath collects and processes your personal and official details. Please refer to our Privacy Policy for detailed information on how your data is collected, stored, and processed.
10. MODIFICATIONS TO TERMS AND PLATFORM SERVICES

Adirath reserves the right to modify, amend, or update these Terms, pricing structures, per-kilometer standard rates, or platform features at any time. Updated Terms will be posted on the App. Continued usage of the Platform after changes are published constitutes your acceptance of the revised Terms.
11. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes, claims, or proceedings arising out of or in connection with these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
