Law No. 45: Regulations on Consumer Protection and Competition Defense
ARTÍCULO 1
Objeto.
La presente Ley tiene por objeto proteger y asegurar el proceso de libre competencia económica y la libre concurrencia, erradicando las prácticas monopolísticas y otras restricciones en el funcionamiento eficiente de los mercados de bienes y servicios, para preservar el interés superior del consumidor.
ARTÍCULO 2
Ambito de aplicación.
Esta Ley se aplicará a todos los agentes económicos, sean personas naturales o jurídicas, empresas privadas o instituciones estatales o municipales, industriales, comerciantes o profesionales, entidades lucrativas o sin fines de lucro, o a quienes, por cualquier otro título, participen como sujetos activos en la actividad económica. Igualmente, se aplicará a todos los actos o prácticas que surtan sus efectos en la República de Panamá, indistintamente del lugar en donde se perfeccionen.
ARTÍCULO 3
Monopolios y actuaciones oficiales.
Esta Ley no se aplicará a las actividades económicas que la Constitución Política y las leyes reserven exclusivamente al Estado y no hayan sido otorgadas en concesión. En lo que no concierna a tales actividades económicas reservadas, las instituciones y dependencias del Estado y los municipios están obligados a acatar las disposiciones contenidas en la presente Ley.
El Estado velará por que en sus decisiones y actos administrativos se resguarden los principios de libre competencia y libre concurrencia económica, señalados en esta Ley. A tal efecto, todos los municipios, instituciones autónomas o semiautónomas e instituciones estatales en general podrán solicitar concepto a la Autoridad de Protección al Consumidor y Defensa de la Competencia, en adelante la Autoridad, cuando en el ámbito de sus decisiones se pueda afectar la libre competencia o la protección al consumidor.
Se exceptúa de la aplicación de las disposiciones de la presente Ley cualquier acto, reunión, acuerdo, arreglo, convenio o fórmula, o cualquier otro mecanismo o modalidad que promueva el Estado con agentes económicos, cuando dicho mecanismo o modalidad se realice con miras a salvaguardar el interés público.
El interés público deberá ser declarado por el Consejo de Gabinete, para lo cual se podrá solicitar opinión del Consejo Asesor.
Article 1
Purpose.
This Law aims to protect and ensure the process of free economic competition and free market participation, eliminate monopolistic practices and other restrictions on the efficient functioning of goods and services markets, and safeguard the consumer's paramount interest.
Article 2
Scope of Application.
This Law shall apply to all economic agents, whether natural or legal persons, private companies, or state or municipal institutions, including industrial entities, merchants, professionals, for-profit or non-profit organizations, or anyone who, under any other designation, participates as an active subject in economic activity. Similarly, it shall apply to all acts or practices that produce effects in the Republic of Panama, regardless of where they are carried out.
Article 3
Monopolies and Official Actions.
This Law shall not apply to economic activities that the Political Constitution and laws reserve exclusively for the State and have not been granted under concession. For economic activities not reserved in this manner, State institutions and agencies, as well as municipalities, are required to comply with the provisions of this Law.
The State shall ensure that its decisions and administrative actions uphold the principles of free competition and free economic participation established in this Law. To this end, all municipalities, autonomous or semi-autonomous institutions, and state entities in general may seek guidance from the Consumer Protection and Competition Defense Authority, hereinafter referred to as the Authority, when their decisions may affect free competition or consumer protection.
Any act, meeting, agreement, arrangement, convention, formula, or any other mechanism or modality promoted by the State in collaboration with economic agents is exempt from the application of this Law, provided such mechanism or modality is aimed at safeguarding the public interest.
The public interest must be declared by the Cabinet Council, which may request an opinion from the Advisory Council for this purpose.
