ARTICLE I
NAME
The name of this Association shall be the Concord Elementary School Home and School Association.
ARTICLE II
PURPOSE
The purpose of this Association is to provide a direct line of communication between the parents, faculty, and administration of Concord Elementary School and to promote the advancement of education and foster the welfare of children and youth in the home, school, and community.
ARTICLE III
MEMBERSHIP AND DUES
SECTION 1- MEMBERSHIP
The privilege of membership shall be extended to any adult in the Garnet Valley School District who is in good standing with this Association and who pays the annual dues. The privilege of making motions, holding office, debating and voting shall be limited to members.
SECTION 2 - DUES
The Executive Committee at the Annual New-Budget Meeting shall set the annual dues.
ARTICLE IV
COMMITTEES
SECTION 1- GENERALLY
There shall be such standing and special committees as the Executive Committee shall, by majority vote, establish, and said committees shall perform such functions as directed by the Executive Committee.
SECTION 2 - EXECUTIVE COMMITTEE
[A] Membership - The Executive Committee shall consist of: President, Vice-President, Secretary, and Treasurer.
[B] Duties:
President - The President shall preside at all meetings, give leadership to the organization, stimulate all members to their best efforts on behalf of this Association; shall also be a member ex officio of all committees; and shall perform all other duties usually pertaining to the office.
Vice-President - The Vice-President shall preside at all meetings in the absence of the President, act as a representative of this Association when called upon by the President and pursue the same objective in the absence of the President. If the President should resign or otherwise become unable to continue in office, the Vice-President will assume all duties of the President's office:
Secretary - The Secretary shall keep correct records of all meetings of the Association and the Executive Committee and perform such duties as may be delegated to that office, including the handling of all correspondence.
Treasurer - The Treasurer shall receive all monies of the Association and keep an accurate record of receipts and expenditures in accordance with Article VII of these By-Laws. The Treasurer shall present a statement of account at every meeting of the Association showing balance, receipts, and other expenditures since any previous meeting, and at other times when requested by the Executive Committee.
[C] Vacancies - A member of the Executive Committee, having missed three consecutive meetings, without just cause, shall be asked by the remaining members of the Committee to resign. A vacancy in any office shall be filled for the unexpired term by a person appointed by the President and approved by the Executive Committee.
SECTION 3 - NEW BUDGET COMMITTEE
It will be the purpose of a New Budget Committee to establish a budget for the forthcoming school year. The outgoing Treasurer will chair the New Budget Committee. Members of the committee will include: the incoming Treasurer and President, the outgoing Treasurer and President, the Principal, and at least three other HSA members appointed by the outgoing President.
ARTICLE V
ELECTION OF OFFICERS
SECTION 1- ELIGIBILITY
Any member of this Association is eligible for appointment to the Executive Committee.
SECTION 2 - NOMINATIONS
A Nominating Committee, consisting of all current Executive Board members, shall be activated at the March meeting. Review of Executive Board candidates should be completed by Executive Committee as whole. School office will hold all interest forms until Executive Committee meets together to review.
SECTION 3 - ELECTIONS
Elections shall take place at the May meeting. Installation of newly elected officers shall take place after the May meeting with the term of office beginning immediately upon adjournment of said meeting. This installation procedure also applies to Sub-Committee Chairpersons. Past Officers must deliver all official material to their successors at Transition Meeting held no later than the last day of school, except for the Treasurer, who will surrender all-financial records at the close of the Annual New-Budget Meeting. In case of a tied vote for any office, a run off election shall be held immediately. The tenure of office shall be for two years. If an officer wants to serve in the same office for more than two consecutive years, his/her name will be placed with the other candidates on the ballot.
The positions of President and Secretary will be voted on even years. The positions of Vice President and Treasurer will be voted on odd years.
ARTICLE VI
GENERAL MEMBERSHIP MEETINGS
SECTION 1- FREQUENCY
A regular meeting of this Association shall be held monthly from September through June, unless otherwise provided by the Executive Committee. Seven days notice shall be given for a change of date for the regular meeting.
SECTION - QUORUM
A quorum shall consist of a majority of elected officers including the President or Vice-President and twenty-five percent of the Executive Committee plus those members present.
ARTICLE VII
EXPENDITURES
SECTION 1- EXPENDITURES OF FUND
Expenditures of funds are authorized for any budgeted item but not to exceed the total dollar amount of the budgeted item unless pre approved by the Executive Committee. Expenditures of funds for a non budgeted item exceeding One Hundred Dollars must be approved by the Executive Committee in advance. Expenditures of funds for non budgeted items involving amounts less than One Hundred Dollars may be authorized by the President, but must be reported at the next regularly scheduled meeting.
SECTION 2 - AUDITING
The Executive Committee shall hire an outside professional auditor for the purpose of validating all financial records when deemed necessary. This Association will incur all costs involved with an audit.
SECTION 3 - TREASURER'S BOND
The Executive Committee may wish to procure a bond for the purpose of insuring financial responsibility of the person who holds the office of Treasurer. This bond shall be purchased at the expense of this Association.
ARTICLE VIII
PARLIAMENTARY AUTHORITY
SECTION 1- AMENDMENTS
These Bylaws may be amended at any regular meeting of the Association by a two-thirds vote of the members present and voting, providing notice of the proposed amendment shall have been given at the previous meeting.
SECTION 2 - ROBERT'S RULES
Roberts Rules of Order Revised shall govern this Association in all cases to which its regulations are applicable and not inconsistent with these Bylaws.
ARTICLE IX
DISSOLUTION
Upon dissolution of this Association, all assets will be distributed to Concord Elementary School.
