These Terms of Service (“Terms”) govern your access to and use of Meanwhile, including the Meanwhile mobile application and related services (collectively, the “Service”).
By accessing or using Meanwhile, you agree to these Terms. If you do not agree, do not use the Service.
Meanwhile is a location-based social platform that allows users to discover and share temporary photos, comments, and other information about moments and experiences happening around them.
You may browse certain portions of Meanwhile without an account. Some features, including posting Moments, commenting, voting, or other interactive features, may require an account.
You are responsible for your use of the Service and activity associated with your account.
You may not impersonate another person, misrepresent your identity, or use Meanwhile for unlawful, fraudulent, harmful, or abusive purposes.
“User Content” includes photos, captions, comments, profile information, votes, reports, and other material you submit through Meanwhile.
You retain ownership of User Content you create.
By submitting User Content, you grant Meanwhile a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify as technically necessary, display, distribute, and otherwise use your User Content for the purpose of operating, providing, securing, moderating, and improving the Service.
This license ends when your content is deleted from our systems, except where continued retention is reasonably necessary for legal, security, fraud-prevention, moderation, backup, or enforcement purposes.
You represent that you have the necessary rights to submit your User Content and that doing so does not violate these Terms, applicable law, or the rights of another person.
Meanwhile is designed for sharing moments, places, events, and experiences.
Do not use Meanwhile to target, expose, track, shame, rate, harass, or solicit information about private individuals.
People may incidentally appear in photos of public places or events, but you may not use Meanwhile primarily to:
identify or expose private individuals;
publish another person's sensitive or private information;
encourage harassment or unwanted contact;
track another person's location or movements;
make threats against another person;
sexually exploit or objectify another person;
organize bullying or targeted abuse; or
create posts whose primary purpose is rating or reviewing identifiable private individuals.
We may remove such content and restrict or terminate accounts involved.
You may not use Meanwhile to post, promote, facilitate, or engage in content or conduct that:
is illegal, fraudulent, threatening, harassing, or abusive;
contains another person's private or sensitive information without authorization;
exploits or endangers minors;
contains unlawful sexual or exploitative content;
promotes credible violence or physical threats;
infringes copyrights, trademarks, privacy rights, publicity rights, or other rights;
impersonates another person or organization;
intentionally provides dangerously false information about an ongoing situation;
constitutes spam, scams, malware, or manipulation of the Service;
artificially manipulates votes, rankings, engagement, or visibility;
attempts to circumvent moderation, blocking, safety, or security systems; or
otherwise creates a material risk to users, third parties, or the Service.
Meanwhile uses location information to provide location-based features.
Depending on how you use the Service, a Moment may display an exact or approximate location.
Here Moments may disclose the location associated with the Moment with relatively high precision.
Nearby Moments intentionally display an approximate or randomized location rather than the precise posting location.
You are responsible for considering your surroundings and personal safety before sharing content or location information.
Do not use Meanwhile to reveal another person's private location without authorization.
Meanwhile is not a navigation, emergency, public-safety, or real-time tracking service. Locations, Moments, map information, timestamps, and other information may be delayed, inaccurate, incomplete, or outdated.
Never rely on Meanwhile for emergencies or situations where inaccurate information could cause harm.
Moments are designed to disappear from public map visibility after a limited period.
However, “expired,” “deleted,” or “ephemeral” does not mean that content is guaranteed to cease existing everywhere immediately.
Content may temporarily remain in caches, backups, moderation systems, logs, or other technical systems. Other users may also capture or save content through screenshots or other means outside our control.
Do not post something solely because you expect it to disappear later.
Users may report content or users they believe violate these Terms.
Users may also block other users where supported.
We may review, restrict, reduce the visibility of, remove, preserve, or otherwise moderate User Content when we reasonably believe doing so is necessary to operate or protect the Service, enforce these Terms, comply with law, or protect users or third parties.
We may suspend or terminate accounts for violations.
We are not obligated to publish, distribute, maintain, or restore any particular User Content.
Votes, rankings, map placement, feeds, recommendations, and other visibility features are determined by systems that may consider factors such as engagement, freshness, location, relevance, safety, and other signals.
We may modify these systems at any time.
Votes and points have no monetary value and do not create any right to a particular level of distribution, visibility, ranking, or access.
You may not artificially manipulate these systems.
Meanwhile may show information about events, businesses, gatherings, crowds, deals, lines, activities, or other real-world circumstances.
User Content is provided by users and may be inaccurate.
Meanwhile does not guarantee that:
an event is actually occurring;
a business is open;
a deal remains available;
a location is safe;
a crowd or line is accurately described; or
a Moment accurately represents current conditions.
Use your own judgment before traveling somewhere or interacting with people based on content you see on Meanwhile.
Except for User Content, Meanwhile and its software, designs, branding, logos, interfaces, and other proprietary materials are owned by us or our licensors and are protected by applicable intellectual-property laws.
These Terms do not grant you ownership of any part of the Service.
You may not copy, reverse engineer, distribute, sell, or exploit the Service except as permitted by law or with our written permission.
You may stop using Meanwhile at any time.
You may request deletion of your account using the account-deletion functionality provided through the Service.
We may suspend, restrict, or terminate access when reasonably necessary because of violations of these Terms, abuse, fraud, security risks, legal requirements, or risks to other users or the Service.
Where appropriate, we may preserve information relating to violations for legitimate safety, legal, fraud-prevention, or enforcement purposes.
Meanwhile may rely on or interact with third-party services, including mapping, media hosting, analytics, infrastructure, authentication, or other providers.
Your use of certain third-party services may also be governed by their terms.
We are not responsible for third-party services outside our control.
Meanwhile may change over time.
We may add, modify, suspend, or discontinue features and may impose reasonable limits on portions of the Service.
We do not guarantee that the Service or any particular feature will always be available, uninterrupted, secure, or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER WARRANTIES TO THE EXTENT PERMITTED BY LAW.
Nothing in these Terms limits rights that cannot legally be waived.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEANWHILE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
Our aggregate liability will not exceed the greater of $100 or the amount you paid us during the 12 months preceding the event giving rise to the claim, except where applicable law requires otherwise.
To the extent permitted by law, you agree to indemnify and hold harmless Meanwhile and its affiliates, officers, employees, and agents from claims, damages, liabilities, and expenses arising from your unlawful use of the Service, your User Content, or your material violation of these Terms.
We may update these Terms from time to time.
If changes are material, we will provide reasonable notice where required. Continuing to use the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law provides otherwise.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference where applicable.
