These terms and conditions ("Terms") govern the services ("Services") provided by Capslock Marketplaces Private Limited (operating under the brand "VoiceClub") to You (as defined below). By accessing VoiceClub's website ("VoiceClub Website") or mobile application ("VoiceClub App")— hereinafter collectively referred to as the "Platforms"—you acknowledge that you have read, understood, and agree to be bound by these Terms. Continued use of the Platforms will be construed as your acceptance of the Terms, including any revisions made from time to time. Please review these Terms periodically, as all modifications take effect immediately upon being published on the Platforms. If you do not agree with these Terms, you must cease accessing and using the Platforms.
For the purposes of these Terms, "We," "Us," and "Company" refer to VoiceClub, while "You," "Your," and "User" refer to any individual or legal entity registered to use the Services.
VoiceClub provides a social platform designed to connect individuals globally and facilitate real-time conversational services and on-demand consultations (the "Services"). These Services are provided exclusively through the VoiceClub App, ensuring a secure and controlled environment for interactions.
VoiceClub acts solely as a platform provider and disclaims liability for:
Risks arising from interactions outside the Platform.
The exchange of personal or sensitive information during platform-based interactions.
By using the Platform, You agree to comply with all rules and guidelines set forth by VoiceClub for the safe and effective use of the Services.
By agreeing to these Terms, You confirm that:
You are at least the legal age of majority in your jurisdiction (typically 18 years or older) and possess the legal capacity and authority to understand and agree to these Terms, in compliance with all applicable laws, regulations, and any additional documentation required by VoiceClub.
You have not been previously terminated or suspended from accessing VoiceClub's Services for reasons attributable to You under these Terms.
You acknowledge that VoiceClub is intended for use by adults only and is not designed for individuals under the age of 18. By using the Services, You confirm that You meet the minimum age requirement.
You agree to abide by all rules and guidelines set by VoiceClub for the safe and responsible use of its Services.
To avail the Services, you must register on the VoiceClub App, which can be downloaded from this website, the Google Play Store, or the Apple App Store. You may authenticate yourself via your phone number, WhatsApp, or Truecaller. Upon completing the registration process, you will be required to create an account ("Account") by entering your name, which is a prerequisite for completing the account creation process.
After completing the registration process and creating your Account, you will be able to access the Services and features of the VoiceClub App, which VoiceClub may update periodically at its sole discretion. It is hereby clarified that VoiceClub is not responsible for the authenticity of the credentials you use during the registration process and disclaims any liability for any issues arising from incorrect or false information provided during registration.
Once your account is created, you may choose to share additional personal information (including, but not limited to, your name, gender, date of birth, height, relationship status, religion, ethnicity, and city of residence) to personalize your app experience. Providing this information is optional and not required for registration or account creation. Any information you share will be visible to other users of the VoiceClub App. You are solely responsible for the information you choose to share and consent to its visibility within the app. VoiceClub is not liable for any consequences arising from your disclosure of personal information ("User Information").
You are solely responsible for all activities conducted under your Account. You agree to notify us immediately if you suspect or become aware of any unauthorized use of your Account. You also agree to immediately change your password and take any other necessary steps to secure your Account if you become aware of any unauthorized access. VoiceClub shall not be responsible for any unauthorized access to your Account or User Information if you fail to notify us promptly or take appropriate action to secure your Account.
You acknowledge that your Account and User Information are personal to you and agree not to allow any unauthorized person to access the Services or any part of it using your credentials. VoiceClub will not be liable for any loss you may incur due to the use of your Account and User Information, whether authorized or unauthorized. You agree to indemnify and hold Voiceclub harmless for any claims, damages, or losses resulting from any third-party access to your Account.
VoiceClub reserves the right to suspend or terminate your Account at its sole discretion if any unauthorized use or breach of these terms is detected, or if we suspect fraudulent activity or any violation of our acceptable use policy.
By accessing or using the Services, you acknowledge and agree to comply with these Terms. If you are using the Services on behalf of a business or entity, you represent that you have the authority to bind that business or entity to these Terms.
You agree not to engage in any unacceptable use of the Service, including but not limited to the following:
Disseminating or transmitting material that, to a reasonable person, may be considered abusive, obscene, pornographic, defamatory, harassing, grossly offensive, vulgar, threatening, or malicious;
Disseminating, storing, or transmitting files, graphics, or other material that infringes or may infringe the copyright, trademark, patent, trade secret, or other intellectual property rights of any individual or entity;
Creating a false identity or otherwise attempting to mislead any person regarding the identity or origin of any content or by providing misleading or false information in any manner;
Interfering with, disrupting, or attempting to gain unauthorized access to other accounts on the Platforms or any part of the Service;
Disseminating, storing, or transmitting viruses, trojan horses, worms, or any other malicious code or program that may harm or disrupt the Service or any part of the Platform;
Engaging in any activity that VoiceClub deems to be in conflict with the spirit or intent of these Terms, or that may negatively affect the functionality or reputation of the Service;
Violating any applicable local, state, national, or international law or regulation.
In addition to the above, you are strictly prohibited from engaging in any abusive, obscene, profane, offensive, sexist, threatening, harassing, racially offensive, or otherwise inappropriate behaviour toward our customer care team, employees, agents, partners, experts, or any other representatives of VoiceClub. This includes but is not limited to verbal abuse, discriminatory language, or any form of intimidation or mistreatment.
VoiceClub does not currently conduct any criminal or formal background checks on our users, nor do we attempt to verify the statements or representations made by users. As such, you are solely responsible for taking all appropriate safety precautions when interacting with other users, whether online or offline, and when sharing information with them.
You are advised not to share sensitive personal details such as your phone number, home address, financial information, or other private data with other users of the VoiceClub App. While VoiceClub makes efforts to provide a secure platform, we cannot guarantee the security of any personal information shared directly with other users. You are solely responsible for any information you choose to disclose and any consequences that may arise from doing so.
You acknowledge and accept that engaging with other users of the Platform carries inherent risks, including but not limited to interactions and exchanges of information with individuals you may not know personally. We do not guarantee, validate, or verify the accuracy of any information provided to you by other users. Any reliance you place on information shared by others is at your own risk.
All content and services provided on the Platform are offered on an "as is" and "as available" basis, without any guarantees or warranties, either express or implied (please refer to Clause 9 of these Terms for further details). Any decisions or actions you take based on the information provided on or via the Platform are solely at your discretion and risk. VoiceClub will not be held responsible for any decisions you make or the consequences of any actions you take based on the information available on the Platform.
VoiceClub takes Your privacy seriously and is committed to protecting Your personal data. For more details on how Your information is collected, used, and protected, please refer to Our Privacy Policy. You acknowledge that by using the Services, you agree to the collection, use, and storage of your personal data as outlined in the Privacy Policy, in accordance with applicable data protection regulations, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 and the Information Technology Act, 2000.
We retain your data for as long as necessary to provide our Services and comply with legal obligations. Data may be deleted after a specified period or retained indefinitely as required by applicable laws, including the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, which mandates specific practices and procedures for retaining sensitive personal data, and the Information Technology Act, 2000, which governs the protection and processing of sensitive information.
By consenting to these Terms and availing the Services, you hereby represent, warrant, and undertake as follows:
1. Legal Capacity and Authority
You confirm that You have the legal capacity, authority, and consent to enter into and be bound by these Terms and to avail yourself of the Services. Your consent to these Terms is given voluntarily, without any undue influence, coercion, or misrepresentation. You further confirm that You are of majority age (18 years or older) as per the laws of India and are legally capable of entering into binding agreements.
By agreeing to these Terms, You also confirm that all information provided by You is accurate, complete, and genuinely Yours. You represent and warrant that You are not impersonating or misrepresenting another person or entity in any manner.
2. Accuracy of Information
The information provided by you to VoiceClub during the creation of your Account and in the course of using the Services:
Does not contain false, misleading, or deceptive information;
Does not infringe any intellectual property, privacy, publicity, statutory, contractual, or other rights of any third party;
Does not contain any defamatory, libelous, obscene, offensive, threatening, or harassing content, or any material that may incite hate or violence, or that may violate any law or regulation;
Does not contain any viruses, worms, trojan horses, or any other malicious or harmful code that could potentially harm or disrupt the Service or Platform or any third-party systems. You are responsible for ensuring that all the information you provide is accurate, up-to-date, and complete.
3. Prohibited Activities
You shall not use the Services or Platform for any unlawful, fraudulent, deceptive, or illicit activities, including but not limited to activities that may violate any local, state, national, or international law or regulation. Specifically, you agree not to:
Engage in activities that may harm or infringe upon the rights of other users or third parties;
Use the Services for any form of harassment, intimidation, or exploitation;
Engage in illegal activities, including, but not limited to, money laundering, fraud, identity theft, or distribution of illegal content.
4. Provision of Documentation
Upon request by VoiceClub, you agree to promptly provide any documentation, records, or other forms of verification necessary to demonstrate your compliance with these Terms. This includes, but is not limited to, verifying your identity, residency, or age. You acknowledge that failure to provide such documentation may result in the suspension or termination of your Account and/or access to the Services. In case of such suspension or termination, VoiceClub reserves the right to retain any data that is required for legal, regulatory, or compliance purposes.
5. Compliance with Applicable Laws
You agree to comply with all applicable laws, regulations, and policies governing your use of the Services, including but not limited to data protection and privacy laws, intellectual property laws, and export control laws.
1. Ownership of Company Property
Subject to Clause 7.4, all content available on the Platforms, including but not limited to images, illustrations, graphics, audio clips, video clips, text, reports, patents, copyrights, trademarks, service marks, trade names, written posts, comments, software, and scripts, and any related intellectual property ("Company Property"), is the sole and exclusive property of VoiceClub, its licensors, or its content providers. The Company Property is protected by intellectual property laws, including copyright, trademark, and other applicable laws.
2. No Transfer of Intellectual Property Rights
Except as explicitly provided in these Terms, nothing in these Terms shall be construed as transferring or assigning any intellectual property rights to you. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works from any Company Property. Unauthorized use of Company Property for any purpose other than as expressly permitted by these Terms is strictly prohibited.
3. License to Use the VoiceClub App
VoiceClub hereby grants you a non-exclusive, non-transferable, revocable license to use the VoiceClub App solely for personal, non- commercial use and in accordance with these Terms. You agree not to:
Modify, disassemble, decompile, or reverse engineer the VoiceClub App;
Rent, lease, loan, resell, sublicense, distribute, or transfer the VoiceClub App to any third party for any reason;
Make any copies of the VoiceClub App, except as necessary for backup purposes;
Remove, circumvent, disable, damage, or interfere with security features of the VoiceClub App or any features that prevent or restrict copying of content or enforce limitations on use;
Delete or alter any copyright or proprietary rights notices on the VoiceClub App.
4. User-Generated Content (UGC)
All images, audio clips, and any digital content posted by other users of the Platform are proprietary to such users, and they retain all applicable rights in their content. However, by submitting such content to the Platform, you grant VoiceClub a non-exclusive, royalty-free, worldwide, transferable license to use, display, reproduce, distribute, modify, and create derivative works of the content in connection with the Services provided on the Platform, subject to your privacy preferences and the Privacy Policy.
You are prohibited from posting, distributing, or reproducing any copyrighted material, trademarks, or other proprietary information without the prior written consent of the owner of such rights.
5. Responsibility for Infringements
You acknowledge that you are solely responsible for any infringement claims arising from your posting, distribution, or reproduction of any copyrighted material, trademarks, or proprietary content without obtaining the necessary rights or consent. You agree to indemnify and hold VoiceClub harmless from any direct or indirect losses, damages, claims, or expenses arising from your violation of intellectual property rights.
Additionally, VoiceClub reserves the right to remove or disable access to any content that it believes may infringe upon third-party intellectual property rights, without prior notice.
6. Notice of Infringement
If you believe that your work has been copied or posted on the Platform in a way that constitutes infringement of your intellectual property rights, please submit a notice to us at help@voiceclub.app with the following information:
An electronic or physical signature of the person authorized to act on behalf of the copyright owner;
A description of the intellectual property that you claim has been infringed;
A description of where the material that you claim is infringing is located on the VoiceClub App;
Your full name, address, telephone number, and email address;
A statement that the use of your intellectual property has not been authorized by you;
A statement that the information in your notice is accurate and that you are either the owner or authorized to act on behalf of the owner of the intellectual property.
You agree to comply with all local laws, rules, and regulations applicable to the use of the Services, including but not limited to data protection laws, online conduct regulations, and any other statutory requirements. It is your responsibility to ensure that your use of the Services does not violate the laws of your jurisdiction.
You are solely responsible for any content you upload, post, or otherwise share through the Services ("User-Generated Content"). By submitting any content to the Platform, You represent and warrant that You own or have the necessary rights and permissions to use such content and that the content does not infringe on any third-party rights.
You grant VoiceClub a non-exclusive, worldwide, royalty-free, and transferable license to use, display, and distribute the content in connection with the Service.
VoiceClub reserves the right to remove or disable access to any User- Generated Content that it deems to violate these Terms or applicable laws.
A portion of the Services provided by VoiceClub to you may be subcontracted to third-party service providers, including but not limited to experts or consultants that you may interact with while availing the Services under these Terms ("Third-Party Service Providers"). VoiceClub shall not be held liable for any acts, omissions, advice, discussions, counseling, or other services provided by any Third-Party Service Providers. VoiceClub expressly disclaims any and all liability, including any express or implied warranties, whether oral or written, for the services provided by Third-Party Service Providers. You acknowledge and agree that VoiceClub has made no representations regarding the suitability, quality, or fitness of third- party services for your specific purpose. The relationship between VoiceClub and Third-Party Service Providers is solely on a principal- to-principal basis, and nothing in these Terms shall be construed to create any other relationship, including but not limited to that of a principal-agent, employer-employee, or partnership.
In addition to the above, the Service may contain links to third-party materials, websites, or services that are not owned or controlled by VoiceClub. VoiceClub does not endorse, nor assumes any responsibility for, the content, information, materials, products, or services provided by any third-party websites or services. If you access a third-party website or service through the Service, or if you share your information on or through any third-party website or service, you do so at your own risk. You understand and agree that these Terms and VoiceClub's Privacy Policy do not apply to your use of third-party websites or services, and VoiceClub shall not be held responsible for any damages or liabilities arising from such use. You expressly release VoiceClub from any and all liability arising from your interactions with third-party websites, services, or content, including but not limited to any information you submit or any actions you take through such third-party services.
Services Provided "As Is": The Services offered by VoiceClub are provided on an "as is" and "as available" basis. VoiceClub makes no representations, warranties, or guarantees of any kind, whether express or implied, with respect to the Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the generality of the foregoing, VoiceClub specifically disclaims any knowledge of, and does not guarantee:
The accuracy, reliability, or correctness of any data or content provided through the Services;
That the Services will meet your specific requirements or expectations;
That the Services will be available at any particular time, will be uninterrupted, or will function securely without defects or errors; or
That the Services are free of viruses, malware, trojan horses, or other harmful code that may disrupt or damage your devices or data.
No oral or written advice, recommendations, or information given by VoiceClub, its employees, experts, licensors, or agents shall create any warranty, nor should you rely on any such advice or information in any manner.
Third-Party Products and Services: VoiceClub does not warrant, endorse, guarantee, or assume any responsibility for any product or service advertised, offered, or provided by any third party, including Third-Party Service Providers, through the Service or any linked website or service. VoiceClub shall not be a party to, or in any way responsible for, any transaction or agreement between you and third- party providers of products or services. Any such transactions or dealings are solely between you and the third party, and VoiceClub shall not be held liable for any issues, damages, or claims arising out of such dealings.
No Indirect or Consequential Damages: To the maximum extent permitted by applicable law, in no event shall VoiceClub, its agents, directors, employees, licensors, or affiliates be liable for any indirect, consequential, punitive, incidental, special, or exemplary damages arising out of or in any way related to the Services or these Terms. This includes, but is not limited to, damages for loss of profit, revenue, business opportunities, or data, whether in an action based on contract, tort (including negligence), breach of statutory duty, or otherwise.
Cap on Liability: In no event shall VoiceClub's cumulative liability, whether arising in contract, tort, breach of statutory duty, or otherwise, exceed an amount equal to INR 5000 (Indian Rupees Five Thousand Only). This cap on liability is the maximum amount payable by VoiceClub, regardless of the number of claims or causes of action that may arise under or in connection with these Terms.
Applicability of Limitation: The limitations of liability set forth in this section apply regardless of whether the alleged liability is based on contract, tort, negligence, breach of statutory duty, or any other legal theory, and apply even if VoiceClub has been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless VoiceClub, its agents, licensors, employees, contractors, officers, directors, and affiliates, from and against any and all claims, damages, obligations, losses, liabilities, costs, expenses (including but not limited to attorneys' fees), and any other costs arising from or in connection with:
Your violation of these Terms, including but not limited to the warranties and representations set forth in Clause 6;
Your violation of any third-party rights, including, but not limited to, intellectual property rights or privacy rights;
Your violation of any applicable law, regulation, or legal requirement;
Your negligent or willful misconduct;
Your access to, use of, or interaction with third-party services provided by any Third-Party Service Provider in connection with the Services provided under these Terms.
This indemnification obligation shall survive the termination of these Terms.
These Terms shall be governed by, and construed in accordance with, the laws of India. Any disputes or claims arising out of or in connection with these Terms, including those relating to their validity, interpretation, or performance, shall first be attempted to be resolved through arbitration conducted in both Kannada and English. The arbitrator shall be appointed by either of the parties, and both parties agree to mutually cooperate in the selection process. If arbitration does not result in a resolution, the dispute shall then be subject to the exclusive jurisdiction of the courts located in Bangalore, India. You hereby consent to the exclusive jurisdiction and venue of such courts.
1. Consent to be Contacted
You consent to being contacted by VoiceClub, its representatives, or third-party service providers acting on VoiceClub's behalf, for telemarketing communications, at any telephone number, physical address, or electronic address you provide or at which you may be reached. You may revoke your consent at any time by contacting VoiceClub at help@voiceclub.app. Please note that such revocation will not affect any communications required by law or in connection with your use of the Services.
2. Assignment
VoiceClub may assign or transfer its rights and obligations under these Terms, in whole or in part, at any time, without restriction. You may not assign or transfer these Terms, or any rights or obligations hereunder, without VoiceClub's prior written consent. Any unauthorized transfer or assignment shall be deemed null and void.
3. Termination
VoiceClub reserves the right to modify, suspend, or discontinue the Service or any features thereof at any time, without prior notice or liability. Additionally, VoiceClub may permanently suspend or terminate your access to the Services without notice and without liability if, in VoiceClub's sole discretion, you violate any provision of these Terms.
You may delete your Account at any time, which will result in the termination of these Terms. However, any purchases made through VoiceClub will not be refunded upon deletion of your Account, regardless of the reason for termination. Deletion of your Account is irreversible, and you will need to re-register if you wish to use the Service again.
4. Suspension
Notwithstanding anything to the contrary in these Terms, VoiceClub may temporarily suspend your access to any portion or all of the Service if it reasonably determines that:
There is a threat or attack on the Service, its servers, or network;
You have violated these Terms;
Your actions disrupt or pose a security risk to the Service or other users;
You are engaging in fraudulent or illegal activities;
Provision of the Service is prohibited by law;
A third-party service provider has suspended or terminated access to services required for the Service; or
Any other reason in VoiceClub's sole discretion.
VoiceClub may, at its discretion, provide notice of such suspension where required by law.
5. Force Majeure
VoiceClub shall not be held liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, strikes, labor disputes, governmental actions, or any other Force Majeure Events. In the event that a Force Majeure Event persists for more than 30 (thirty) days, VoiceClub reserves the right to terminate or suspend these Terms without refund at its discretion.
6. Entire Agreement
These Terms, along with any amendments or additional agreements you may enter into with VoiceClub, constitute the entire agreement between you and VoiceClub with respect to the Service. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect.
7. No Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. VoiceClub's failure to assert any right or provision under these Terms shall not be deemed a waiver of such right or provision, unless expressly stated in writing by VoiceClub.
8. Survival
Any provision that, by its nature, should survive termination of these Terms shall remain in effect after termination, including but not limited to indemnification, intellectual property rights, and limitations of liability.
