Terms & Conditions
Platform: Zepo IT Effective Date: May 5, 2026 Jurisdiction: Republic of India
1. Acceptance of Terms
By accessing, downloading, registering on, or using the Zepo IT mobile application or any associated services ("Platform"), you ("User") unconditionally agree to be bound by these Terms & Conditions ("Terms"), along with the Platform's Privacy Policy, Refund & Cancellation Policy, and any other policies published from time to time.
If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform.
2. Eligibility
2.1 Age Requirement
Access to and use of the Platform is restricted to individuals who are 18 (eighteen) years of age or older. By creating an account, you represent and warrant that you meet this age requirement.
Individuals under the age of 18 may access the Platform only under the direct supervision and through the verified account of a parent or legal guardian, who shall be fully responsible for all activity conducted through their account on behalf of the minor. Zepo IT shall not be held liable for any unauthorised access by minors.
3. Intellectual Property & Ownership
3.1 Copyright and Ownership of Deliverables
Upon full and successful completion of payment by the Client for a project, all intellectual property rights — including copyright — in the final edited video deliverable shall be transferred to and vest exclusively in the Client.
Editor's Portfolio Rights: Notwithstanding the above transfer of ownership, the Editor retains a non-exclusive, revocable licence to display the final edited work in their professional portfolio for the purpose of showcasing their skills and attracting future clients, unless and until the Client explicitly communicates a written objection through the Platform. Upon receipt of such objection, the Editor must promptly remove the work from their portfolio.
4. Platform Role & Liability
4.1 Role of Zepo IT as Intermediary
Zepo IT functions exclusively as a technology intermediary platform that connects Clients with independent Editors. Zepo IT is not a party to the contract for services formed between a Client and an Editor and does not act as an employer, agent, or representative of either party.
Accordingly, Zepo IT makes no representations or warranties regarding the quality, accuracy, timeliness, or fitness for purpose of any editing services provided by Editors on the Platform. The Platform's liability, to the maximum extent permitted under applicable Indian law, is limited to facilitating the safe holding and release of payments in accordance with these Terms.
Shipping & Delivery: Zepo IT provides digital services. All final edited videos and digital assets are delivered electronically through the Platform via integrated Google Drive links. No physical shipping is involved.
5. Payments, Escrow & Fund Release
5.1 Payments & Holding
All payments made by Clients for projects on the Platform are held securely in escrow by Zepo IT through its authorised payment gateway partner until the conditions for release are satisfied.
Fund Release Conditions:
Funds held in escrow shall be released to the Editor under either of the following circumstances:
Client Approval: The Client formally marks the delivered project as approved through the Platform interface, whereupon payment is released to the Editor promptly.
Automatic Approval: If the Client does not respond, raise a dispute, or request a revision within 48 (forty-eight) hours of the Editor marking the project as delivered, the system shall automatically mark the project as approved and release the payment to the Editor. This provision exists to protect Editors from indefinite payment delays and to ensure the efficient functioning of the Platform.
Clients are strongly advised to review delivered work promptly and raise any concerns within the stipulated 48-hour window.
5.2 Fees, Taxes & Currency Conversion
Zepo IT operates on a dual-commission model, whereby a platform service fee (e.g., 10% or as applicable) is charged from both the Client and the Editor upon successful completion of each project. The applicable fee rates are as published on the Platform and may be updated from time to time with prior notice.
Taxes: All applicable taxes, including Goods and Services Tax (GST) as applicable under Indian law, shall be charged in addition to the platform fee where required. Users are responsible for their own tax obligations arising from income earned or payments made through the Platform.
Currency Conversion (International Payments): Zepo IT processes transactions primarily in Indian Rupees (INR). For international Clients making payments in foreign currencies, any currency conversion charges, cross-border transaction fees, or additional bank processing fees are determined solely by the Client's payment provider, card-issuing bank, or financial institution. Such charges are entirely the responsibility of the Client and shall not be reimbursed or offset by Zepo IT.
6. Account Suspension & Termination
6.1 Account Suspension
Zepo IT reserves the right to temporarily suspend or permanently terminate a User's account, with or without prior notice, in the event of:
Any fraudulent activity or misrepresentation on the Platform.
Submission of false, malicious, or fabricated disputes or refund claims.
Abusive, threatening, or harassing conduct toward other Users or Platform staff.
Repeated violations of these Terms or associated policies.
Any activity that Zepo IT reasonably determines to be harmful to the Platform, its Users, or third parties.
In cases of permanent termination, any funds legitimately owed to the affected User shall be processed and disbursed in accordance with applicable law, following the conclusion of any pending investigations.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Pratapgarh, Uttar Pradesh, India.
8. Amendments
Zepo IT reserves the right to modify these Terms at any time. Users will be notified of material changes through the Platform or via registered email. Continued use of the Platform following such notification constitutes acceptance of the revised Terms.
