Subscription Terms

These Subscription Terms govern subscriptions, free trials, virtual credits, and related purchases for **Vimly: AI Video Maker** (the “Service”).
By subscribing, starting a trial, or buying a credit pack, you agree to these Subscription Terms **and** our **Terms of Service**. For subscription and credit matters, **these Subscription Terms control** where they conflict with the general Terms. Personal data practices are described in our **Privacy Policy**.

## 1. Subscription Benefits and Billing
### 1.1 Included Benefits
Depending on the plan shown at purchase, an active subscription may provide:
- **Ad-free use** — no in-app ads from us during the active subscription period
- **Weekly Credits** — virtual credits added to your balance on a weekly schedule for eligible AI video features
Credit amounts, pricing, and plan names are displayed in the app and on Google Play at purchase.
### 1.2 Free Trial
Eligible plans may include a free trial. Unless you cancel at least **24 hours before** the trial ends, it converts to a paid subscription at the displayed price and Google Play may charge your payment method.
Trial availability, length, and eligibility may vary and can change over time.
### 1.3 Auto-Renewal
Subscriptions renew automatically each billing period (weekly, monthly, yearly, or as shown) until canceled before renewal.
### 1.4 Canceling
Manage or cancel in **Google Play → Subscriptions**.
- Cancellation stops future charges.
- Benefits continue through the current paid period.
- **Deleting the app does not cancel** your subscription.
### 1.5 Payments
Google Play processes all subscription and in-app purchases. We do not store your payment card details.

## 2. Virtual Credits
**Vimly: AI Video Maker** uses **Credits** to access certain AI video features.
### 2.1 Subscription Credits
While your subscription is active, Credits are added to your balance on a **weekly schedule**, regardless of whether your plan bills weekly, monthly, or yearly.
The number of Credits granted each week depends on your active plan. Unused Credits remain in your balance until you use them.
### 2.2 Add-on Credits (One-Time Purchases)
Credit packs purchased separately:
- remain in your balance until used, unless otherwise stated at purchase
- are independent of subscription billing cycles
### 2.3 Using Credits
- Subscription Credits and Add-on Credits share one balance with **no required spending order**
- Credits are consumed when you use eligible features
- Credits have **no cash value**, are **non-transferable**, and are **non-refundable** except where law or Google Play policy requires
### 2.4 If Your Subscription Ends
When a subscription lapses or is canceled:
- no further weekly Subscription Credits are issued
- Credits already in your balance remain available until used, unless access is terminated for cause under these Terms (see Section 11)
- purchased Add-on Credits remain governed by their purchase terms
We may change credit pricing, weekly allocations, or feature costs with notice where required.

## 3. Price Changes
We may update prices or plan benefits. Where required, notice will be provided through Google Play or the app. Cancel before a new price applies if you do not agree.

## 4. Refunds
Refunds for Google Play transactions follow **Google Play refund policies**. We cannot issue refunds for charges made by Google Play directly.

## 5. Acceptable Use of Paid Features
You may not use subscriptions or Credits to violate law, harm others, infringe rights, commit fraud, or interfere with the Service. We may suspend paid access or **forfeit unused Credits** for violations.

## 6. User Content
You retain ownership of content you create, subject to third-party rights in source materials.
You grant **Vimly: AI Video Maker** a limited license to process content **solely** to provide the Service and enforce these Terms. We do **not** use uploads to train general AI models for other users.
You are solely responsible for how you publish or commercialize AI outputs.

## 7. AI Output Disclaimer
AI videos may be inaccurate, unexpected, or similar to outputs created for others. Automated results are not legal, medical, financial, or other professional advice. Review before distribution or commercial use.

## 8. Warranties
Paid features and Credits are provided **“as available.”** We do not guarantee uninterrupted access, specific output quality, or fitness for every purpose. Mandatory consumer rights remain unaffected.

## 9. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost or forfeited Credits or revenue.
Total liability for subscription-related claims is limited to amounts you paid for the relevant subscription or purchase in the **12 months** before the claim, except where liability cannot be capped by mandatory law.

## 10. Indemnification
Indemnification in **Section 12 of the Terms of Service** applies to your use of subscriptions and Credits.

## 11. Termination
We may suspend or terminate paid entitlements immediately for breach, fraud, security, or legal reasons. **Unused Credits may be forfeited** on termination for cause, except where law or Google Play policy requires otherwise.
You may stop using paid features anytime, but must cancel in Google Play to end future subscription charges.

## 12. General Terms
### 12.1 Governing Law
These Subscription Terms are governed by the laws of the **Hong Kong Special Administrative Region**.
### 12.2 Dispute Resolution
Subscription and credit disputes are subject to **Section 14 of the Terms of Service** (informal resolution, exclusive arbitration seated in Hong Kong, class action waiver, one-year limitation, and prevailing-party costs).
### 12.3 Severability
If any provision is invalid, the remaining provisions remain in effect.
### 12.4 Entire Agreement
These Subscription Terms, the Terms of Service, and the Privacy Policy are the full agreement on subscriptions and Credits.
