Welcome to UD’cide.

These Terms of Service (“Terms”) govern your access to and use of the UD’cide mobile application, website, and any related features, content, products, or services collectively referred to as the “Services.”

The Services are operated by Dexter Peterson, doing business as UD’cide (“UD’cide,” “we,” “us,” or “our”).

By downloading, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

1. Eligibility

You must be at least 13 years old to use the Services.

If you are under the age of majority where you live, you may use the Services only with the permission and supervision of a parent or legal guardian. By allowing a minor to use the Services, the parent or guardian accepts responsibility for the minor’s use of the Services.

The Services are not directed toward children under 13.

2. Description of the Services

UD’cide helps individuals and groups consider and vote on nearby restaurants and other dining options.

Features may include:

• Creating or hosting a voting room

• Joining another user’s room

• Viewing nearby restaurants

• Voting on restaurant options

• Viewing group voting results

• Receiving restaurant suggestions

• Saving preferences, favorites, or history

• Viewing advertisements

• Purchasing subscriptions or premium features

• Posting ratings, reviews, photos, videos, or other content

• Accessing creator, critic, or community features

Not every feature will be available to every user, platform, geographic region, or version of the Services.

UD’cide assists users with making a decision. We do not select restaurants on a user’s behalf, guarantee that a restaurant will satisfy a user, or guarantee any particular dining experience.

3. Accounts and Voting Rooms

Some features may require you to create an account, provide a username, use a room code, or authenticate through a third-party service.

You agree to:

• Provide accurate information

• Keep your login credentials secure

• Avoid sharing your account with unauthorized users

• Notify us if you believe your account has been compromised

• Accept responsibility for activity conducted through your account

You may not impersonate another person, create an account using another person’s information without permission, or use a username that is unlawful, misleading, or infringes another person’s rights.

Room hosts may have the ability to configure, manage, end, or remove participants from a voting room. We are not responsible for disagreements between room participants or decisions made by a room host.

4. Location and Restaurant Information

The Services may use your device’s location or a location you manually provide to identify nearby restaurants and other relevant results.

Restaurant information may be obtained from restaurants, users, publicly available information, or third-party data providers. This information may include:

• Restaurant names

• Locations and directions

• Operating hours

• Menus

• Prices

• Photos

• Cuisine categories

• Ratings and reviews

• Availability

• Contact information

We do not guarantee that restaurant information is complete, current, or accurate. Restaurants may change their hours, prices, menus, ownership, availability, or policies without notice.

You should confirm important information directly with the restaurant before traveling, ordering, or making a purchase.

Food allergies and dietary needs

UD’cide does not provide medical, nutritional, dietary, or food-safety advice.

Restaurant descriptions, categories, filters, or user reviews should not be relied upon to determine whether food is safe for someone with an allergy, intolerance, medical condition, religious restriction, or dietary requirement.

Always communicate directly with the restaurant regarding ingredients, preparation methods, allergens, and cross-contamination risks.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation

• Harass, threaten, abuse, stalk, or harm another person

• Impersonate another person or organization

• Submit false, fraudulent, misleading, or deceptive information

• Manipulate restaurant ratings, voting results, or reviews

• Post content relating to a restaurant you did not genuinely experience

• Submit fake reviews or coordinate review manipulation

• Use bots, scripts, automation, or other means to access or manipulate the Services without authorization

• Introduce malware, viruses, harmful code, or security vulnerabilities

• Attempt to bypass security or access restrictions

• Scrape, copy, extract, or compile data from the Services without written permission

• Reverse engineer, decompile, or attempt to discover the source code of the Services, except where applicable law expressly permits it

• Interfere with the operation of the Services

• Use the Services to distribute spam or unauthorized commercial solicitations

• Infringe copyrights, trademarks, privacy rights, publicity rights, or other rights

• Use UD’cide branding in a way that falsely suggests sponsorship, affiliation, or endorsement

We may investigate suspected violations and restrict or terminate access when reasonably necessary.

6. User Reviews and Other User Content

The Services may allow users to submit reviews, ratings, photographs, videos, comments, profile information, restaurant recommendations, or other materials (“User Content”).

You retain ownership of your User Content.

By submitting User Content, you grant UD’cide a worldwide, nonexclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, publish, distribute, format, adapt, and otherwise use that content for:

• Operating the Services

• Displaying your content to other users

• Promoting UD’cide and its community

• Creating restaurant pages and aggregated ratings

• Improving recommendations and features

• Moderating, securing, and administering the Services

This license continues for as long as your User Content remains available through the Services or is reasonably necessary for backups, legal compliance, dispute resolution, fraud prevention, or aggregated and de-identified data.

You represent that:

• You created the User Content or have permission to submit it

• Your content does not infringe another person’s rights

• Reviews reflect your honest opinion and genuine experience

• You will disclose free meals, payments, gifts, employment relationships, ownership interests, sponsorships, or other material connections that could affect your review

• Your content is not knowingly false or misleading

• Your content does not contain confidential information that you lack permission to disclose

We may remove or restrict User Content that violates these Terms, applicable law, our moderation standards, or the rights and safety of others.

We are not required to publish every submission and are not responsible for opinions expressed by users.

7. Review Incentives and Promotions

UD’cide may occasionally offer points, badges, profile recognition, contest entries, discounts, premium access, or other incentives for submitting eligible content.

Unless expressly stated otherwise, an incentive is offered for participation and not for providing a positive review, high rating, or particular opinion.

Users must provide honest feedback regardless of whether an incentive is available. When required, incentivized reviews may be labeled or otherwise disclosed.

Restaurants, creators, and other third parties may not purchase, require, or improperly influence favorable ratings through the Services.

8. Professional Critics and Creators

Certain users may be identified as creators, influencers, contributors, critics, verified reviewers, or members of an editorial program.

Such labels do not necessarily mean that UD’cide endorses every statement made by that person.

Creators and critics remain responsible for:

• The accuracy of their content

• Required sponsorship disclosures

• Disclosing complimentary meals, payments, gifts, or other benefits

• Avoiding undisclosed conflicts of interest

• Complying with advertising, endorsement, copyright, and consumer-protection laws

UD’cide may establish additional guidelines, eligibility standards, editorial standards, compensation arrangements, or participation agreements for creator and critic programs.

9. Community and Editorial Ratings

UD’cide may display different types of restaurant ratings, including:

• Ratings submitted by general users

• Ratings from verified visitors

• Creator or critic ratings

• Aggregated community scores

• Editorial awards or guide ratings

These ratings represent opinions and are not guarantees of quality, safety, availability, or suitability.

UD’cide may use different methodologies, criteria, weighting systems, verification processes, and evaluation periods for different rating programs. We may change these methodologies as the Services develop.

Restaurants may not purchase a particular rating, ranking, award, or editorial outcome.

Advertising or sponsorship by a restaurant does not guarantee favorable editorial treatment.

10. Advertisements and Sponsored Content

The free version of UD’cide may display advertisements.

Advertisements may be delivered by third-party advertising providers and may be selected using information described in our Privacy Policy.

We may also display:

• Sponsored restaurants

• Promoted placements

• Featured offers

• Affiliate links

• Paid partnerships

• Creator sponsorships

Sponsored or paid content will be identified when required by law or platform policy.

A restaurant’s appearance in UD’cide does not necessarily mean that the restaurant has paid us, partnered with us, or endorsed the Services.

We are not responsible for the claims, products, services, availability, or conduct of advertisers or sponsors.

11. Subscriptions and In-App Purchases

UD’cide may offer paid subscriptions, ad-free access, premium features, creator tools, or other digital purchases.

The price, billing period, included features, renewal terms, and any trial or introductory offer will be presented before purchase.

Unless otherwise stated at the time of purchase:

• Subscriptions renew automatically at the end of each billing period

• Your selected app store or payment provider will charge the applicable payment method

• You may cancel through the subscription settings associated with the store or payment provider used to make the purchase

• Cancellation generally prevents future renewal but does not retroactively refund the current billing period

• Deleting the app does not automatically cancel a subscription

• Applicable taxes may be added to the displayed price

• Subscription features may change as the Services evolve, provided the subscription continues to offer recurring value

Purchases made through Apple are subject to Apple’s applicable payment and refund policies. Purchases made through Google Play are subject to Google Play’s applicable payment and refund policies.

Except where required by law or an applicable app-store policy, payments are nonrefundable.

We may change subscription prices by providing any notice required by law or the applicable app store. A price change will not take effect for an existing subscriber until permitted under the relevant platform’s rules.

12. Third-Party Services and Links

The Services may interact with or contain links to third-party services, including:

• App stores

• Mapping and location providers

• Restaurant-information providers

• Advertising networks

• Analytics providers

• Authentication services

• Restaurant websites

• Reservation and delivery platforms

• Social-media platforms

• Payment processors

Your use of third-party services may be governed by separate terms and privacy policies.

We do not control and are not responsible for third-party websites, data, products, services, security practices, availability, or conduct.

13. Intellectual Property

Except for User Content and third-party materials, the Services and all associated intellectual property belong to UD’cide or its licensors.

This includes:

• The UD’cide name and logo

• Software and source code

• App design and interface

• Graphics and artwork

• Written content

• Databases and compilations

• Rating methodologies

• Original awards, badges, and ranking systems

Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable, nonsublicensable license to access and use the Services for personal, noncommercial purposes.

No ownership rights are transferred to you.

14. Feedback and Suggestions

You may send us ideas, suggestions, feature requests, or other feedback.

You agree that we may use feedback without restriction or compensation to you. Providing feedback does not give you ownership of any resulting feature, product, improvement, or service.

15. Copyright Complaints

We respect intellectual-property rights.

A copyright owner or authorized representative who believes content available through the Services infringes a copyright may contact us at:

Please include:

• Identification of the copyrighted work

• Identification and location of the allegedly infringing content

• Your contact information

• A statement that you have a good-faith belief that the disputed use is unauthorized

• A statement that the information in the notice is accurate

• Confirmation that you are the copyright owner or authorized to act for the owner

• Your physical or electronic signature

We may remove allegedly infringing content and restrict accounts associated with repeated infringement.

16. Privacy

Our collection, use, storage, and sharing of personal information are described in the UD’cide Privacy Policy:

The Privacy Policy is incorporated into these Terms by reference.

17. Suspension and Termination

You may stop using the Services at any time.

We may suspend, limit, or terminate your access when we reasonably believe:

• You violated these Terms

• Your use creates a legal, security, or safety risk

• Your activity may harm users, restaurants, UD’cide, or third parties

• Your account is associated with fraud, abuse, manipulation, or unauthorized access

• Suspension is required by law or an app-store provider

• The Services or a particular feature are being discontinued

Where reasonably practical, we may provide notice or an opportunity to correct the issue. We are not required to do so when immediate action is necessary.

Provisions that by their nature should survive termination will remain effective, including ownership, user-content licenses, disclaimers, limitations of liability, indemnification, and dispute provisions.

18. Service Availability and Changes

We may modify, update, suspend, or discontinue any part of the Services.

We do not guarantee that:

• The Services will always be available

• Every feature will remain available

• The Services will be free from interruptions or errors

• Restaurant results will be available in every location

• Voting rooms will always operate without delay

• Data will never be lost

• The Services will be compatible with every device or operating system

We may release updates that are required for continued use of the Services.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

UD’cide disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, reliability, and availability.

We do not warrant that:

• Restaurant information is accurate or current

• A restaurant will be open, available, safe, or satisfactory

• A restaurant can accommodate particular allergies or dietary needs

• Recommendations will match your preferences

• User reviews are accurate

• Voting results will produce a satisfactory decision

• The Services will be uninterrupted, secure, or error-free

• Defects will always be corrected

• User Content will remain available indefinitely

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

20. Limitation of Liability

To the fullest extent permitted by law, UD’cide and its owners, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages arising from:

• Use of or inability to use the Services

• Restaurant choices or dining experiences

• Foodborne illness or allergic reactions

• Inaccurate restaurant information

• Lost data

• Lost profits or business opportunities

• User Content

• Unauthorized account access

• Third-party services

• Advertising or sponsored content

To the fullest extent permitted by law, our total liability for all claims relating to the Services will not exceed the greater of:

1. The amount you paid directly to UD’cide during the 12 months preceding the claim; or

2. One hundred U.S. dollars ($100).

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

21. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless UD’cide and its owners, employees, contractors, affiliates, licensors, and service providers from claims, losses, liabilities, damages, judgments, expenses, and reasonable attorneys’ fees arising from:

• Your violation of these Terms

• Your misuse of the Services

• Your User Content

• Your violation of another person’s rights

• Your violation of applicable law

• Your undisclosed sponsorship, endorsement, or conflict of interest

• Activity conducted through your account

This obligation does not apply to the extent a claim was caused by UD’cide’s own unlawful conduct.

22. Governing Law and Venue

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any legal action relating to these Terms or the Services must be brought in a state or federal court located in Ada County, Idaho.

You and UD’cide consent to the personal jurisdiction of those courts.

23. Changes to These Terms

We may update these Terms as the Services, business practices, or legal requirements change.

When we make changes, we will update the “Last Updated” date at the top of this page. We may provide additional notice through the app, website, email, or another reasonable method when changes are material.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms.

24. Apple-Specific Terms

The following provisions apply when you access UD’cide through an Apple device or the Apple App Store:

• These Terms are between you and UD’cide, not Apple.

• UD’cide, rather than Apple, is responsible for the Services and their content.

• Apple has no obligation to provide maintenance or support for the Services.

• UD’cide is responsible for addressing claims relating to the Services, including product-liability, regulatory, consumer-protection, or intellectual-property claims.

• You must comply with applicable third-party terms when using the Services.

• You represent that you are not located in a country subject to a United States government embargo and are not listed on a United States government prohibited or restricted-party list.

• Apple and its subsidiaries are intended third-party beneficiaries of the applicable Apple-related provisions of these Terms.

• Your license to use the iOS application is also subject to Apple’s applicable usage rules and Standard Licensed Application End User License Agreement.

25. General Provisions

These Terms and the Privacy Policy constitute the entire agreement between you and UD’cide concerning the Services, except where additional terms are presented for a particular feature or program.

If a provision is held unenforceable, the remaining provisions will remain effective.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

You may not assign your rights or obligations under these Terms without our written permission. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or transfer of the Services.

Section headings are provided for convenience and do not affect interpretation.
