This End User License Agreement ("Agreement") is a legal contract between you ("User") and Tonayt Technology UG (haftungsbeschränkt), with its principal place of business at Buchhofer Straße 25b, 82140 Olching, Bayern, Germany ("Tonayt"). By installing, accessing, or using the Tonayt mobile application (the "App"), you agree to be bound by this Agreement.

1. LICENSE GRANT

Tonayt hereby grants you a non-exclusive, non-transferable, revocable, limited license to download, install, and use the App for your personal, non-commercial use strictly in accordance with this Agreement and any applicable usage rules set by the Apple App Store and Google Play Store.

2. RESTRICTIONS

You agree not to:

• Copy, modify, adapt, reverse engineer, decompile, or disassemble the App;
  
  

• Use the App for any unlawful, unauthorized, or prohibited purpose;
  
  

• Circumvent, disable, or interfere with security features of the App;
  
  

• Use the App in a way that could damage, disable, overburden, or impair our servers or networks;
  
  

• Sell, rent, sublicense, or distribute the App or your account access;
  
  

• Use automated scripts or bots to collect data or interact with the App.
  
  

3. ELIGIBILITY

You must be at least 18 years old (or the minimum legal age in your jurisdiction) to use the App. By using the App, you confirm that you meet this requirement. If you are under 18, you must have parental or guardian consent.

4. USER-GENERATED CONTENT

You may submit content such as event listings, profile information, photos, and links ("User Content"). You retain ownership of your content but grant Tonayt a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such content in connection with operating, improving, and promoting the App.

Tonayt does not pre-screen or endorse User Content and shall not be held liable for any offensive, harmful, or unlawful content submitted by users. You are solely responsible for your contributions and their legality.

5. INTELLECTUAL PROPERTY

All rights, title, and interest in and to the App, including but not limited to trademarks, logos, design, code, and content (excluding User Content) are the exclusive property of Tonayt Technology UG. Unauthorized use is strictly prohibited.

6. FREE TRIALS AND SUBSCRIPTIONS

New users may receive a one-month free trial of premium features. Continued access thereafter requires an active paid subscription. Tonayt reserves the right to change subscription pricing and terms with reasonable notice.

All payments are handled via the respective app store (Apple or Google), and subscription management (cancellations, renewals) is done through the user’s store account.

7. AVAILABILITY AND MAINTENANCE

Tonayt does not guarantee that the App will be available at all times or free from interruptions, errors, or viruses. We reserve the right to modify, suspend, or discontinue the App (or parts of it) at any time with or without notice.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Tonayt, its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, or expenses (including legal fees) arising from:

• Your use of the App;
  
  

• Your violation of this Agreement;
  
  

• Any User Content you submit or share through the App;
  
  

• Any violation of third-party rights, including intellectual property or data protection laws.
  
  

9. LIMITATION OF LIABILITY

The App is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, Tonayt disclaims all warranties, express or implied. Tonayt shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of data or profits.

10. PRIVACY POLICY

Your use of the App is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the App, you consent to the processing of your data as described in our Privacy Policy.

11. TERMINATION

This Agreement remains in effect until terminated. You may terminate by uninstalling the App. Tonayt may suspend or terminate your access at any time without notice if you violate any terms of this Agreement or applicable laws.

Upon termination, all rights granted to you under this Agreement will cease.

12. AMENDMENTS

Tonayt reserves the right to update or modify this Agreement at any time. We will notify you of significant changes. Continued use of the App after changes become effective constitutes acceptance of the revised terms.

13. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by the laws of the Federal Republic of Germany, without regard to conflict of laws principles. Exclusive jurisdiction for any disputes shall lie with the courts of Munich (Landgericht München I).

14. THIRD-PARTY EVENTS DISCLAIMER
Tonayt does not organize or control the events listed or promoted in the App. We are not responsible for the accuracy, safety, legality, or conduct of any event or its participants.

Participation in any event is at your own risk. Please verify event details and comply with any applicable health, safety, or legal requirements. Tonayt disclaims all liability arising from your attendance or participation.

15. USER CODE OF CONDUCT
To ensure a respectful and safe experience for all users, you agree not to:
- Post or share content that is offensive, hateful, discriminatory, or violent;
- Harass, stalk, or threaten other users;
- Share false, misleading, or deceptive information;
- Upload pornographic, sexually explicit, or inappropriate material;
- Promote illegal activities, including drug use or violence;
- Abuse the rating/review or event posting system;
- Impersonate others or misrepresent your affiliation.

Violations may result in warnings, suspension, or permanent banning from the platform.
