• Products: Refers to both tangible goods currently available for sale from Solarium (such as "Microalgae Byproducts") and future offerings like "Organic Carbon Tokens."

• Future Services: Refers to offerings such as environmental consulting, lecturing, training, technical support related to biotechnology applications, and the design, engineering, maintenance, and establishment of algaculture plants that Solarium plans to offer commercially in the future. Currently, no commercial services are available for purchase.

• Microalgae Byproducts: Physical products derived from Solarium's cultivated microalgae, such as bio-fertilisers, specialised feed additives, sustainable pigments, or bioplastics precursors, as further detailed on our Website's "Use Cases" section.

• Organic Carbon Tokens: Represents a future product offering of verified carbon tokens backed by carbon management (including carbon sequestration and recirculation) achieved through Solarium's microalgae cultivation and byproduct production. Specific terms and conditions for Organic Carbon Tokens will be made available upon their launch, and the purchase of Microalgae Byproducts does not confer any rights, ownership, or claims to Organic Carbon Tokens or the underlying carbon credits they represent. Users are expressly prohibited from selling, marketing, or otherwise acting as an agent for Organic Carbon Tokens on Solarium's behalf prior to their official launch and explicit authorisation through established partnerships.

• User / You: Any individual or entity accessing or using the Website, engaging with our Activities, or purchasing our Products.

• We / Us / Our / Solarium: Refer to Solarium Biotechnology LTD.

• Content: All text, graphics, images, audio, video, software, data, scientific reports, methodologies, product designs, proprietary biological processes, and other materials available on or through the Website.

• Research Data: Any scientific or technical information, samples, or analyses shared with or provided by Solarium in the context of Activities or collaborations.

3. User Conduct / Permitted Use

• Misrepresenting R&D outcomes, product capabilities, or engaging in fraudulent activities.

• Interfering with the operation of the Website or Activities, including through the use of viruses, malware, or other harmful code.

• Attempting to gain unauthorised access to any part of the Website, other users' data, or Solarium's internal systems.

• Any use of the Website, Activities, or Products that could damage, disable, overburden, or impair Solarium's servers or networks.

• Claiming environmental or carbon benefits generated by Solarium's R&D efforts, products, or technologies (e.g., CO2 sequestration, carbon recirculation) as your own for carbon accounting, offsetting, or any similar environmental claims, unless explicitly permitted through a separate, formal agreement with Solarium (such as the purchase of official Organic Carbon Tokens once launched).

4. Intellectual Property Rights

All Content on the Website, including but not limited to research papers, methodologies, product designs, proprietary biological processes, microalgae strains, byproduct formulations, algaculture plant designs, engineering schematics, and operational protocols, trade marks, service marks, and logos, is the exclusive property of Solarium Biotechnology LTD or its licensors and is protected by applicable intellectual property laws (e.g., copyright, patent, trade secret).

• You are granted a limited, non-exclusive, non-transferable right to access and view the Content for your personal and non-commercial use, or for legitimate business inquiry related to Solarium's offerings.

Similarly, while we conduct R&D on plant designs for optimal performance, actual yields of future commercial plants can be influenced by external factors and ongoing maintenance.

• Any reliance you place on such information is therefore strictly at your own risk.

6. Limitation of Liability

• The efficacy, value, or performance of Organic Carbon Tokens or associated carbon credits, as their market value and environmental impact are subject to numerous external factors and inherent risks associated with emerging technologies and climate action initiatives.

• The performance of future algaculture plants designed or developed by Solarium, where performance is subject to numerous external factors.

7. Indemnification

You agree to indemnify, defend, and hold harmless Solarium Biotechnology LTD, its affiliates, officers, directors, employees, agents, contractors, and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your access to or use of the Website, Activities, or Products.

• Your violation of these T&Cs.

• Your infringement of any intellectual property or other right of any person or entity.

• Any non-compliance with environmental regulations on your part related to interaction with Solarium's products.

8. Third-Party Links / Services

The Website may contain links to third-party websites, research databases, or environmental monitoring services that are not owned or controlled by Solarium Biotechnology LTD. Solarium has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Any legal action or proceeding arising out of or related to these T&Cs, the Website, Activities, or Products shall be brought exclusively in the courts located in Abuja, Nigeria, and you consent to the jurisdiction of such courts. This includes compliance with Nigerian environmental laws (e.g., National Environmental Standards and Regulations Enforcement Agency (NESREA) Act, Environmental Impact Assessment Act, Harmful Waste (Special Criminal Provision) Act), the Nigerian Climate Change Act 2021, relevant African Climate Change Frameworks (e.g., African Climate Change Policy Framework (ACCPF) and subsequent regional protocols), as well as any applicable local, regional, or international agreements, treaties, or conventions related to environmental protection, climate action, and biotechnology.

11. Severability

If any provision of these T&Cs is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these T&Cs, and the remaining provisions shall continue in full force and effect.

12. Entire Agreement

These T&Cs, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Solarium Biotechnology LTD regarding your use of the Website, Activities, and Products, superseding any prior agreements or understandings.

2. Refund Policy

At Solarium Biotechnology LTD ("Solarium," "We," "Us"), we are currently focused on research and development and the market rollout of our microalgal byproducts. This Refund Policy outlines the conditions under which refunds may be issued for our products.

2. Eligibility for Refund (Current Byproducts & Future Offerings)

Refund eligibility for products will depend on the specific product purchased:

• Physical Microalgae Byproducts (e.g., bio-fertilisers, feed additives):

  • Timeframe: Refund requests for physical byproducts must be initiated within 3 days of the confirmed delivery date.

  • Conditions: The product must be returned to Solarium in its original, unopened, and sealed condition, with all original packaging, labels, and documentation intact. The product must not have been used, tampered with, or stored improperly (e.g., exposed to extreme temperatures or moisture).

  • Reasons: Refunds will be considered for products that are demonstrably defective at the time of delivery, incorrectly shipped, or damaged during transit (provided photographic evidence is supplied upon receipt).

• Future Services (e.g., Algaculture Plant Design, Consulting, Training):

  • Timeframe: Refund eligibility for future commercial services will be governed by specific terms outlined in their respective service agreements, to be provided upon launch.

  • Conditions & Exclusions: Details will be provided when these services become available.

3. Non-Refundable Items/Services (Current Byproducts & Future Offerings)

The following items and future services are generally non-refundable:

• Digital Reports or Proprietary Data Downloads: Due to the nature of digital intellectual property, these will be non-refundable once accessed or downloaded.

• Used, Unsealed, or Improperly Stored Physical Microalgae Byproducts: For reasons of product integrity, safety, and biological stability, products that have been opened, used, or not stored according to our specified guidelines will not be eligible for a refund.

• Regulatory Approval Fees: Any fees paid to third-party regulatory bodies will be non-refundable.

• Shipping and Handling Charges: Original shipping and handling fees will generally be non-refundable. However, shipping and handling fees may be refunded if the return is a direct result of a Solarium error (e.g., defective product, incorrect shipment, or damage during transit). Additionally, any excess delivery fees charged over the actual shipping cost will be refunded once the product has been shipped. Return shipping costs will be the responsibility of the customer unless the return is due to a Solarium error.

• Future Consideration: Specific terms for Organic Carbon tokens will be provided separately upon their launch, as their refund/exchange conditions may differ significantly from physical products and will be subject to their specific smart contract or platform terms. The purchase of any Microalgae Byproducts does not imply or grant ownership or any claim to Organic Carbon Tokens or the underlying carbon credits they represent.

4. How to Request a Refund (Current Byproducts & Future Offerings)

To initiate a refund request, please follow these steps:

2. Provide Information: Include your order number, date of purchase or agreement, a detailed reason for the refund request, and any supporting documentation (e.g., clear photographs of damaged products, a description of the issue).

3. Await Instructions: Do not return any products until you receive specific instructions from Solarium's support team. Unauthorised returns may not be processed.

5. Refund Process (Current Byproducts & Future Offerings)

Upon receipt of your refund request:

1. Review: We will review your request and supporting documentation within:

   • 3 business days for refund requests related to Physical Microalgae Byproducts.

   • For physical products, this may include a request for product return for inspection.

2. Approval/Rejection: We will notify you via email of the approval or rejection of your refund. If rejected, we will provide a clear explanation.

3. Processing: If approved, your refund will be processed and initiated on the same business day of approval. A credit will automatically be applied to your original method of payment. Please note that it may take an additional 7-14 business days for the refund to be fully reflected on your bank statement or credit card due to varying banking infrastructure and processing times beyond our control.

   • Alternatively, at Solarium's discretion, a refund may be issued as credit towards future microalgae byproduct purchases.

6. Partial Refunds (if applicable - Current Byproducts & Future Offerings)

In certain situations, only partial refunds may be granted, including but not limited to:

• Physical products not in their original condition, are damaged, or missing parts for reasons not due to our error, but are still deemed usable for a limited application.

• Proportional refunds for long-term R&D collaboration contracts that are terminated early by the client.

7. Changes to the Refund Policy

Solarium Biotechnology LTD reserves the right to modify this Refund Policy at any time. Any changes will be effective immediately upon posting the updated policy on our Website. Your continued engagement with our products or R&D activities after such changes constitutes your acceptance of the revised Refund Policy. We recommend reviewing this policy periodically.
