Smart Noter AI Voice Notes — Terms of Use

## 1. Acceptance of Terms
By downloading, installing, accessing, or using Smart Noter AI Voice Notes (the "App"), you agree to be bound by these Terms of Use (the "Terms") and our Privacy Policy. If you do not agree, do not use the App.
You must be at least 13 years old to use the App, or at least 16 years old if you are located in the European Economic Area (EEA). If you are under the age of majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
## 2. Description of Service
Smart Noter AI Voice Notes is an AI-powered voice notes application developed by JanoGroup LLC ("we," "us," or "our") that allows users to:
- Record voice notes using the device microphone
- Import existing audio files for processing
- Create and manage text notes
- Transcribe audio recordings to text (on-device via Apple Speech, or via AI using OpenAI Whisper)
- Summarize note content using AI (OpenAI GPT)
- Translate note content into other languages using AI (OpenAI GPT)
- Organize notes in folders
- Export notes as PDF, text, or Word documents
- Use subscription features, including higher AI usage limits and an ad-free experience when available
**AI features** (transcription via OpenAI Whisper, summarization, and translation) transmit your audio or text content to OpenAI's servers for processing. The App will inform you what data will be sent and to whom before any AI feature is activated, and will ask for your permission before sending data to third-party services.
The Service is provided on an "as is" and "as available" basis. Availability and quality may vary based on network conditions, third-party service availability, and device performance.
## 3. Third-Party AI Services — User Consent
The App uses OpenAI's API to power AI transcription, summarization, and translation features. Before the App transmits any of your content to OpenAI, the App will:
1. Clearly disclose what data will be sent (audio recording file or text content of your note).
2. Identify that the data is sent to OpenAI, LLC (https://openai.com).
3. Require your explicit confirmation before transmitting your data.
You may decline any AI feature at any time. Core recording, local storage, and on-device transcription functions remain available without transmitting data to OpenAI.
By activating an AI feature after disclosure, you consent to the transmission of the relevant content to OpenAI for processing under OpenAI's Privacy Policy (https://openai.com/privacy).
## 4. Accounts, Devices, and Access
The App may use device-based identifiers or app-instance data to manage subscription status, AI usage limits, feature access, and abuse prevention. No account registration is required.
You are responsible for:
- Maintaining the security of your device
- All use of the App from your device
- Ensuring you have the right to record and submit any audio content you use with the App
- Ensuring any text or recordings you process through AI features do not include content you are not authorized to share (e.g., confidential communications, third-party copyrighted material without rights)
We may suspend, restrict, or terminate access if we detect abuse, fraud, unauthorized automation, attempts to bypass usage limits, or violations of these Terms.
## 5. User Conduct and Prohibited Uses
You agree to use the App only for lawful, personal, and non-commercial purposes unless expressly permitted by us in writing.
You may not use the App to:
- Record, generate, or store illegal, defamatory, hateful, harassing, violent, or explicit content
- Record conversations or audio without the consent of all parties where required by law
- Infringe copyright, trademark, privacy, publicity, or other legal rights of any person
- Submit content to OpenAI's API that violates OpenAI's Usage Policies
- Reverse engineer, decompile, scrape, or attempt to extract source code, model weights, or training data
- Bypass paywalls, usage limits, access restrictions, or subscription controls
- Use bots, scripts, or automated systems to access the Service at scale
- Resell AI-generated outputs as a standalone commercial transcription, summarization, or translation service
- Use the App for professional legal, medical, financial, regulatory, or compliance purposes without appropriate expert verification
Violations may result in immediate suspension or termination.
## 6. Intellectual Property and Licensing
### 6.1 Ownership
You retain rights to your original recordings and notes. JanoGroup LLC, its affiliates, licensors, and service providers retain all rights, title, and interest in and to the App, software, interfaces, branding, AI systems, and all materials other than content you provide.
### 6.2 Free Tier License
Free-tier access grants a limited, revocable, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes, subject to applicable usage limits.
### 6.3 Paid Subscription License
If you purchase or activate a paid subscription or trial, you receive a limited, personal, non-exclusive, non-transferable license to use premium App features during the active subscription period, including higher AI usage limits and ad-free access where offered.
Paid access does not grant the right to:
- Resell AI outputs commercially
- Build a competing transcription, summarization, or translation service from App outputs
- Perform automated bulk export or scraping of App outputs
### 6.4 Accuracy Disclaimer
AI-generated transcriptions, summaries, and translations may be inaccurate, incomplete, or misleading. Results may vary based on audio quality, background noise, accent, language complexity, and third-party AI performance. Do not rely solely on the App for:
- Legal, medical, financial, or regulatory decisions
- Professional transcription or documentation requiring certified accuracy
- Scientific research, academic citation, or legal proceedings
- Any purpose where errors could result in harm or liability
Always verify important content with qualified professionals or authoritative sources.
### 6.5 Third-Party Providers
Parts of the App rely on third-party providers, including OpenAI (AI features), Google AdMob (advertising), Apple (platform, on-device speech recognition, subscriptions, diagnostics), and RevenueCat (subscription management). We are not responsible for outages, policy changes, pricing changes, intellectual-property disputes, or output issues caused by those providers.
### 6.6 Copyright Complaints
If you believe content or materials in the App infringe your copyright, contact us at janogroupllc@gmail.com with:
- Your contact information
- Identification of the copyrighted work
- Identification of the allegedly infringing material
- A good-faith statement that the use is unauthorized
- A statement that the information you provide is accurate
We may remove or restrict access to content in appropriate circumstances.
## 7. Subscriptions, Usage Limits, and Billing
Usage and features may vary by plan. The current plan structure may include:
**Free Tier:**
- AI Feature Limit: Limited number of AI actions per month
- Features: Voice recording, on-device transcription, text notes, folder organization
- Notes: AI usage limits apply; does not auto-renew
**Paid Premium (Auto-Renewing Subscription):**
- AI Feature Limit: Higher monthly limits for AI transcription, summarization, and translation
- Features: Premium access, higher AI limits, ad-free experience
- Notes: Auto-renews unless canceled before the renewal date
Additional terms:
- Each successful AI transcription, summarization, or translation counts toward the applicable monthly limit.
- Premium limits reset monthly based on the applicable billing or tracking period.
- Unused AI credits do not roll over unless expressly stated in-app.
- Promotional trials or introductory offers, if available, may convert to paid subscriptions unless canceled before renewal.
- Billing, renewals, cancellation rights, and refunds are handled by Apple via the App Store. We do not process or store payment card information.
- Prices, offer availability, subscription names, and usage limits shown in the App or App Store listing control over any examples in these Terms.
- We may update pricing, plan structure, or limits at any time to reflect operational costs, service changes, legal requirements, or provider changes.
## 8. AI Technology and Service Limitations
The App uses machine-generated outputs from OpenAI. Results may:
- Misidentify words, names, technical terms, or accents in transcription
- Produce summaries that omit important context or introduce inaccuracies
- Produce translations that are incorrect, unnatural, or culturally insensitive
- Be affected by poor audio quality, background noise, or low-bandwidth conditions
- Differ over time as third-party AI providers, models, or systems change
We do not guarantee continuous uptime, uninterrupted access, or any minimum level of accuracy for AI features.
## 9. Privacy and Data Protection
Your use of the App is also governed by our Privacy Policy, which explains in detail:
- What data the App collects
- How the App collects that data
- All uses of that data
- Which third parties (OpenAI, Google AdMob, Apple) receive your data and why
- Confirmation that those third parties provide data protection consistent with applicable standards

## 10. Disclaimers and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JANOGROUP LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, RECORDINGS, NOTES, BUSINESS, REVENUE, PROFITS, GOODWILL, OR REPUTATION, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP OR RELIANCE ON AI-GENERATED CONTENT.
THIS INCLUDES, WITHOUT LIMITATION, LOSSES OR DAMAGES RESULTING FROM:
- Inaccurate AI transcriptions, summaries, or translations
- Decisions made based on AI-generated content without expert verification
- Accidental deletion of recordings or notes
- Third-party AI provider outages, errors, or policy changes
- Unauthorized access to your device
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE APP WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD 25.
## 11. Indemnification
You agree to indemnify, defend, and hold harmless JanoGroup LLC, its affiliates, officers, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to:
- Your use or misuse of the App
- Your recordings, notes, or other content
- Your violation of these Terms or applicable law, including any recording consent laws
- Your reliance on AI-generated content without appropriate expert verification
- Any injury, loss, or dispute arising from actions taken based on App output
## 12. Dispute Resolution and Governing Law
These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the App will be resolved by binding arbitration under the AAA Consumer Rules, conducted in English, in Washington, DC, or virtually, unless applicable law requires otherwise.
You and JanoGroup LLC agree that disputes will be brought only on an individual basis and not as part of any class, collective, consolidated, or representative proceeding.
You may opt out of arbitration within 30 days of first accepting these Terms by emailing janogroupllc@gmail.com with the subject line "Arbitration Opt-Out." If you opt out, exclusive jurisdiction for disputes will lie in the state or federal courts located in Washington, DC, to the extent permitted by law.
## 13. Termination
You may stop using the App at any time and may cancel subscriptions through your Apple App Store account settings.
We may suspend, restrict, or terminate access immediately if we believe you have violated these Terms, abused the Service, attempted to bypass restrictions, or created legal, security, or operational risk.
Upon termination, your right to use the App ends immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions.
## 14. Changes to These Terms
We may update these Terms from time to time. Material changes may be communicated in-app, through release notes, or by other reasonable means. Your continued use of the App after updated Terms become effective constitutes acceptance of the revised Terms.
## 15. General Provisions
These Terms, together with the Privacy Policy, form the entire agreement between you and JanoGroup LLC regarding the App and supersede prior or contemporaneous understandings relating to the App.
If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver. We may assign or transfer these Terms in connection with a merger, acquisition, financing, or sale of assets.
