Chapter 1: General Provisions

Article 1: Name

The name of this corporation shall be "Support Association for Women in Difficult Situations (SAWDS)."

Article 2: Principal Office

The principal office of the corporation shall be located in Nagoya City, Aichi Prefecture.

Article 3: Purpose

The purpose of this corporation is to support women. In order to achieve this purpose, the corporation will conduct the following activities:  

1. Educational Support for Women

   Hold study groups and learning sessions for women at local community centers, rental conference rooms, and online.  

2. Promotion of Learning Opportunities for Women

   Provide free online courses for women to support career advancement and self-development.  

3. Career Development Support for Women

   Provide career counseling and vocational training programs to support women in their career advancement.  

4. Employment Support for Women

   Organize local job fairs to support matching between companies and job seekers.  

5. Skills Improvement Support for Women

   Hold skill development courses for women, such as IT skills, business manners, and leadership training.  

6. Promotion of Women’s Social Participation

   Develop volunteer programs in cooperation with local governments to promote women’s social participation.  

7. Support for Women’s Advancement in Society

   Implement mentoring programs in cooperation with companies to support women in managerial positions.  

8. Support for Women’s Success in Society

   Provide childcare support services and workplace reentry programs for working women.  

9. Support for Women’s Events

   Organize business fairs for female entrepreneurs, offering networking and business opportunities.  

10. Promotion of Events for Women

   Plan and implement seminars and workshops that enable women to develop leadership skills.  

11. Promotion of Women’s Participation in Events

   Organize sports events and cultural festivals for women in local communities and encourage participation.  

12. Gender Issue Awareness Activities

   Hold workshops and lectures in schools and workplaces to raise awareness of gender equality.  

13. Public Relations Activities on Gender Issues

   Disseminate information on gender issues through media campaigns to deepen public understanding.  

14. Promotion of Gender Awareness

   Use social media to spread awareness content on gender equality and reach a broad audience.  

15. Other Activities Necessary to Achieve the Corporation’s Purpose

Article 4: Method of Public Announcement

Public announcements of this corporation shall be posted at a location accessible to the public at the corporation's principal office.

Chapter 2: Members

Article 5: Admission

Individuals who agree with the corporation's purpose and are admitted as members shall be members of the corporation.  

2. To become a member, individuals must submit an application in the form specified by the corporation and obtain approval from the representative director.

Article 6: Obligations of Members

Members are obligated to bear the costs necessary to achieve the corporation's purpose.  

2. Members must pay the admission fees and membership fees as determined by the general meeting of members.

Article 7: Withdrawal

Members may withdraw from the corporation at any time. However, they must notify the corporation at least one month in advance.

Article 8: Expulsion

If a member damages the reputation of the corporation, acts contrary to its purpose, or violates their duties as a member, the member may be expelled by a resolution of the general meeting of members in accordance with Article 49, Paragraph 2 of the General Incorporated Associations and General Incorporated Foundations Act (hereinafter referred to as the "General Corporation Act").

Article 9: Loss of Membership

A member shall lose their membership status if any of the following apply:  

(1) Withdrawal from the corporation.  

(2) Death, declaration of disappearance, or dissolution of the member.  

(3) Failure to pay membership fees for more than one year.  

(4) Expulsion.  

(5) Agreement of all members.

Chapter 3: General Meeting of Members

Article 10: Convening of the General Meeting of Members

The regular general meeting of members shall be held in October each year, and an extraordinary general meeting shall be held as necessary.

Article 11: Convocation

The representative director shall convene the general meeting of members based on a decision by a majority of the directors.  

2. Notices of convocation for general meetings of members shall be issued to members at least one week before the meeting date.

Article 12: Resolution Methods

Resolutions at the general meeting of members shall be passed by a majority of the voting rights held by the members present, except as otherwise provided by law.

Article 13: Voting Rights

Each member shall have one voting right.

Article 14: Chairperson

The representative director shall serve as the chairperson of the general meeting of members. If the representative director is unable to attend, a chairperson shall be selected by the members present at the meeting.

Article 15: Minutes

Minutes of the general meeting of members shall be prepared in accordance with the law, and the chairperson and attending directors shall sign or seal the minutes.

Chapter 4: Officers

Article 16: Officers

The corporation shall have the following officers:  

Directors: Three or more  

2. One of the directors shall serve as the representative director.

Article 17: Election

Directors shall be elected by a resolution of the general meeting of members from among the members. However, if necessary, directors may be elected from non-members.  

2. The representative director shall be elected by mutual vote of the directors.  

3. The total number of directors and their spouses or relatives within the third degree of kinship shall not exceed one-third of the total number of directors.

Article 18: Term of Office

The term of office for directors shall be until the conclusion of the regular general meeting of members for the last business year that ends within two years of their election.  

2. The term of office of a director elected to fill a vacancy shall be the same as the remaining term of the predecessor.

Article 19: Duties and Authority of Directors

Directors shall perform their duties in accordance with the law and these articles of incorporation.  

2. The representative director shall represent the corporation and oversee its operations.

Article 20: Dismissal

Directors may be dismissed by a resolution of the general meeting of members.

Article 21: Compensation, Etc.

The compensation, bonuses, and other remuneration for directors shall be determined by a resolution of the general meeting of members.

Chapter 5: Fund

Article 22: Contribution of Fund, Etc.

The corporation may solicit individuals to subscribe for its fund.  

2. The fund contributed shall not be returned until the dissolution of the corporation.  

3. The liquidation procedure for returning the fund shall be separately determined by the liquidator.

Chapter 6: Accounting

Article 23: Business Year 

The business year of the corporation shall be one year, beginning on November 1 and ending on October 31 of the following year.

Article 24: Business Plan and Budget

The business plan and budget of the corporation for each fiscal year shall be prepared by the representative director and approved by the general meeting of members before the start of the fiscal year. The same procedure applies when making changes.

Article 25: Non-distribution of Surplus

The corporation shall not distribute any surplus.

Chapter 7: Amendments to the Articles of Incorporation, Dissolution, and Liquidation

Article 26: Amendments to the Articles of Incorporation

These articles of incorporation may be amended by a resolution passed by a majority of the total number of members and by at least two-thirds of the voting rights of the total number of members.

Article 27: Dissolution

The corporation shall be dissolved by a resolution passed by a majority of the total number of members and at least two-thirds of the voting rights of the total number of members, or for other reasons prescribed by law.

Article 28: Disposal of Remaining Assets

In the event of liquidation, the remaining assets of the corporation, after liquidation, shall be donated to other public-interest corporations or to the national or local governments that have a purpose similar to that of the corporation, as determined by a resolution of the general meeting of members.

（名称)

第１条　当法人は、一般社団法人こんなん女性支援協会と称する。

（主たる事務所)

第２条　当法人は、主たる事務所を愛知県名古屋市に置く。

（目的）

第３条　当法人は、女性を支援することを目的とし、その目的に資するため、次の事業を行う。

１　女性向け学びのサポート

地域の公民館、貸会議室やオンラインで、女性向けの勉強会や学習グループを開催する。

２　女性の学習機会を増やす活動

女性のための無料オンラインコースを提供し、キャリアアップや自己啓発を支援する。

３　女性のキャリア開発支援

キャリアカウンセリングや職業訓練プログラムを提供し、女性のキャリアアップを支援する。

４　女性の就職サポート

地域密着型の就職フェアを開催し、企業と求職者のマッチングを支援する。

５　女性の仕事スキル向上支援

ITスキルやビジネスマナー、リーダーシップ研修など、女性向けのスキルアップ講座を開催する。

６　女性の社会参加を促す活動

地方自治体と協力し、女性の社会参画を促進するためのボランティアプログラムを展開する。

７　女性の社会進出を支援する活動

女性の管理職登用を支援するためのメンタリングプログラムを企業と共同で実施する。

８　女性が社会で活躍するためのサポート

働く女性向けに、育児支援サービスや職場復帰プログラムを提供する。

９　女性向けイベントの支援

女性起業家のためのビジネスフェアを開催し、ネットワーキングとビジネスの機会を提供する。

１０　女性のためのイベント開催促進

女性がリーダーシップを発揮できるようなセミナーやワークショップを企画・実施する。

１１　女性が参加するイベントの推進

地域コミュニティでの女性のためのスポーツイベントや文化祭を企画し、参加を奨励する。

１２　ジェンダー問題の啓発活動

学校や職場でジェンダー平等に関するワークショップや講演を行い、意識向上を図る。

１３　性別の問題についての広報活動

メディアキャンペーンを通じて、ジェンダー問題に関する情報を広く発信し、理解を深める。

１４　ジェンダー意識を広める活動

SNSを活用してジェンダー平等に関する啓発コンテンツを発信し、広範な層にリーチする。

１５　その他当法人の目的を達成するために必要な事業

（公告の方法）

第４条　当法人の公告は、当法人の主たる事務所の公衆の見やすい場所に掲示する方法により行う。

第２章　社  員

（入社)

第５条　当法人の目的に賛同し、入社した者を社員とする。

２　社員となるには、当法人所定の様式による申込みをし、代表理事の承認を得るものとする。

（経費等の負担）

第６条　社員は、当法人の目的を達成するため、それに必要な経費を支払う義務を負う。

２　社員は、社員総会において別に定める入会金及び会費を納入しなければならない。

（退社)

第７条　社員は、いつでも退社することができる。ただし、１か月以上前に当法人に対して予告をするものとする。

（除名）

第８条　当法人の社員が、当法人の名誉を毀損し、若しくは当法人の目的に反する行為をし、又は社員としての義務に違反するなどの除名すべき正当な事由があるときは、一般社団法人及び一般財団法人に関する法律（以下「一般法人法」という。）第４９条第２項に定める社員総会の決議により、その社員を除名することができる。

（社員の資格喪失）

第９条　社員が次の各号のいずれかに該当する場合には、その資格を喪失する。

⑴　退社したとき。

⑵　死亡し、若しくは失踪宣告を受け、又は解散したとき。

⑶　１年以上会費を滞納したとき。

⑷　除名されたとき。

⑸　総社員の同意があったとき。

第３章　社員総会

（開催）

第１０条　定時社員総会は、毎年１０月に開催し、臨時社員総会は、必要がある場合に開催する。

（招集）

第１１条　社員総会は、理事の過半数の決定に基づき代表理事が招集する。

２　社員総会の招集通知は、会日より１週間前までに社員に対して発する。

（決議の方法)

第１２条　社員総会の決議は、法令に別段の定めがある場合を除き、総社員の議決権の過半数を有する社員が出席し、出席した当該社員の議決権の過半数をもって行う。

（議決権）

第１３条　社員は、各１個の議決権を有する。

（議長）

第１４条　社員総会の議長は、代表理事がこれに当たる。代表理事に事故があるときは、当該社員総会において、議長を選出する。

（議事録）

第１５条　社員総会の議事については、法令の定めるところにより議事録を作成し、議長及び出席した理事がこれに署名又は記名押印する。

第４章　役　員

（役員）

第１６条　当法人に、次の役員を置く。

理事　３名以上

２　理事のうち１名を代表理事とする。

（選任）

第１７条　理事は、社員総会の決議によって社員の中から選任する。ただし、必要があるときは、社員以外の者から選任することを妨げない。

２　代表理事は、理事の互選によって定める。

３ 理事のうち、理事のいずれかの１名とその配偶者又は３親等内の親族の合計数は、理事総数の３分の１を超えてはならない。

（任期)

第１８条　理事の任期は、選任後２年以内に終了する事業年度のうち最終のものに関する定時社員総会の終結の時までとする。

２　任期の満了前に退任した理事の補欠として選任された理事の任期は、前任者の任期の残存期間と同一とする。

（理事の職務及び権限)

第１９条　理事は、法令及びこの定款の定めるところにより、その職務を執行する。

２　代表理事は、当法人を代表し、その業務を統括する。

（解任）

第２０条　理事は、社員総会の決議によって解任することができる。

（報酬等）

第２１条　理事の報酬、賞与その他の職務執行の対価として当法人から受ける財産上の利益は、社員総会の決議によって定める。

第５章　基　金

（基金の拠出等）

第２２条　当法人は、基金を引き受ける者の募集をすることができる。

２　拠出された基金は、当法人が解散するまで返還しない。

３　基金の返還の手続については、基金の返還を行う場所及び方法その他の必要な事項を清算人において別に定めるものとする。

第６章　計　算

（事業年度）

第２３条　当法人の事業年度は、毎年１１月１日から翌年１０月末日までの年１期とする。

（事業計画及び収支予算）

第２４条　当法人の事業計画及び収支予算については、毎事業年度開始日の前日までに代表理事が作成し、直近の社員総会において承認を受けるものとする。これを変更する場合も、同様とする。

（剰余金の不分配）

第２５条　当法人は、剰余金の分配を行わない。

第７章　定款の変更、解散及び清算

（定款の変更）

第２６条　この定款は、社員総会において、総社員の半数以上であって、総社員の議決権の３分の２以上に当たる多数をもって決議することにより変更することができる。

（解散）

第２７条　当法人は、社員総会において、総社員の半数以上であって、総社員の議決権の３分の２以上に当たる多数をもって決議することその他法令に定める事由により解散する。

（残余財産の帰属）

第２８条　当法人が清算をする場合において有する残余財産は、社員総会の決議を経て、当法人と類似の事業を目的とする他の公益法人又は国若しくは地方公共団体に贈与するものとする。
