# Terms of Use — SaidAI

## 1. What SaidAI is
SaidAI is a private after-meeting log. After a meeting, you speak in your own voice about what you committed to do. The app estimates a short list of those commitments. You confirm, edit, or delete lines, then save a dated debrief on your device.
**SaidAI is not:**
- A meeting recorder. It does not join calls or record a room.
- Official minutes. The output is an AI estimate of what *you* said, not a transcript of what happened.
- A chatbot, a virtual assistant, or a professional report generator.
- A source of medical, legal, or financial advice.

## 2. Age
You must be at least 13 years old to use SaidAI. If you are under 18, you must have a parent or guardian's permission. SaidAI is not in any Kids category.

## 3. AI estimates, not minutes
Results are generated by an AI model. They can be wrong, incomplete, or invented from something you mumbled. They are **not** minutes of a meeting and **not** proof of what anyone agreed to.
**You must confirm every line before you act on it.** We do not warrant that any item in the list is correct. Do not present a SaidAI list as the official record of a meeting or as someone else's commitment.

## 4. Only your own voice
You may only record your own voice. Do not use SaidAI to record other people. You are responsible for complying with consent and recording laws in your jurisdiction.

## 5. Content standards
Do not submit or attempt to generate:
- Sexual, violent, hateful, or illegal content.
- Children's voices as a product use.
- Automated or bulk recordings.
- Anything that violates applicable law.
We filter AI output. If a debrief extraction produces prohibited content, the extraction is refused and no credit is spent. We reserve the right to refuse any extraction.

## 6. No professional advice
SaidAI does not provide medical, legal, financial, or any other professional advice. The task list is an AI estimate intended as a personal memory aid. Do not rely on it as a substitute for professional judgment.

## 7. Subscriptions and payments
- **Free tier:** Two debriefs per calendar day on your device. Credits reset at midnight (device local time).
- **Plus subscription:** Unlimited debriefs. Available as a yearly plan (with a 3-day free trial) or a weekly plan.
- **Auto-renewal:** Subscriptions renew automatically unless you cancel at least 24 hours before the current period ends.
- **Managed by your store:** All payments, renewals, cancellations, and refunds are handled by the Apple App Store or Google Play through your store account. UPİGAİ does not process payments directly.
- **Cancel anytime:** Cancel in your store account settings. After cancellation, you keep access until the end of the paid period, then revert to the free tier.
- **Restore Purchases:** Available in the app's Settings screen and on the paywall.
- **Credits:** A successful extraction to the result screen spends one credit. A cancelled or failed extraction does not.

## 8. Third-party AI
After you tap Continue on the consent screen, your voice recording is sent to **OpenAI** for transcription and task extraction only. The audio is not added to a training set. You may revoke this consent in Settings at any time. Revocation stops new debriefs from being processed; it does not erase audio already sent for a prior debrief.

## 9. Your responsibility and indemnity
You are solely responsible for how you use SaidAI and any list, screenshot, or share you produce. You agree to defend and indemnify UPİGAİ and its operators against any claims arising from:
- Your reliance on a list without confirming its accuracy.
- Recording other people without their consent.
- Content you submit or share.
- Your breach of these Terms.
- Sharing a debrief without the in-app warning text.

## 10. No warranty
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the app will be uninterrupted, error-free, or that AI output will be accurate.

## 11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPİGAİ'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF SAIDAI IS LIMITED TO THE AMOUNT YOU PAID TO UPİGAİ THROUGH APPLE OR GOOGLE FOR PLUS IN THE 12 MONTHS PRECEDING THE CLAIM, OR ZERO IF YOU USED ONLY FREE DEBRIEFS.
IN NO EVENT SHALL UPİGAİ BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL.
Some jurisdictions do not allow these limitations. In those jurisdictions, these limits apply only to the extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.

## 12. Acceptable use
You may not reverse-engineer the app, scrape or abuse the service, or resell access as a competing product or API.

## 13. Apple and Google
Apple and Google are not parties to these Terms and have no obligation to you under them.

## 14. Privacy
The [Privacy Policy](https://sites.google.com/upigai.com/saidai) is part of these Terms.

## 15. Changes
We may update these Terms. If we make material changes, we will notify you through an in-app notice. Continued use of SaidAI after such notice constitutes acceptance of the updated Terms.

## 16. Governing law and jurisdiction
These Terms are governed by the laws of the **Republic of Turkey**, without regard to conflict-of-law rules. Disputes shall be resolved in the courts of Turkey, except where mandatory consumer protection laws in your country of residence grant you additional rights.
