The Erie Lackawanna Railway was formed on March 1, 1968, as a subsidiary of Dereco, the holding company of the Norfolk and Western Railway, which had bought the railroad. This had been part of a condition take control of EL and D&H in order to arrove the Wabash and NKP merger. The purpose of Dereco would be to act as a holding company until merger plans could be made.

In 1972, Dereco's briefly attempted a merger of the D&H and EL that would package the railroads to later consolidate into N&W. EL fell into bankrupcty due to the destruction from hurricane aggnes and growing highway competition. Any merger plans were postponed.

In 1974-1976 N&W attempted to sell Dereco to Chessie System. A Chessie merger with EL/D&H was nearly completed before they eventullally backed out of the agreement. Dereco immediatly petitioned to join Conrail but was deneid on the basis of maintaining competition in the Northeast. N&W would sell off Dereco to become an independant corporation in 1976, in hopes Chessie would reconsider their aquisition. The primary motivation for this seemed to be new aspirations to aquire Conrail as a long term goal. N&W believed the EL/D&H would only hinder chances at this in the future.

1977-1980. Dereco was not in the business to run a railroad and therefore with no buyer in the future they would offically make a exit plan. The 3 phase plan started with the EL being split at Meadville. The NYSW would take over the eastern half of the system which would include commuter operations. NYSW. The western half would be organized into new Erie Western Railway. In the second phase, D&H would merge with the Erie Western and the final phase the D&H would buy the NYSW thus gaining control of the eastern portion.

1980-1990. Plans to consolidate faded over time, the D&H, NYSW and EW continue to interchange traffic at Meadville, PA offering a alternative freight service to conrail.
