# Terms of Use for Invoice & Estimate Maker
**Effective Date:** September 29, 2026
**Last Updated:** September 29, 2026
## 1. Acceptance of These Terms
These Terms of Use ("Terms") are a binding agreement between you and JanoGroup LLC ("JanoGroup," "we," "us," or "our") governing your access to and use of the Invoice & Estimate Maker mobile application, its content, features, subscriptions, and related services (collectively, the "Service").
By downloading, accessing, purchasing, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.
If you use the Service for or on behalf of a business, client, employer, or other organization, you represent and warrant that you have authority to bind that organization. In that case, "you" includes both you and that organization.
## 2. Eligibility and Authority
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. You may not use the Service if applicable law prohibits you from doing so.
You are responsible for ensuring that you are authorized to create, approve, sign, issue, send, receive, modify, or retain each invoice, estimate, and other document you handle through the Service.
## 3. The Service
The Service provides tools for creating, editing, saving, organizing, converting, signing, previewing, printing, exporting, and sharing invoices and estimates; calculating line-item totals, discounts, and taxes based on information you enter; recording document statuses; and adding payment instructions.
The Service is a document-preparation and organizational tool only. It is not an accounting system, bookkeeping service, payment processor, bank, money transmitter, tax-preparation service, collections service, electronic-signature certification service, records-management service, or professional adviser. A displayed status such as "paid," "unpaid," "overdue," or "approved" is a user-controlled organizational label and is not independent verification of payment, debt, approval, delivery, acceptance, or legal status.
Features, formats, calculations, templates, limits, compatibility, availability, and supported platforms may change at any time. We may modify, suspend, restrict, or discontinue any part of the Service without liability, subject to applicable law and rights associated with an active paid subscription.
We are not required to disclose confidential technology, source code, security procedures, provider arrangements, business methods, internal operations, or system architecture.
## 4. Your Responsibility for Documents and Business Decisions
You are solely responsible for every document and all information, calculations, classifications, signatures, payment instructions, tax rates, discounts, dates, currency settings, numbering, terms, and statuses contained in or produced through the Service.
Before issuing, signing, relying on, printing, exporting, or sharing a document, you must independently review and verify its accuracy, completeness, formatting, calculations, legal sufficiency, tax treatment, payment details, and suitability for your intended use. You are also solely responsible for:
- Determining whether an invoice, estimate, signature, notice, record, or transaction complies with applicable law, contract, professional rules, tax requirements, invoicing rules, retention duties, and industry standards
- Obtaining all required consents and authorizations from clients, signers, payers, recipients, and other persons
- Confirming the identity and authority of each signer and recipient
- Delivering documents by an accepted method and retaining reliable evidence of delivery, receipt, acceptance, payment, and agreement
- Filing taxes, maintaining books and records, collecting amounts owed, handling disputes, and meeting all business and regulatory obligations
- Verifying bank, account, IBAN, PayPal, and other payment instructions before distribution
An estimate does not become a binding contract merely because it is created, marked approved, signed, or converted through the Service. An invoice does not establish that an amount is legally owed, payable, collectible, tax deductible, or paid. The Service does not guarantee that any recipient will accept a document or signature or make payment.
## 5. No Professional Advice
The Service and its templates, labels, calculations, output, and other content are provided for general informational and administrative purposes only. They are not legal, tax, accounting, financial, investment, employment, compliance, or other professional advice and do not create any professional, fiduciary, confidential, attorney-client, accountant-client, or similar relationship.
Laws and requirements vary by jurisdiction and circumstance. Consult a qualified professional regarding your documents, taxes, business practices, signatures, record retention, and legal obligations.
## 6. Calculations, Taxes, Currencies, and Rounding
Calculations are based solely on values and settings you provide and may be affected by rounding, decimal precision, currency conventions, software limitations, data-entry errors, or defects. Currency symbols and codes do not perform currency conversion or verify exchange rates. Tax fields do not identify, calculate, report, withhold, collect, remit, or file taxes on your behalf.
You must independently verify all subtotals, taxes, discounts, totals, balances, rates, quantities, currency information, and payment terms. We are not responsible for underpayments, overpayments, tax liabilities, penalties, interest, reporting errors, lost deductions, rejected documents, or other consequences arising from calculations or information created with the Service.
## 7. Signatures and Electronic Transactions
The Service may allow a visual signature image or mark to be added to a document. We do not authenticate signers, verify identity or intent, issue digital certificates, provide tamper-evident audit trails, witness signatures, notarize documents, or warrant that a signature satisfies any electronic-signature, evidentiary, contractual, or recordkeeping requirement.
You are solely responsible for determining whether electronic signatures are lawful and enforceable for a particular document or transaction, obtaining consent to use electronic records and signatures, preserving required evidence, and using a qualified signature or identity-verification provider when appropriate. You may not add, copy, or use another person's signature without that person's express authorization.
## 8. User Content
"User Content" means business details, client details, contact information, tax identifiers, invoice and estimate data, line items, pricing, payment instructions, account information, signatures, documents, files, feedback, and other material you enter, create, store, export, or submit through the Service.
You retain any rights you have in User Content. You grant JanoGroup a nonexclusive, worldwide, royalty-free license to host, reproduce, transmit, format, process, and display User Content only as reasonably necessary to operate, secure, support, improve, and provide the Service, comply with law, and enforce these Terms. This license ends when the content is no longer reasonably required for those purposes, subject to legal obligations, backups, technical limitations, and third-party retention.
You represent and warrant that you have all rights, notices, consents, permissions, and lawful bases necessary to use and submit User Content and to permit its handling as contemplated by these Terms and the Privacy Policy. You must not enter or distribute content that violates law, contract, confidentiality, intellectual-property rights, privacy rights, publicity rights, data-protection requirements, or any other person's rights.
## 9. Sensitive Information and Payment Instructions
The Service is not designed as a secure vault or regulated records repository. Do not use it to store passwords, authentication credentials, full payment-card details, government identification documents, protected health information, export-controlled information, legally privileged material, or other highly sensitive or regulated information unless you have independently determined that doing so is lawful and appropriate.
Payment instructions displayed in a document are text supplied by you. The Service does not open, verify, monitor, or control bank, PayPal, or other financial accounts and does not initiate, receive, hold, route, reverse, or confirm payments. You accept all risk of incorrect, outdated, intercepted, altered, fraudulent, or unauthorized payment instructions. You must verify payment details through an independent trusted channel before sending funds or asking another person to send funds.
## 10. Local Storage, Backups, and Data Loss
Some User Content and settings may be stored locally on your device or within application storage. Unless expressly stated otherwise, the Service does not provide cloud backup, archival storage, disaster recovery, version history, guaranteed synchronization, or guaranteed restoration of documents or settings.
User Content may be lost, corrupted, overwritten, or become inaccessible because of device loss or damage, app deletion, operating-system actions, storage clearing, software updates, failed transfers, insufficient storage, defects, or other events. Deleting the app or changing devices may permanently delete locally stored content. Restoring a subscription does not restore documents or User Content.
You are solely responsible for maintaining independent, current, readable backups of all documents and records you are legally or commercially required to retain. We have no obligation to recover, reconstruct, preserve, or provide any User Content.
## 11. Exporting, Printing, and Sharing
Export, print, preview, and sharing functions may rely on your device, operating system, printer, network, recipient software, or third-party applications. We do not control and are not responsible for failed, delayed, incomplete, misdirected, intercepted, reformatted, or unauthorized exports, print jobs, or transmissions.
You are responsible for confirming that each exported or shared file is complete and accurate, reaches the intended recipient, and does not expose confidential or personal information to an unintended person. Once User Content leaves the Service, its handling is governed by the recipient and the applicable third-party service.
## 12. Ownership and License
The Service, excluding User Content and third-party material, is owned by JanoGroup or its licensors and is protected by intellectual-property and other laws. Subject to these Terms, JanoGroup grants you a limited, personal, revocable, nonexclusive, nontransferable, and nonsublicensable license to install and use the Service on devices you own or control for lawful internal personal or business purposes.
The Service is licensed, not sold. JanoGroup and its licensors retain all rights not expressly granted in these Terms. Your subscription grants access to designated features during the applicable subscription period; it does not transfer ownership of the Service.
You may use documents you create through the Service, subject to your responsibility for User Content and third-party rights. We do not represent or warrant that any template, layout, wording, or output is unique, protectable, non-infringing, legally sufficient, or suitable for a particular purpose.
Except where applicable law expressly permits despite this restriction, you may not copy, sell, license, distribute, modify, reverse engineer, decompile, extract source code from, interfere with, bypass, frame, mirror, or create a competing or derivative service from the Service.
## 13. Acceptable Use
You may not use the Service to:
- Violate any law, regulation, court order, contract, tax obligation, sanctions rule, export restriction, or third-party right
- Create, alter, sign, issue, or distribute a false, deceptive, fraudulent, unauthorized, defamatory, infringing, abusive, or unlawful document
- Falsify transactions, prices, taxes, expenses, signatures, approvals, payment status, business identity, records, or evidence
- Impersonate another person or business or misrepresent your identity, authority, affiliation, goods, services, or entitlement to payment
- Facilitate money laundering, tax evasion, sanctions evasion, fraud, theft, deceptive billing, unauthorized collections, or other financial misconduct
- Insert or use another person's signature, personal information, confidential information, tax identifier, or payment information without authorization
- Upload malicious code or probe, overload, disrupt, circumvent, or gain unauthorized access to the Service, its safeguards, providers, systems, subscriptions, or usage controls
- Scrape, harvest, benchmark for publication, resell, or automate access without prior written permission
- Use the Service in a way that violates applicable third-party or app-store policies
We may investigate suspected violations and restrict or terminate access where reasonably necessary to protect the Service, providers, users, or others or to comply with law.
## 14. Subscriptions, Billing, and Automatic Renewal
Paid features require a subscription purchased through the Apple App Store or another platform through which the Service is offered (each, an "App Store"). Available plans, prices, billing periods, introductory offers, taxes, currencies, and included features are displayed by the applicable App Store before purchase.
Unless the App Store states otherwise, subscriptions automatically renew for the same billing period until canceled. Your App Store account will be charged according to the terms shown at purchase. You must cancel through your App Store account before the renewal deadline shown by the App Store to avoid the next charge. Deleting the Service does not cancel a subscription.
JanoGroup does not directly process payment-card information for App Store purchases. Billing, cancellation, refunds, payment disputes, family sharing, and purchase restoration are subject to the applicable App Store's terms and decisions. Except where required by law or expressly provided by the App Store, payments are nonrefundable and no credits are provided for partially used periods.
Subscription access may take time to update after purchase, renewal, cancellation, refund, billing failure, account change, or restoration. Access may be unavailable if the App Store or a subscription-management provider cannot verify your entitlement. You are responsible for maintaining access to the App Store account used for purchase.
## 15. Free Trials and Promotional Access
The Service may offer a free trial, preview, discount, or other promotional access. Eligibility, duration, renewal price, and availability are controlled by the offer displayed at purchase and the applicable App Store. Unless canceled before the deadline shown by the App Store, a free trial may automatically convert to a paid, automatically renewing subscription.
Trial reminders are optional convenience notifications only. They may be delayed, suppressed, miscalculated, or not delivered because of notification permissions, device settings, time-zone changes, operating-system restrictions, network conditions, software defects, or other causes. You remain solely responsible for tracking the trial period and canceling on time. Failure to receive a reminder does not entitle you to a refund.
We may modify or discontinue promotional access at any time, subject to applicable law and App Store requirements.
## 16. Pricing and Product Changes
We may add, remove, modify, repackage, or discontinue plans, features, billing periods, promotional offers, and prices. The price and terms displayed by the applicable App Store when you authorize a transaction control that purchase.
Changes to an existing automatically renewing subscription will be handled according to applicable law and App Store requirements, including any required notice or consent. Taxes, currency conversion, regional pricing, and App Store policies may affect the final amount charged.
## 17. Cancellation and Refunds
You may cancel an automatically renewing subscription through your App Store subscription settings. JanoGroup cannot directly cancel an App Store subscription on your behalf. Cancellation generally takes effect at the end of the current billing period unless the App Store or applicable law provides otherwise.
Purchases and refund requests are administered by the platform through which the purchase was made. Refund eligibility is determined by the App Store or applicable law. Nothing in these Terms limits refund, cancellation, withdrawal, or consumer rights that cannot legally be waived.

## 18. Third-Party Services
The Service may rely on third parties for distribution, subscription management, purchases, document generation, printing, sharing, notifications, device storage, operating-system functionality, analytics, security, and other features. Your use may also be governed by their terms and privacy policies.
JanoGroup does not control and is not responsible for third-party content, products, systems, decisions, availability, security, retention, accuracy, pricing, policies, conduct, or performance. Third-party outages, policy changes, account actions, or service restrictions may affect the Service without notice. Your dealings with a third party are solely between you and that third party, except where responsibility cannot legally be excluded.
## 19. Privacy
The Invoice & Estimate Maker Privacy Policy explains how information is collected, stored, used, and disclosed and is incorporated into these Terms by reference. By using the Service, you acknowledge the practices described in the Privacy Policy.
You are independently responsible for providing any privacy notice and obtaining any consent required before entering another person's personal information into the Service or including it in a document.
## 20. Feedback
If you provide ideas, suggestions, reviews, or other feedback, you grant JanoGroup a perpetual, irrevocable, worldwide, royalty-free, transferable, and sublicensable right to use, reproduce, modify, distribute, commercialize, and otherwise exploit that feedback for any lawful purpose without compensation, restriction, or attribution, to the extent permitted by law.
## 21. Suspension and Termination
You may stop using the Service at any time. Subscription cancellation is governed by the applicable App Store and may not take effect until the end of the current billing period.
We may suspend, limit, or terminate access if we reasonably believe you violated these Terms, created risk or legal exposure, misused the Service, failed to pay applicable charges, or if suspension is required by a provider or law. We may also discontinue the Service as provided in these Terms.
Upon termination, your license to use the Service ends. You must export any User Content you wish to retain before losing access. We do not guarantee post-termination access or recovery. Provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, limitations of liability, indemnification, and dispute provisions.
## 22. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE AND ALL TEMPLATES, CALCULATIONS, DOCUMENTS, OUTPUT, CONTENT, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
JANOGROUP DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, LEGAL SUFFICIENCY, ENFORCEABILITY, AUTHENTICITY, QUIET ENJOYMENT, AVAILABILITY, SECURITY, DATA RETENTION, AND RESULTS. WE DO NOT WARRANT THAT THE SERVICE OR ANY DOCUMENT, CALCULATION, SIGNATURE, STATUS, PAYMENT INSTRUCTION, OR OUTPUT WILL BE CORRECT, COMPLETE, CURRENT, COMPLIANT, ACCEPTED, COLLECTIBLE, ENFORCEABLE, UNIQUE, UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT DEFECTS OR DATA LOSS WILL BE CORRECTED.
WE DO NOT WARRANT THAT ANY DOCUMENT WILL RESULT IN PAYMENT, FORM A CONTRACT, SATISFY TAX OR RECORDKEEPING REQUIREMENTS, OR BE ADMISSIBLE AS EVIDENCE. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
## 23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JANOGROUP AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, USE, OR DATA; BUSINESS INTERRUPTION; TAXES, PENALTIES, INTEREST, CHARGEBACKS, REFUNDS, OR UNCOLLECTED AMOUNTS; DOCUMENT REJECTION OR INVALIDITY; UNAUTHORIZED OR MISDIRECTED PAYMENTS; PRIVACY OR SECURITY INCIDENTS; PERSONAL INJURY OR PROPERTY DAMAGE; OR COST OF SUBSTITUTE SERVICES ARISING OUT OF OR RELATED TO THE SERVICE, USER CONTENT, DOCUMENTS, CALCULATIONS, SIGNATURES, PAYMENT INSTRUCTIONS, THIRD-PARTY SERVICES, OR THESE TERMS, REGARDLESS OF LEGAL THEORY AND EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF JANOGROUP FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE THROUGH THE APPLICABLE APP STORE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US $100.
THE EXCLUSIONS AND LIMITATIONS IN THESE TERMS ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Nothing in these Terms excludes or limits liability, warranties, remedies, or consumer rights that cannot lawfully be excluded or limited.
## 24. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless JanoGroup and its owners, officers, employees, contractors, affiliates, licensors, and service providers from and against claims, demands, proceedings, liabilities, damages, judgments, settlements, losses, costs, and reasonable attorneys' fees arising out of or relating to:
- Your User Content, documents, signatures, payment instructions, business activities, products, services, clients, or transactions
- Your unlawful, fraudulent, negligent, or unauthorized use of the Service
- Your material violation of these Terms, applicable law, tax obligations, privacy or data-protection requirements, or professional duties
- Your infringement, misappropriation, or violation of another person's rights
- A dispute between you and a client, signer, recipient, payer, tax authority, regulator, financial institution, or other third party
You may not settle a claim in a manner that admits fault by or imposes obligations on an indemnified party without JanoGroup's prior written consent. This section does not apply to the extent a claim results from JanoGroup's unlawful conduct or indemnification is prohibited by applicable law.
## 25. Informal Dispute Resolution
Before filing a formal claim, you and JanoGroup agree to make a good-faith effort to resolve the dispute informally for at least 60 days. The claimant must send an individualized written notice describing the claimant's name and contact information, the dispute and relevant facts, the requested relief, and the claimant's personally signed authorization. Notices to JanoGroup must be sent to janogroupllc@gmail.com with the subject "Legal Dispute Notice."
The parties will personally meet and confer by telephone or videoconference if either party requests it. Any limitations period will be tolled during the 60-day informal-resolution period. This requirement does not prevent either party from seeking urgent injunctive relief where reasonably necessary to prevent immediate harm.
## 26. Arbitration and Class-Action Waiver
**PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO A JURY TRIAL.**
To the maximum extent permitted by law, any unresolved dispute, claim, or controversy arising out of or relating to the Service or these Terms, including questions about formation, scope, enforceability, or validity, will be resolved through individual, binding arbitration rather than in court.
Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, as modified by these Terms. The Federal Arbitration Act governs this section. Arbitration may occur remotely unless the arbitrator determines another format is appropriate. The arbitrator may award any relief available in an individual court action but may not consolidate claims or preside over any class, collective, coordinated, mass, or representative proceeding.
You and JanoGroup agree that claims may be brought only in an individual capacity and not as a plaintiff, claimant, or class member in any class, consolidated, collective, coordinated, mass, private-attorney-general, or representative action or proceeding. You and JanoGroup waive the right to a jury trial to the extent permitted by law.
Either party may bring an eligible individual claim in small-claims court. Either party may also seek injunctive relief in court for actual or threatened intellectual-property infringement, unauthorized access, security violations, or circumvention of the Service.
You may opt out of this arbitration provision by emailing janogroupllc@gmail.com within 30 days after first accepting these Terms. Your notice must include your full name, the email address associated with your App Store account if applicable, the subject "Arbitration Opt-Out," and a clear statement that you reject the arbitration provision. Opting out will not affect any other provision of these Terms.
If applicable law prohibits mandatory arbitration or a class-action waiver, that prohibition controls only to the extent required by law. If a portion of this section is found unenforceable, it will be enforced to the maximum lawful extent and severed, and any non-arbitrable dispute will proceed under the Governing Law section below. If the class-action waiver is found unenforceable as to a particular claim or remedy, that claim or remedy must be litigated in court after all arbitrable claims are completed.
## 27. Governing Law and Venue
These Terms are governed by the laws of the District of Columbia, without regard to conflict-of-law principles, except to the extent the law where you reside requires otherwise.
Any dispute not subject to arbitration or a mandatory forum under applicable law must be brought exclusively in the state or federal courts located in or serving Washington, DC, and you consent to their personal jurisdiction and venue.
Nothing in these Terms limits rights you may have under mandatory consumer-protection law.
## 28. Apple App Store Terms
If you obtain the Service through the Apple App Store, you acknowledge that:
- These Terms are between you and JanoGroup, not Apple
- JanoGroup, not Apple, is responsible for the Service and its content
- Your license is limited to use on Apple-branded products you own or control, subject to Apple's Usage Rules, including applicable Family Sharing rules
- Apple has no obligation to provide maintenance or support
- If the Service fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price as required by its policies
- To the extent permitted by law, Apple has no other warranty obligation
- JanoGroup, not Apple, is responsible for product claims, legal compliance, and intellectual-property claims concerning the Service
- You represent that you are not located in an embargoed country and are not listed on a prohibited or restricted-party list
- You must comply with applicable third-party terms
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the applicable provisions against you
## 29. Google Play Terms
If you obtain the Service through Google Play, Google Play's applicable terms also apply. JanoGroup, not Google, is responsible for the Service and its content except as Google's terms or applicable law provide otherwise. If these Terms conflict with mandatory App Store terms, the mandatory App Store terms control to the extent of the conflict.
## 30. Export and Legal Compliance
You may not access, use, export, or re-export the Service in violation of United States export-control laws, sanctions, or other applicable laws. You represent that you are not prohibited from receiving the Service under applicable trade restrictions.
You are solely responsible for all permits, registrations, licenses, disclosures, invoice requirements, tax obligations, recordkeeping rules, consumer-protection duties, and other laws applicable to your business and use of the Service.
## 31. Force Majeure
To the maximum extent permitted by law, JanoGroup will not be responsible for delay, interruption, data loss, or failure caused by events beyond its reasonable control, including natural disasters, utility or network failures, labor disputes, government actions, war, terrorism, civil unrest, epidemics, App Store actions, provider failures, device or operating-system failures, cyberattacks, or changes in law.
## 32. Changes to These Terms
We may update these Terms when the Service, providers, business practices, risks, or legal requirements change. Updated Terms will display a revised "Last Updated" date. Material changes may also be communicated through the Service, release notes, website, or another legally appropriate method.
Your continued use after updated Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree to revised Terms, you must stop using the Service and cancel any subscription through the applicable App Store.
## 33. General Provisions
These Terms and the Privacy Policy constitute the entire agreement between you and JanoGroup regarding the Service, except for terms presented at purchase or required by an App Store. If a provision is held invalid or unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will remain effective.
Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, financing, asset transfer, or by operation of law.
No agency, partnership, joint venture, employment, fiduciary, or franchise relationship is created by these Terms. There are no third-party beneficiaries except as expressly stated in the Apple App Store Terms. Headings are for convenience only. The words "including" and "include" mean "including without limitation." Electronic communications and records satisfy any requirement that a communication be in writing, to the extent permitted by law.
