These Subscription Terms (these "Subscription Terms") supplement the Terms of Service and govern subscriptions, one-time virtual-credit purchases, and the use of virtual credits in connection with Pixova AI: Video Maker (the "Service"), operated by the "Company" ("we", "us", or "our"). By purchasing a subscription, purchasing virtual credits, or starting a free trial, you agree to these Subscription Terms.
Capitalized terms not defined here have the meanings given in the Terms of Service. In the event of a conflict between the Terms of Service and these Subscription Terms with respect to subscriptions or virtual credits, these Subscription Terms govern.
1. Definitions
1.1 "Subscription" means an auto-renewing paid plan that removes in-app advertising and provides a recurring allocation of Subscription Credits.
1.2 "Credits" means the virtual units used within the Service to access certain features, such as generating videos. "Subscription Credits" are Credits allocated under a Subscription; "Add-on Credits" are Credits obtained through a one-time purchase.
1.3 "Billing Cycle" means the recurring period (for example, weekly, monthly, or yearly) selected at the time of purchase.
1.4 "Store" means Google Play or another authorized distribution and payment platform through which purchases are made.
2. Subscription and Billing
2.1 Subscription Benefits. A Subscription (a) removes in-app advertising for the duration of the active Subscription, and (b) provides a recurring allocation of Subscription Credits, allocated on a weekly basis as described in Section 3.
2.2 Free Trial (where offered). Where a free trial is offered, and unless you cancel at least twenty-four (24) hours before the trial period ends, the trial will automatically convert into a paid Subscription at the price disclosed at the time of purchase.
2.3 Auto-Renewal. Subscriptions renew automatically at the end of each Billing Cycle at the then-current price unless cancelled in advance through your Store account settings. By subscribing, you authorize the Store to charge your selected payment method on a recurring basis.
2.4 Payment. All payments are processed by the Store under its own terms. The Company does not itself process or store your payment-card details.
2.5 Cancellation. You may cancel your Subscription at any time through your Store account settings. Cancellation stops future renewals; you retain Subscription benefits until the end of the then-current Billing Cycle. Deleting or uninstalling the app does not, by itself, cancel a Subscription.
2.6 Price Changes. The Company may change Subscription pricing from time to time. Where required by applicable law or Store policy, you will be notified in advance and given the opportunity to cancel before the new price takes effect.
2.7 Refunds. Purchases made through the Store are subject to the Store's refund policies; the Company does not directly administer such refunds. Any purchases made outside the Store (if applicable) are non-refundable except where a refund is required by applicable law.
3. Virtual Credits
3.1 Nature of Credits. Credits are a limited license to access features of the Service. Credits have no monetary value, do not constitute property or currency, and are non-transferable and non-redeemable for cash. Credits are non-refundable except where a refund is required by applicable law.
3.2 Subscription Credits. Regardless of the Billing Cycle you select (weekly, monthly, or yearly), Subscription Credits are allocated to your account on a weekly basis.
3.3 No Expiration. Credits do not expire. Both Subscription Credits and Add-on Credits remain available in your account and accumulate until consumed, and unused Credits are not reset, forfeited, or cleared on a time basis. This Section 3.3 does not limit the Company's right to revoke unused Credits upon termination of your access for breach of the Terms of Service, or upon discontinuation of the Service, in each case to the extent permitted by applicable law.
3.4 Add-on Credits. Add-on Credits are purchased separately as a one-time transaction and are added to your account upon completion of the purchase.
3.5 Consumption. Subscription Credits and Add-on Credits are combined within your account and may be used interchangeably. There is no fixed order of consumption between the two types of Credits.
4. Acceptable Use
4.1 Your use of the Service in connection with any Subscription or Credits remains subject to the Acceptable Use Policy set out in the Terms of Service. The Company may restrict, suspend, or terminate access where a violation is detected, in which case Sections 2.7 and 3.3 apply.
5. Intellectual Property and User Content
5.1 Ownership of the Service, and ownership of and the license granted in respect of your User Content, are governed by the Terms of Service. Consistent with the Privacy Policy and the Terms of Service, your User Content is not used to train, fine-tune, or develop shared or general-purpose AI models, except where you provide separate, affirmative consent or another lawful basis applies.
6. AI and Content Disclaimer
6.1 The Service produces Output through automated, AI-based processes. Output may be inaccurate, incomplete, or unexpected, and should not be relied upon as professional, legal, medical, financial, or other specialized advice. You are responsible for reviewing Output before relying on or distributing it.
7. Disclaimer of Warranties and Limitation of Liability
7.1 Subscriptions and Credits are provided on an "as available" basis. To the maximum extent permitted by applicable law, the Company does not warrant that the Service, any Subscription benefit, or any Credit-based feature will be continuous, error-free, or fit for any particular purpose.
7.2 The limitations and exclusions of liability set out in the Terms of Service apply equally to these Subscription Terms. Nothing in these Subscription Terms excludes or limits any liability or right that cannot be excluded or limited under applicable law.
8. General
8.1 Governing Law. These Subscription Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict-of-laws principles.
8.2 Dispute Resolution. Any dispute arising out of or relating to a Subscription or Credits shall be resolved in accordance with Section 14 of the Terms of Service, including its provisions on informal resolution, binding arbitration administered by the Hong Kong International Arbitration Centre (HKIAC), the class-action waiver, the one-year time limitation, and the allocation of costs.
8.3 Severability. If any provision of these Subscription Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
8.4 Entire Agreement. These Subscription Terms, together with the Terms of Service and the Privacy Policy, constitute the entire agreement between you and the Company regarding subscriptions and virtual credits.
