1.0 ACCEPTANCE OF TERMS
1.1 These Terms of Use are an agreement between you and New Version Limited, a company registered in New Zealand and listed on the New Zealand Companies Register ("New Version", "we", "us" or "our"), about your use of the Offly app on iPhone and Android, including Flock and Offly Plus (together, "Offly").
1.2 By downloading, opening or using Offly, you agree to these terms and to our Privacy Policy at https://sites.google.com/view/offly/privacy-policy, which explains how we handle information. If you do not agree, please do not use Offly.
1.3 These terms include the Offly Plus Subscription Terms at https://sites.google.com/view/offly/subscription-terms and the Flock Community Guidelines at https://sites.google.com/view/offly/community-guidelines.
1.4 Nothing in these terms takes away rights you have under consumer protection laws that cannot be excluded by agreement. Section 17.0 explains this in more detail.
2.0 ELIGIBILITY
2.1 MINIMUM AGE
(a) You must be at least 13 years old to use Offly.
(b) To use Flock, you must be at least 16 if you live in the European Economic Area or the United Kingdom, and at least 13 everywhere else.
2.2 If you are under the age of adulthood where you live, please read these terms with a parent or guardian.
2.3 You must be able to form a binding agreement where you live, or have the agreement of a parent or guardian, and not be barred from using Offly under any law.
2.4 Offly is a self-control tool for individuals. It is not designed or offered as a parental monitoring or control app. You may only use it on a device you own or are entitled to use, and only to manage your own use of that device.
3.0 YOUR LICENCE TO USE OFFLY
3.1 We give you a personal, non-exclusive, non-transferable, revocable licence to download and use Offly on devices you own or control, for your own non-commercial use, in line with these terms and the rules of the app store you got it from (see Sections 9.0 and 10.0).
3.2 You may not:
(a) Copy, modify, translate or create derivative works of Offly, except as the law allows.
(b) Reverse engineer, decompile or try to extract the source code of Offly, except where the law allows it despite this restriction.
(c) Rent, lease, sell, sublicense or redistribute Offly.
(d) Remove or change any proprietary notices.
(e) Interfere with, overload or try to gain unauthorised access to Offly, the Flock service or other people's data.
(f) Use automated means to access Flock or to create Flock identities.
3.3 Open-source software in Offly is licensed under its own terms. You can read them in the app in Settings, then Open-source licences.
4.0 WHAT OFFLY IS, AND WHAT IT IS NOT
Please read this section carefully.
4.1 WHAT OFFLY DOES
Offly is a self-help tool that helps you notice and reduce the time you spend on apps you choose. It works through features of your phone's operating system:
(a) On iPhone, Apple's Screen Time framework (Family Controls, Managed Settings and Device Activity), which you authorise for yourself on your own device.
(b) On Android, Usage Access, the "Display over other apps" permission and a foreground service with an ongoing notification.
4.2 A SOFT BLOCK
(a) Blocking in Offly is a soft block. You can always switch off Offly's access in your phone's settings, and Offly cannot stop you.
(b) Operating system updates, phone settings, battery management or other apps can stop Shields from working as expected, for a while or until you fix them in the app.
(c) On Android, there may be a short delay between opening a blocked app and Offly's Shield screen appearing.
(d) Offly only guards what you choose, on the phone where it is installed. It does not cover your other devices.
4.3 NO GUARANTEED OUTCOME
(a) We do not promise that Offly will reduce your screen time, change your habits or produce any other result.
(b) Figures such as time won, pickups, hourly charts and baselines are estimates based on information from your operating system. They may be incomplete or inaccurate.
4.4 NOT MEDICAL ADVICE
(a) Offly does not provide medical, psychological or other professional advice, diagnosis or treatment.
(b) If you are worried about your wellbeing or your use of technology, please speak to a qualified professional.
4.5 NOT FOR SAFETY-CRITICAL USE
(a) Do not rely on Offly to block or allow access to anything you need for your safety, health, work duties or emergencies.
(b) Do not shield apps you may need in an emergency, such as phone, messaging, maps or health apps.
(c) Offly is not an emergency service and cannot contact anyone for you.
4.6 STRICT MODE AND EMERGENCY PAUSE
(a) Strict Mode is part of Offly Plus. You choose to seal a Shield with Strict Mode, and you are responsible for the settings you choose.
(b) While a Shield's Strict vow is in force, you cannot edit, snooze or delete that Shield, Delete all data waits until it ends, and on iPhone you cannot delete the Offly app.
(c) Strict Mode always has an exit. Emergency pause can lift a Strict Shield after a short breath and a small step. To open it, press and hold Olie in the centre of the tab bar, or open Help from Settings and choose Emergency pause.
(d) Emergency pause is always free. You get two emergency keys a week, and Emergency pause still works after they are used. It just asks for one more breath.
5.0 YOUR DATA STAYS ON YOUR PHONE
5.1 Offly has no accounts. Your Shields, progress, settings and history are stored only in a database on your phone.
5.2 Offly does not back up your data. Its database is excluded from iCloud and Android backups.
5.3 If you delete Offly, reset your phone or lose it, your Offly data, your progress and your Flock identity are lost for good, and we cannot recover them.
5.4 If you want to keep a copy, use Settings, then Export my data. It makes one file that you choose where to save.
5.5 To erase Offly's data from your phone and your flocks, use Settings, then Delete all data. Full steps are at https://sites.google.com/view/offly/delete-data.
5.6 Our Privacy Policy explains in detail what is stored, what leaves your phone and why.
6.0 FLOCK AND ACCEPTABLE USE
6.1 WHAT FLOCK IS
Flock is an optional online feature that lets you join small groups with friends, see a gentle scoreboard, send cheers, take part in optional leagues and ask a friend to be your Emergency Buddy. It stays off until you agree to its consent sheet, and you can turn it off at any time in Settings, then Turn off Flock, which deletes your Flock information from our server. It needs an internet connection and may not always be available.
6.2 YOUR CONTENT
(a) "Your content" means what you create or send in Flock, such as your nickname, avatar colour, flock names, emoji, goals and cheers.
(b) You are responsible for your content, and you keep any rights you have in it.
(c) You give us a worldwide, non-exclusive, royalty-free licence to host, store and display your content to the members of your flocks and leagues, only as needed to run Flock. This licence ends when your content is deleted from our server.
6.3 ACCEPTABLE USE
When you use Flock, you agree not to:
(a) Choose a nickname or flock name that is offensive, hateful, sexual, violent, threatening or otherwise inappropriate.
(b) Harass, bully, threaten, shame or pressure other people.
(c) Impersonate another person or organisation, or suggest you are connected with them when you are not.
(d) Use other people's real names or personal details without their permission.
(e) Post anything illegal or that infringes someone else's rights.
(f) Spam, advertise, or misuse invite codes, referral codes, Trusted keeper codes or Emergency Buddy requests.
(g) Manipulate scoreboards or leagues, or try to break or overload the service.
6.4 COMMUNITY GUIDELINES AND MODERATION
(a) The Flock Community Guidelines at https://sites.google.com/view/offly/community-guidelines give more detail and form part of these terms.
(b) We may remove or rename content, remove a member from a flock or league, or delete a Flock identity if we reasonably believe these terms or the guidelines have been broken, or to protect people, Offly or the public. Where we can, we will do this in a fair and proportionate way.
(c) You can report a problem by emailing offly.support@newversion.studio, as the guidelines describe.
(d) We do not check Flock content before it is shown, and we are not responsible for content posted by other people.
7.0 IDEAS YOU SEND US
7.1 You can send us an idea from Help, using Share an idea, or by email. Ideas sent from the app go to the Offly team without your name.
7.2 Please do not include personal details, or anything you do not want us to read, in an idea.
7.3 If you send us an idea, feedback or a suggestion, you give us a worldwide, non-exclusive, perpetual, irrevocable, royalty-free licence to use, adapt and build on it in Offly and our other products, without any obligation or payment to you. You keep any rights you have in it.
7.4 We cannot promise to reply to each idea or to build it.
8.0 OFFLY PLUS
8.1 Offly is free to download and use. Offly Plus is an optional paid upgrade sold through the Apple App Store or Google Play. The plans, prices and what Plus includes are shown in the app before you buy.
8.2 Prices shown in the app come from the store and vary by country. From time to time, the app may offer a one-time reduced price for Lifetime, for a limited time that the app states before you buy.
8.3 Monthly and Yearly plans are auto-renewing subscriptions. They renew at the end of each period unless you turn off renewal in your store settings in time. Deleting Offly does not cancel a subscription.
8.4 Payments and refunds are handled by Apple or Google under their own policies. We cannot issue refunds directly. This does not affect your rights under the consumer laws described in Section 17.0.
8.5 Your progress, Feathers, Moon streak, Eggs, badges and Nest items are never removed because Plus ends. Cosmetic items are earned, never sold. Insights, Flock and Emergency pause are never part of Plus.
8.6 The full details, including free trials, auto-renewal, cancelling, refunds, Lifetime and what happens when Plus ends, are in the Offly Plus Subscription Terms at https://sites.google.com/view/offly/subscription-terms, which form part of these terms.
9.0 APPLE APP STORE TERMS
This section applies if you got Offly from Apple's App Store. If it conflicts with anything else in these terms, this section wins.
9.1 Acknowledgement. These terms are between you and New Version Limited only, not Apple Inc. ("Apple"). New Version Limited, not Apple, is solely responsible for Offly and its content.
9.2 Scope of licence. Your licence to use Offly is limited to a non-transferable licence to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that Offly may also be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
9.3 Maintenance and support. New Version Limited is solely responsible for providing any maintenance and support for Offly, as described in these terms or required by law. Apple has no obligation at all to provide maintenance or support for Offly.
9.4 Warranty. New Version Limited is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If Offly fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of Offly to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to Offly, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are New Version Limited's sole responsibility.
9.5 Product claims. New Version Limited, not Apple, is responsible for addressing any claims by you or any third party relating to Offly or your possession and use of it, including: (i) product liability claims; (ii) any claim that Offly fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation. These terms do not limit New Version Limited's liability to you beyond what applicable law permits.
9.6 Intellectual property rights. If a third party claims that Offly, or your possession and use of it, infringes that third party's intellectual property rights, New Version Limited, not Apple, is solely responsible for the investigation, defence, settlement and discharge of that claim.
9.7 Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
9.8 Developer name and contact. Questions, complaints or claims about Offly can be sent to New Version Limited at offly.support@newversion.studio.
9.9 Third-party terms. You must comply with any applicable third-party terms when using Offly, such as your mobile carrier's data plan terms.
9.10 Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these terms. When you accept these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
10.0 GOOGLE PLAY TERMS
This section applies if you got Offly from Google Play. If it conflicts with anything else in these terms, this section wins.
10.1 Google Play's own terms, including the Google Play Terms of Service, also apply to your download of Offly and to anything you buy through Google Play.
10.2 These terms are between you and New Version Limited only, not Google LLC or its affiliates ("Google"). New Version Limited, not Google, is solely responsible for Offly and its content, and for maintenance, support, warranties and any claims about Offly.
10.3 Payments, subscriptions and refunds for purchases made through Google Play are handled by Google under its policies. You manage your subscriptions in the Google Play app, as described in the Offly Plus Subscription Terms.
10.4 You must comply with any applicable third-party terms when using Offly, such as your mobile carrier's data plan terms.
11.0 INTELLECTUAL PROPERTY
11.1 Offly, including its software, design, text, the Olie character and artwork, sounds, and the Offly name and logo, belongs to New Version Limited or our licensors and is protected by intellectual property law.
11.2 Apart from the licence in Section 3.0, these terms do not give you any rights in Offly.
11.3 The apps shown in Offly's demos and previews are fictional. Any real app names you see on your own phone belong to their owners.
12.0 THIRD-PARTY SERVICES
12.1 Offly relies on services provided by other companies. These include:
(a) Apple (iOS, the Screen Time framework, the App Store and payments)
(b) Google (Android, Google Play and payments)
(c) Supabase, Inc. (hosting for Flock and for ideas you send us)
12.2 Their own terms and privacy policies apply to how you use their services. Our Privacy Policy explains what we share with them.
12.3 We are not responsible for third-party services, and their availability may change outside our control.
13.0 CHANGES TO OFFLY
13.1 We may update, change, pause or remove features of Offly from time to time, for example to improve it, to respond to changes in operating systems or store rules, or to comply with the law.
13.2 If a change materially reduces a paid feature you have already bought, we will act fairly and as consumer law requires.
13.3 If we plan to stop offering Offly altogether, we will give reasonable notice where we can, so you have time to export your data.
14.0 DISCLAIMERS
14.1 To the extent the law allows, Offly is provided "as is" and "as available". We work hard to make Offly helpful and reliable, but we do not promise that:
(a) It will be uninterrupted, error-free, secure or compatible with every device.
(b) Blocking will always work.
(c) Figures will be accurate or complete.
(d) It will meet your goals.
14.2 This section does not limit any guarantee or right that cannot be excluded under the laws described in Section 17.0.
15.0 LIMITATION OF LIABILITY
15.1 To the extent the law allows:
(a) We are not liable for any indirect, incidental, special or consequential loss, or for loss of data, loss of profits, loss of opportunity or loss of goodwill, arising from or connected with Offly.
(b) We are not liable for loss caused by a soft block not working, by you or someone else switching off Offly's access, by operating system behaviour, or by losing data that was stored only on your phone.
(c) Our total liability to you for all claims arising from or connected with Offly or these terms is limited to the greater of the amount you paid for Offly Plus in the 12 months before the event giving rise to the claim, or NZ$100.
15.2 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited or excluded by law.
16.0 ENDING THESE TERMS
16.1 You can stop using Offly at any time by deleting it. Before you do, you may want to:
(a) Use Settings, then Delete all data, so that your Flock data is removed from our server.
(b) Turn off any subscription in your App Store or Google Play settings, because deleting Offly does not cancel it.
16.2 We may suspend or end your access to Flock, or to Offly, if you seriously or repeatedly break these terms, if the law requires it, or if we stop offering Offly. Where reasonable, we will warn you first.
16.3 Sections 5.0, 7.0, 11.0, 14.0, 15.0, 17.0 and 18.0, and any other part of these terms that by its nature should continue, survive after these terms end.
17.0 YOUR CONSUMER RIGHTS
17.1 Nothing in these terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term or condition, implied or imposed by law that cannot lawfully be excluded or limited. In particular:
(a) New Zealand. If you are a consumer, you have rights under the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 that these terms do not exclude.
(b) Australia. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. Where our liability can lawfully be limited, it is limited to supplying the services again or paying the cost of having them supplied again.
(c) European Union and United Kingdom. If you are a consumer, you keep your statutory rights, including rights relating to digital content and digital services that do not conform to the contract, and the mandatory consumer protections of the country where you live.
(d) Elsewhere. You also keep any other mandatory consumer rights under the law of the place where you live.
17.2 If you acquire Offly for the purposes of a business in New Zealand, the Consumer Guarantees Act 1993 does not apply, and sections 9, 12A and 13 of the Fair Trading Act 1986 do not apply to the extent the law allows. We both agree that it is fair and reasonable for us to be bound by this section.
18.0 GOVERNING LAW AND DISPUTES
18.1 These terms are governed by the laws of New Zealand.
18.2 If you have a problem, please contact us first at offly.support@newversion.studio, so we can try to sort it out informally.
18.3 The courts of New Zealand have non-exclusive jurisdiction over any dispute arising from these terms. If you are a consumer living outside New Zealand, you keep the protection of the mandatory laws of your country and can bring a claim in the courts of your country.
19.0 GENERAL PROVISIONS
19.1 If any part of these terms cannot be enforced, the rest still applies.
19.2 If we do not enforce a right straight away, we can still enforce it later.
19.3 You cannot transfer your rights under these terms. We may transfer our rights and obligations to another organisation, for example if Offly is sold, as long as your rights are not reduced.
19.4 These terms, together with the Offly Plus Subscription Terms, the Flock Community Guidelines and the Privacy Policy, are the whole agreement between you and us about Offly.
20.0 CHANGES TO THESE TERMS
20.1 We may update these terms from time to time, for example when we add features or the law changes. We will change the "Last Updated" date at the top of this page.
20.2 If a change is significant, we will let you know before it takes effect, for example in the app.
20.3 If you keep using Offly after a change takes effect, the updated terms apply. If you do not agree, you can stop using Offly and cancel any subscription.
