## 1. Acceptance and eligibility
By installing or using SmartKeeper Business, the user agrees to these Terms. The user must be legally capable of accepting them and must use the app for lawful business purposes. If the user acts for an organization, the user confirms authority to bind that organization.
## 2. Business responsibility
SmartKeeper is a business record-management tool, not accounting, tax, audit, financial or legal advice. Users are responsible for business records, invoice content, GST and tax treatment, filings, regulatory compliance, device access, staff access and decisions based on app output. Consult a qualified professional where necessary.
## 3. Account and security
Cloud features require Firebase phone authentication. Users must protect their devices, SIM access and verification sessions and must notify NEXAAR Labs of suspected unauthorized access. Users must not share OTPs or attempt to access another user's account or workspace.
## 4. Free and Pro plans
The Free plan provides the functions shown in the app and may display advertising. SmartKeeper Pro is offered through Google Play at Rs. 99 per month or Rs. 999 per year, subject to the price, taxes, availability and renewal terms displayed by Google Play. Pro removes in-app ads and enables the Pro features displayed in the app while entitlement remains active.
Subscriptions may renew automatically unless cancelled in Google Play. Google Play controls payment processing, renewal, cancellation and applicable refund handling. Deleting SmartKeeper data or an account does not cancel a Google Play subscription.
## 5. User records and backups
Users retain responsibility for their business records. Offline storage, devices, networks, exports, synchronization and third-party services can fail. Users should create and verify independent backups, especially before restoring, deleting or changing devices. NEXAAR Labs is not responsible for records that the user deletes, exports to an unavailable destination or fails to back up, except where liability cannot legally be excluded.
## 6. Cloud sync
Cloud sync is optional and begins only after verified sign-in, disclosure and affirmative enablement. A restore may replace local SmartKeeper records after confirmation; the app attempts to create a local safety backup first. Revision controls can require a user to download newer cloud data before uploading from a stale device. Users must review sync and backup status before relying on another device.
## 7. Acceptable use
Users must not use SmartKeeper for unlawful, fraudulent, abusive, infringing or deceptive activity; bypass security or subscription controls; interfere with the service; distribute malware; attempt unauthorized access; overload infrastructure; reverse engineer where prohibited; or use another person's data without authority.
## 8. Intellectual property
NEXAAR Labs and its licensors retain rights in SmartKeeper software, branding, design and documentation. These Terms grant only a limited, revocable, non-transferable right to use the app as provided. User-created business records remain the user's responsibility and are not sold by NEXAAR Labs.
## 9. Third-party services
Firebase, Google Mobile Ads, Google Play Billing, hosting, printing, sharing and other third-party services may have separate terms and privacy practices. Their availability and behavior are outside NEXAAR Labs' complete control.
## 10. Availability, updates and termination
The app and online services may be updated, interrupted, limited or discontinued for maintenance, security, legal or operational reasons. NEXAAR Labs may restrict abusive or unauthorized use. Users may stop using the app and may request cloud account deletion. Local records, external exports and subscriptions require separate handling.
## 11. Disclaimers and limitation
To the maximum extent permitted by applicable law, SmartKeeper is provided without a guarantee of uninterrupted, error-free or loss-free operation. NEXAAR Labs is not liable for indirect, incidental, special or consequential loss, lost profits or loss of records arising from use of the app, except where applicable law does not allow that limitation. Mandatory consumer rights remain unaffected.
## 12. Changes and governing law
Updated Terms will display a revised date. Continued use after an effective update constitutes acceptance where permitted. These Terms are governed by applicable Indian law, subject to mandatory consumer protections and competent jurisdiction.
