Memolia Terms of Use
Memolia Terms of Use (hereinafter referred to as “Terms of Use”) stipulates the condition of use of the application Memolia (hereinafter referred to as “App”), which is provided by FromAtom (hereinafter referred to as “we” “our” or “us”). Those who have an intention to use this App (hereinafter referred to as “user” or “users”) are required to accept and abide by these Terms of Use. Otherwise, the user is required to cease the download, installation and use of this App. If any user downloads, installs and uses this App, such user is deemed to have accepted these Terms of Use.
Article 1 Scope of Application
These Terms of Use shall be applicable to any involvement arising between users and us regarding the use of this App.
Article 2 Responsibilities and Rights of Users
We shall not be involved in the usage environment of users or have any responsibility therefor. Any liabilities or damages which may be incurred by users arising from their use of device, line, software and all, or their misuse of our services, shall be borne by users. We shall not have any responsibility therefor, regardless of intentionally or negligently.
The property of users shall be non-exclusive. Any user shall not be allowed to grant or transfer it or hand over the contractual status to a third party.
Users shall take necessary measures to prevent unauthorized access and divulging of information in accordance with their usage environment.
Users shall have responsibility to, at their expense, make any preparation for the usage of our services including, but not limited to, hardware, software, communication method and electrical power.
Article 3 Fee and Payment Method
This App shall be available free of charge.
Article 4 Prohibitions
Any user shall not be allowed to conduct the following actions in relation to the use of this App. In the event a user inflicts a loss to us or a third party by his/her wrongdoing, such user shall bear responsibility to compensate for the loss.
Actions against laws, regulations and public policies
Actions in relation to criminal behavior
Infringement of contents, copyright, trademark and intellectual property right of this App
Destructive or obstructive actions with the intent to inflict on the function of servers and network of us, other users or a third party
Commercial use of information acquired through this App
Actions which may obstruct our business
Unauthorized access or an attempt thereto
Collection or accumulation of personal information of other users
Use of this App with a fraudulent intent
Actions with the intent to inflict prejudices, losses and unpleasantness on other users of this App or a third party
Impersonation
Business activities on this App unauthorized by us including, not but limited to, promotion, advertising and soliciting.
Actions with the intent to meet an unacquainted person of the opposite sex
Direct or indirect profit sharing with antisocial forces in relation to this App
Any other actions we deem inappropriate
Article 5 Intellectual Property Right
Intellectual property right in relation to the information displayed on this App shall belong to us or a third party. The information shall include documents, video pictures, sound, photographs and any other edited contents. Intellectual property right shall include, not but limited to, copyright, patent rights, utility model rights, design rights, trademark rights and know-how rights.
Intellectual property right and any other rights in relation to the document edited by a user through this App shall belong to such user.
Licensing of this App that these Terms of Use stipulate shall not mean the transfer of rights to users.
Article 6 Disclaimer
We shall not implicitly or explicitly guarantee that this App is free from any de facto or de jure defect. The defect includes the one in relation to security, errors, bugs and infringement of rights, as well as the one for safety, reliability, accuracy, integrity, effectiveness and compliance to a certain purpose.
We shall have no responsibility for any losses and damages caused to the user by this App.
We shall have no guarantee and responsibility for the functions and effects caused by a user through his/her use of any external application by way of this App.
We have no responsibility for any transactions, communications and disputes involved in this App between a user and another user or a third party.
Article 7 Handling of Personal Information
We shall handle personal information acquired through the use of this App in compliance with our “Privacy Policy” and in an appropriate manner.
Article 8 Change, Suspension or Discontinuation of This App
We shall have the right to, without prior notice to users, change the content, display, operation method and manner of operation of this App, or suspend or discontinue the provision of this App. In this case, we shall have no responsibility for any events and outcomes caused by this change, suspension or discontinuation.
If a user violates any article or clause of these Terms of Use, we shall have the right to, without any notice, terminate the contract in relation to these Terms of Use and deny such user the access to this App.
Article 9 Amendment of These Terms of Use
We may amend these Terms of Use without prior consent of users and notice. In the event a user uses this App after our amendment, such user is deemed to have agreed with the amendment.
After our amendment, we shall notify or make public that effect to users in a way we determine appropriate such as posting a notice on our website.
Article 10 Prohibition of Transfer of Rights and Obligations
Any user shall not transfer the constructional status or the rights and obligation on the basis of these Terms of Use to a third party, or provide them as collateral.
Article 11 Governing Law and Jurisdiction
These Terms of Use shall be governed and construed by the laws of Japan.
In the event a dispute arises in relation to this App, such dispute shall be resolved by a court that has jurisdiction over the location of our head office as the agreed exclusive jurisdiction.
These terms and conditions shall take effect on April 5, 2020.
