CONSTITUTION OF THE FACULTY CLUB, INC.

ARTICLE I
Name and Purpose
Section 1. Name
The name of the association shall be the Faculty Club, Inc., of Louisiana State University.
Section 2. Purpose
Its purpose shall be to encourage and promote social contacts, good fellowship, the exchange of ideas and cordial cooperation among its members.
ARTICLE II
Membership
Section 1. Categories of membership
Membership in the Club shall be classified as Active, Non-Voting, Auxiliary and Honorary.
Section 2. Active
ACTIVE membership shall be open to all LSU faculty, administrative and research staff members, members of the Extension Services designated as professional staff, those who have retired from eligible positions, and doctoral candidates who are teaching or research assistants.
Section 3. Non-Voting
NON-VOTING membership shall be extended to any surviving spouse of a deceased Faculty Club, Inc., member. No person who is eligible for active membership shall be entitled to non-voting membership.
Section 4. Honorary
HONORARY membership shall be extended to members of the Board of Supervisors of the University for their term of office and to others at the pleasure of the Board of Governors.
Section 5. Reciprocal Membership
The FACILITIES of the Club may be made available to a visitor who holds membership in another faculty club which is an active member of Faculty Clubs International.
Section 6. Auxiliary
AUXILIARY membership shall be available and shall include all privileges extended to the other categories of membership, with the exception of voting privileges.
ARTICLE III
Officers and their Duties
Section 1. Board of Governors
The Board of Governors shall consist of 15 members, elected from the Active membership. At least one Governor shall be a retiree member. In addition, one auxiliary member, appointed by the President, shall serve on the Board as an ex-officio member.
Governors shall be elected for three-year terms, with five Governors to be elected each year to replace five whose terms end. No Governor shall serve more than two consecutive terms, and no Governor who has served two consecutive terms will be eligible for re-election to the Board until one year has elapsed. The sole exception to this rule will be to ask a President whose term expires at the end of his/her year in office to serve one additional year as Past President.
The term of office for Governors will begin at the conclusion of the annual meeting of the year in which they are elected and will continue until the annual meeting of the third year following.
The Board of Governors shall provide for and supervise the business affairs of the Club, shall arrange for and conduct the election of officers, and shall have full authority to take whatever steps may be necessary to carry out the purposes of the Club as stated in Article I.
Section 2. Officers
The officers of the Club shall be as follows: Past-President, President, President-Elect, Vice-President, Secretary, and Treasurer. Officers will be elected from among the voting members of the Board of Governors.
The President may appoint a member of the Board of Governors to serve as Membership Chairperson or in some other capacity.
Section 3. Executive Committee
The elected officers shall serve as the Executive Committee.
Four (4) members of the Executive Committee shall constitute a quorum for the transaction of FCI or Board of Governors business.
The Executive Committee shall have full power to act for the Board of Governors or Faculty Club, Inc., on emergency matters during the interim of its monthly meetings or during the three months of June, July, and August and may meet as often as necessary.
Section 4. Elections
Nominations shall be by a nominating committee consisting of the Past-President, President -Elect, and two other persons appointed by the President. The nominating committee will be appointed at the February Board meeting, and the slate of nominations will be announced at the March Board meeting and distributed to the membership by mail before the April annual meeting. Additional nominations may be made no less than twenty days in advance of the election by petition of no less than ten percent of the members of the Club.
Election to offices and to the Board of Governors shall be held annually at the Annual Meeting of the Club following the April meeting of the Board of Governors.
The President shall be responsible for carrying out the policies of the Club as expressed herein and as determined by the Board of Governors or by formal action of the members of the Club.
The duties of the officers, except as otherwise stated, shall be such as usually devolve upon such positions and may be regulated and prescribed from time to time by the Constitution, or by Resolutions of the Board of Governors.
Section 5. Vacancies
Vacancies among the officers or in the Board of Governors shall be filled by the Board of Governors for the unexpired term. If a vacancy should occur in the presidency of the Club, the Vice President shall succeed to this office.
ARTICLE IV
Meetings
Section 1. Board of Governors
The Board of Governors shall meet on the last Friday of September, October, November, January, February, March, and April, unless these fall during University holidays. Changes to these dates must be announced at least one month in advance and shall be noted in the Club calendar of events.
A quorum for conducting Club business shall consist of those Governors present and voting.
A Governor who is unable to attend a Board meeting should give a proxy to another Governor.
Attendance at Board meetings is a duty for each Governor. Any Governor who fails to attend three (3) consecutive Board meetings may be required to resign.
Section 2. General
The annual general membership meeting of the Club shall be held following the April Board meeting for the purpose of electing officers and Governors for the coming year.
ARTICLE V
Dues
Section 1. Annual Dues
Reasonable annual dues for membership in the Club shall be established by the Board of Governors, which shall have the power to reduce or raise the amount of such dues whenever the financial condition of the Club may warrant.
Section 2. Assessments
There shall be no special assessments levied, except by a majority vote of the Active membership of the Club to be taken by mail ballot.
Section 3. Special Dues
Dues for retired and Non-Voting members of the Club will be one-half (1/2) of those established for Active members. Dues for auxiliary members of the Club shall be established by the Board of Governors, which shall have the power to reduce or raise the amount of such dues whenever the financial condition of the Club may warrant.
ARTICLE VI
Amendments
All proposals to amend this Constitution shall be made in writing, signed by twenty members of the Faculty Club, filed with the Secretary at least thirty days before being acted upon by the Board of Governors, shall not be submitted to the membership of the Club without the concurrence of two-thirds of the Board of Governors, and shall require for their adoption two thirds of the votes cast by Active members (taken by mail ballot). When adopted the amendments shall become immediately effective.
ARTICLE VII
Voting Power
Voting power shall be vested in Active members.
ARTICLE VIII
Adoption
This Constitution shall be voted on by mailed ballot and shall require for adoption two-thirds of the votes cast and shall become effective immediately from and after its adoption.
