Terms of Service

1. ACCEPTANCE OF TERMS

By downloading, installing, or using LaceLedger ("the App"), you agree

to be bound by these Terms of Service ("Terms"). If you do not agree,

do not use the App.

These Terms constitute a legal agreement between you and the developer

of LaceLedger ("we," "us," or "our").

2. ELIGIBILITY

You must be at least 13 years old to use LaceLedger. By using the App,

you represent that you meet this age requirement. If you are under 18,

you represent that a parent or guardian has reviewed and agreed to these

Terms on your behalf.

3. ACCOUNT & SIGN IN WITH APPLE

LaceLedger uses Sign in with Apple for authentication. By signing in,

you agree to Apple's Terms of Service and Privacy Policy. You are

responsible for maintaining the security of your Apple ID and for all

activity that occurs under your account.

You may not create accounts on behalf of another person without their

consent, impersonate any person, or use a false identity.

4. SUBSCRIPTION & PAYMENTS

4a. Free Tier

The free version of LaceLedger allows you to track up to 3 sneaker pairs

with limited photos and features.

4b. LaceLedger Elite

LaceLedger Elite is a paid subscription that unlocks:

• Unlimited sneaker pairs

• Unlimited photos per pair

• Advanced collection statistics

• PDF export and backup

• Premium themes

• Direct messaging with friends

Subscription options:

• Monthly: $1.99/month

• Annual: $19.99/year

4c. Billing

All payments are processed by Apple through the App Store. By purchasing

a subscription, you agree to Apple's payment terms. Your subscription

will automatically renew at the end of each billing period unless you

cancel at least 24 hours before the renewal date.

4d. Cancellation & Refunds

You may cancel your subscription at any time through your iOS Settings →

Apple ID → Subscriptions. Cancellation takes effect at the end of the

current billing period — you will retain access until then. Refunds are

handled by Apple per their standard refund policy. We do not issue

refunds directly.

4e. Price Changes

We reserve the right to change subscription pricing. We will provide

reasonable notice of any price changes. Continued use after a price

change takes effect constitutes acceptance of the new price.

5. USER CONTENT

5a. Your Content

You retain ownership of all photos, notes, and data you enter into

LaceLedger ("Your Content"). By using social features, you grant us

a limited, non-exclusive, royalty-free license to store and display

Your Content to your approved friends within the App.

5b. Prohibited Content

You agree not to post or share content that:

• Is illegal, threatening, harassing, or abusive

• Infringes on any third party's intellectual property rights

• Contains spam, unsolicited promotions, or scams

• Impersonates another person or entity

• Contains malware or harmful code

We reserve the right to remove content that violates these Terms.

6. SOCIAL FEATURES & ACCEPTABLE USE

LaceLedger includes social features such as a friend feed, messaging,

and the ability to mark pairs as open to sell or trade. You agree to

use these features responsibly and lawfully.

You agree not to:

• Harass, threaten, or intimidate other users

• Use the messaging feature for spam or unsolicited commercial messages

• Attempt to circumvent the invite-code system to access other users' data

• Scrape, harvest, or collect data about other users without their consent

• Use automated tools to interact with the App

You may block any user at any time. Blocked users will not appear in

your feed and cannot interact with your content. You may report users

or content that violates these Terms using the in-app report feature.

We review all reports and reserve the right to remove content or suspend

accounts at our sole discretion. Abuse of the reporting system is itself

a violation of these Terms.

7. INTELLECTUAL PROPERTY

All design, code, trademarks, logos, and content in LaceLedger that are

not Your Content are our exclusive property or licensed to us. You may

not copy, modify, distribute, sell, or lease any part of the App or its

content without our written permission.

8. SELL & TRADE DISCLAIMER

LaceLedger allows users to indicate that sneakers are open to sell or

trade. LaceLedger is not a marketplace. We do not facilitate, process,

or guarantee any transactions between users. Any sale or trade you

arrange through the App is entirely between you and the other party.

We are not responsible for disputes, fraud, or issues arising from

user-to-user transactions. Always use caution when transacting with

strangers.

9. DISCLAIMERS

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF

ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES

OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR

NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED,

ERROR-FREE, OR SECURE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE

LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE

DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR

USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH

DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR

YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE

12 MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify and hold us harmless from any claims, damages,

losses, or expenses (including reasonable legal fees) arising from:

• Your use of the App

• Your violation of these Terms

• Your Content

• Your violation of any third party's rights

12. TERMINATION

We reserve the right to suspend or terminate your access to LaceLedger

at any time, with or without notice, if you violate these Terms or

engage in conduct we determine to be harmful to other users or the App.

You may stop using the App at any time. You may delete your account and

all associated CloudKit data directly within the App via Profile →

Settings → Delete Account. Your local sneaker collection data is removed

by deleting the App from your device.

13. APPLE APP STORE

These Terms are between you and us, not Apple. Apple is not responsible

for the App or its content. Apple has no obligation to provide

maintenance or support for the App. In the event of any failure of the

App to conform to any applicable warranty, you may notify Apple for a

refund of the purchase price (if any). Apple has no other warranty

obligation with respect to the App.

Apple is not responsible for addressing any claims you or any third

party may have relating to the App. Apple is a third-party beneficiary

of these Terms and may enforce them against you.

14. CHANGES TO THESE TERMS

We may update these Terms at any time. We will notify you of material

changes by updating the "Last updated" date. Continued use of the App

after changes are posted constitutes acceptance of the updated Terms.

15. GOVERNING LAW

These Terms are governed by the laws of the United States. Any disputes

arising from these Terms shall be resolved in the courts of competent

jurisdiction in the United States.
