Terms of Service

1. Introduction

If you reside outside of the Republic of Korea, the terms of this agreement (the “Terms of Service”) govern the relationship between you(“user” or “you”) and NZiN Corporation and/or its affiliates ( “NZiN,” “we,” or “us”) regarding your use of NZiN’s mobile games (“NZiN Games”) and related services, including, without limitation, the use of NZiN Games, participation in an online community for NZiN Games or social network services offered via the Hive Platform or NZiN branded websites (collectively, the “NZiN Service”).

For your reference, the Hive Platform means the social network platform jointly developed and operated by NZiN Corp. and NZiN Holdings Corp., which provides users with various social network services and information for enjoyment of their games. For the avoidance of doubt, we assume no responsibility, obligation, or liability for (a) your use of NZiN Holdings Corp.’s and/or its affiliate’s games provided via the Hive Platform (“NZiN Holdings’s Games”) or (b) services of the Hive Platform in connection with such games.

Use of the NZiN Service is also governed by the NZiN’s Privacy Policy as well as the Hive Community Standards, which are incorporated herein by reference. We may collect and use your content and information in accordance with this Privacy Policy.

By downloading NZiN Games, accessing and/or using the NZiN Service, and/or creating a Hive Account, you accept and agree to be bound by the Terms of Service, the NZiN Privacy Policy, and the Hive Community Standards (collectively, the “NZiN Policy”).

NZiN may amend, at our discretion, any portion of the NZiN Policy at any time by posting or displaying the amended NZiN Policy within and/or on NZiN Games, NZiN branded website, or the Hive Platform. You will be deemed to have accepted such amendments by continuing to use the NZiN Service. Except as otherwise stated, any such amendments will be automatically effective after they are initially posted.

By agreeing with the NZiN Policy, you represent that you are thirteen (13) years of age or older. If you are between the ages of 13 and 18, you represent that your legal guardian has reviewed and agrees to the NZiN Policy.

If you do not agree with any portion of the NZiN Policy, your only remedy is to discontinue your use of the NZiN Service and cancel the accounts you have made through the NZiN Service. If you violate any of the Terms of Service, NZiN reserves the right to issue you a warning regarding the violation or immediately terminate or suspend, without notice, any or all accounts you have created using the NZiN Service.

2. License

2.1. Ownership of NZiN

NZiN owns, has licensed, or otherwise has the right to use all of the content and materials that appear in the NZiN Service, including, without limitation, designs, text, graphics, pictures, video, information, applications, software, music, sound, other files, a user account, virtual items and virtual currencies, and their selection and arrangement, which are all protected by law from unauthorized use. The entire contents and materials of the NZiN Service are copyrighted under the United States copyright laws and/or similar laws of other jurisdictions.

By using the NZiN Service, you agree that no content or materials that appear NZiN Service may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in any form or by any means, in whole or in part, or otherwise exploited, without the express prior written permission of NZiN, expect that the foregoing does not apply to your own User Content (as defined in Section 4.1) that you legally post on the NZiN Service.

All other uses of copyrighted content and materials, including any derivative use, requires express prior written permission from NZiN. Any reproduction or redistribution of the content and materials not in accordance with the Terms of Service is expressly prohibited and may result in severe civil and criminal penalties. NZiN and/or its licensors remain the owners of right, title, and interest, including, but not limited to, copyrights and other intellectual property rights, in and to all content and materials posted on the NZiN Service by NZiN.

By using the NZiN Service, or by accessing any materials posted on the NZiN Service by NZiN, or derivative works thereof, you acknowledge that you do not acquire any ownership rights.

YOU ACKNOWLEDGE AND AGREE THAT YOU HAVE NO OWNERSHIP OR OTHER PROPERTY INTEREST IN A GUEST OR Hive ACCOUNT (COLLECTIVELY, “GAME ACCOUNTS”), AND YOU FURTHER ACKNOWLEDGE AND AGREE THAT ALL RIGHTS IN AND TO A GAME ACCOUNT ARE AND SHALL FOREVER BE OWNED BY AND INURE TO THE BENEFIT OF NZIN.

2.2. Limited License

NZiN hereby grants you a personal, non-exclusive, non-transferable, and revocable limited license to use the NZiN Service subject to the terms of the NZiN Policy. You understand that virtual items and virtual currencies are provided solely for your entertainment use, and that you have a limited license to use them under the NZiN Policy, not the ownership interest in them. Any “virtual currency” balance shown in your account does not constitute a real-world balance or reflect any stored value, but instead constitutes a measurement of the extent of your license.

2.3. Trades of Virtual Items and Virtual Currency

NZiN prohibits and does not recognize any purported transfers of virtual items or virtual currency effectuated outside of the NZiN Service, or the purported sale, gift or trade in the “real world” of anything that appears or originates in the NZiN Service, unless expressly authorized by NZiN. Any such transfer or attempted transfer is prohibited and void, and may subject your account to termination.

3. Game Account

3.1. Guest Account

If you use the NZiN Service without creating a Hive Account, we will create and assign to your device an identifier that is similar to an account number (“Guest Account”). We will use the Guest Account information for providing customer support to any users who have not created a Hive Account.

PLEASE KEEP IN MIND THAT YOU MAY NOT RECEIVE CUSTOMER SUPPORT OR MAY NOT USE VIRTUAL ITEMS OR VIRTUAL CURRENCY FOR WHICH YOU HAVE PAID IF YOU CHANGE YOUR MOBILE DEVICE WITHOUT CREATING A Hive ACCOUNT.

3.2. Hive Account.

We strongly encourage you to create a Hive Account because such an account:

(a) enables us to contact you for customer support purposes even when you change your mobile device;

(b) enables us to offer you various social network services from the Hive Platform; and

(c) enables you to log-in and use the Hive Platform when you are playing NZiN Games without creating further account.

When creating a Hive Account, you may be required to provide NZiN with certain personal information. This information will be held and used in accordance with our Privacy Policy.

3.3. Deactivating Your Hive Account

You may freely delete your Hive Account at any time by logging into the Hive Account and clicking “Delete Account” button. You may also request us to delete your Hive Account by contacting our customer support team. We will use commercially reasonable efforts to respond to your request.

4. User Content

4.1. Your Representations and Warranties

“User Content” means any communications, images, sounds, and all the material, data, and information that you or other users upload, submit, or transmit through the NZiN Service.

By transmitting, submitting, or posting any User Content while using the NZiN Service, you affirm, represent and warrant that such transmission or submission are (a) accurate and not confidential; (b) not in violation of any applicable laws, contractual restrictions or other third party rights, and that you have permission from any third party whose personal information or intellectual property is comprised in the User Content; and (c) free of viruses, adware, spyware, worms or other malicious code.

You acknowledge and agree that you are solely responsible for all User Content you post or otherwise transmit via the NZiN Service. NZiN assumes no responsibility for illegal contents or the conduct of any user submitting any User Content or for the failure of monitoring any User Contents that may be inappropriate under the NZiN Policy.

You further acknowledge and agree that any of your personal information within such content will at all times be processed by NZiN in accordance with its Privacy Policy.

4.2. License to Use User Content

You hereby grant NZiN a worldwide, royalty-free, non-exclusive, and unlimited license to use any User Content that you upload, submit, or transmit through the NZiN Service, including, without limitation, the right to sublicense and assign to third parties, and right to copy, reproduce, fix, adapt, modify, improve, translate, reformat, create derivative works from, manufacture, introduce into circulation, commercialize, publish, distribute, sell, license, sublicense, transfer, rent, lease, transmit, publicly display, and publicly perform. To the extent permitted by applicable laws, you hereby waive any moral rights you may have in any User Content. You may revoke such a license by giving a written notice to us at any time. In such a case, NZiN will cease any use of the User Content within 3 months after receiving such a notice from you.

4.3. Content Screening

You acknowledge and agree that NZiN may reject, refuse to post, delete, or edit any User Content for any reason at its sole discretion.

5. Fees and Purchase Terms

Some of NZiN Games may be described as a “free game” within the description page of App marketplaces. YOU MAY DOWNLOAD AND PLAY SUCH GAMES FREE OF CHARGE, BUT THEY MAY CHARGE REAL MONEY FOR ADDITIONAL GAME CONTENT.

YOU AGREE AND ACKNOWLEDGE THAT NZIN IS NOT REQUIRED TO PROVIDE A REFUND FOR ANY REASON, AND THAT YOU WILL NOT RECEIVE MONEY OR OTHER COMPENSATION FOR UNUSED VIRTUAL ITEMS WHEN A GAME ACCOUNT IS CLOSED, WHETHER SUCH CLOSURE WAS VOLUNTARY OR INVOLUNTARY.

YOUR PURCHASE OF VIRTUAL CURRENCY IS FINAL AND IS NOT REFUNDABLE, EXCHANGEABLE AND TRANSFERABLE, EXCEPT IN OUR SOLE DISCRETION.

You agree to pay all fees and applicable taxes incurred by you. NZiN may revise the pricing for the goods and services it licenses to you through the NZiN Service at any time.

Notwithstanding the foregoing, if you verify in a reasonable way that you reside in the European Union and you have purchased virtual items or currencies from NZiN, you may have the right to withdraw from a purchase within seven (7) calendar days, commencing on the day after the date of purchase (the “Cooling Off Period”). However, you lose your right of withdrawal if the performance of our services begins before the end of the Cooling Off Period. You acknowledge and agree that the performance of our service is deemed to begin once you use any portion of virtual currencies or virtual items in playing NZiN Games, which results in losing your right of withdrawal.

6. Your Responsibility in Using Service

You agree that, while using the NZiN Service, you will not, under any circumstances:

• send, post, transmit or make available any material or information that may be abusive, threatening obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable or offensive;

• stalk, harass, threaten, or defraud other NZiN Service users or any members of NZiN support personnel;

• use, develop, or distribute any robot, spider, unauthorized script, unauthorized scraper or offline reader, or any other cheat, mod, hack or the like, or any unauthorized third-party software designed to modify or interfere with or provide automated access to or use of the NZiN Service;

• interfere with or disable any security-related features of the NZiN Service, or any part thereof;

• damage, disable, overburden, or impair the NZiN Service, including, without limitation, by (a) sending, posting, transmitting or distributing anything that contains a virus, spyware, or other harmful material intended to damage or interfere with the NZiN Service or (b) attempting to disrupt servers that relate to the NZiN Service;

• make improper use of NZiN’s support services, including, without limitation, by submitting false abuse reports;

• misrepresent the source, identity, or content of information sent, posted, transmitted or made available via the NZiN Service;

• create a false identity or impersonate another person or entity, including, without limitation, identities falsely indicating that you are a NZiN official or representative, message board or community board moderator, another user or host, or that you are a celebrity or public figure;

• decipher, decompile, disassemble, reverse engineer or otherwise attempt to derive any code or underlying ideas or algorithms of any part of the NZiN Service;

• modify any part of the NZiN Service without NZiN’s prior written consent;

• send, post, transmit or make available any content or information that may infringe any person or entity’s intellectual property rights or other property or personal rights, including rights of privacy and publicity;

• buy, sell, trade, or advertise to sell any virtual currency or items or Game Account for commercial purposes;

• send, post, transmit or make available any unsolicited or inappropriate content or other unsolicited or unauthorized commercial or promotional content, information, or communications without NZiN’s prior written consent

• develop, distribute, or publicly inform other members of “auto” software programs, “macro” software programs, or other “cheat utility” software programs or applications in violation of the applicable License Agreements;

• exploit, distribute, or publicly inform other members of any game error, miscue, or bug which gives an unintended advantage;

• attempt to collect any personal information about any users or to disclose such information;

• share the password of the Hive Account or other information that let anyone else access your Game Account.

• access another NZiN Service user’s Game Account without permission;

• assist, permit or encourage any party in engaging in any of the activities described in the above listing; and

• use the NZiN Service in any manner that may violate any applicable laws or regulations or is prohibited by the NZiN Policy.

7. Third Party Advertising

NZiN may feature advertisements from third parties or provide links on the NZiN Service to third party websites or vendors who may invite you to participate in a promotional offer in return for receiving an optional component of the NZiN Service and/or benefits (such as virtual items or virtual currency). Any charges or obligations you incur in your dealings with these third parties are your sole responsibility. NZiN makes no representation or warranty regarding any content, goods and/or services provided by any third party, and will not be liable for any claim relating to any third party content, goods and/or services. The linked sites are not under the control of NZiN and may collect data or solicit personal information from you. NZiN is not responsible for their content, business practices or privacy policies, or for the collection, use or disclosure of any information those sites may collect.

8. SMS Notifications, Push Notifications & Local Notifications, E-Mail Notification

We may send local or push notifications to your mobile device to make you aware of game updates, promotional events, new game information and other relevant messages regarding the game service. You can manage push notifications from the “options” or “settings” page within the relevant game. You may also be able to manage them from your device’s settings page for the relevant game.

Also, we may send e-mail to your e-mail account to make you aware of game updates, promotional events, new game information, and other relevant messages regarding the game service. If you do not want receive our e-mail notification, please contact us.

We will not send any SMS notification to your mobile device unless we obtain affirmative express consent from you in compliance with any applicable laws or regulations.

9. Copyright Notice

9.1. Infringement Notification

The Digital Millennium Copyright Act (“DMCA”) provides recourse for copyright owners who believe that their rights under the United States Copyright Act have been infringed by acts of third parties over the Internet.

If you believe in good faith that any materials in NZiN Games, the Hive Platform, or NZiN branded websites may infringe your copyright-protected work under applicable copyright laws, you may provide an infringement notice to NZiN’s designated agent set forth below. For your notice to be effective, it must include the following information:

(a) Reasonably sufficient details to enable us to identify the work claimed to be infringed as well as the material claimed to be infringing;

(b) Your contact information, including your address and email address;

(c) A statement that you have a good faith belief that the disputed is not authorized by the copyright owner, its agent, or the law;

(d) A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and

(e) Your physical or electronic signature.

9.2. Counter Notification

If your User Content or other information has been taken down by the above-infringement notification, you may send NZiN’s designated agent a counter-notification that contains the following information:

(a) Identification of the material that has been removed or to which has been disabled and the location at which the material appeared before it was removed or disabled;

(b) A statement, under penalty of perjury, that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material in question;

(c) Your name, address, and email address; and

(d) Your physical or electronic signature.

Please bear in mind that you will be liable for damages (including costs and attorney’s fees) if you materially misrepresent that your User Content or your activity is not infringing the copyrights of others.

10. User Interactions

10.1. Member Disputes

You are solely responsible for your interactions with other users of the NZiN Service. We may, at our sole discretion, attempt to mediate disputes between users, but are not obliged to become involved in any way with such disputes.

10.2. Release

If you have a dispute with any users of the NZiN Service, you release us (and our officers, directors, agents, subsidiaries, and employees) from claims, demands and damages (actual and consequential) arising out of or in any way connected with such disputes, including damages for loss of profits, goodwill, use or data. If you are a California resident, you waive California Civil Code §1542, which provides: “A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his settlement with the debtor.”

11. Suspension & Termination of NZiN Service

NZIN MAY LIMIT, SUSPEND, OR TERMINATE YOUR USE OF THE NZIN SERVICE AND/OR GAME ACCOUNT IF WE HAVE A REASONABLE BELIEF THAT YOU FAIL TO COMPLY WITH ANY PORTION OF THE NZIN POLICY IN ACCORDANCE WITH THE Hive COMMUNITY STANDARDS. For the avoidance of doubt, the Hive Community Standards apply to all users of the NZiN Service, including any users who do not have a Hive Account.

NZiN reserves the right to stop providing or supporting any part of the NZiN Service or a particular game at any time either permanently or temporarily, at which point your license to use the NZiN Service or a part thereof will be automatically terminated or suspended. In such an event, NZiN is not required to provide refunds, benefits or other compensation to users in connection with such discontinued elements of the NZiN Service.

12. Disclaimers & Indemnifications

12.1. Disclaimer of Warranties

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE NZIN SERVICE IS AT YOUR SOLE RISK AND IS PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

WITHOUT LIMITING THE GENERALITY OF FOREGOING, NEITHER NZIN NOR ANY OF THEIR DIRECTORS, EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS, COOPERATORS OF THE Hive PLATFORM, DISTRIBUTORS, LICENSEES OR LICENSORS (COLLECTIVELY, “NZIN PARTIES”) ASSUME LIABILITY OR RESPONSIBILITY FOR ANY (a) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (b) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER RESULTING FROM YOUR ACCESS TO AND USE OF THE NZIN SERVICE, (c) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (d) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE NZIN SERVICE, (e) BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH THE NZIN SERVICE BY ANY THIRD PARTY, AND/OR (f) ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE NZIN SERVICE.

12.2. Disclaimers of Liability

YOU ACKNOWLEDGE AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY ANY APPLICABLE LAW, THE DISCLAIMERS OF LIABILITY CONTAINED HEREIN APPLY TO ANY AND ALL DAMAGES OR INJURY WHATSOEVER CAUSED BY OR RELATED TO USE OF, OR INABILITY TO USE, THE SERVICE UNDER ANY CAUSE OR ACTION WHATSOEVER OF ANY JURISDICTION, INCLUDING, WITHOUT LIMITATION, ACTIONS FOR BREACH OF WARRANTY, BREACH OF CONTRACT OR TORT (INCLUDING NEGLIGENCE) AND THAT NZIN PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING FOR LOSS OF PROFITS, GOODWILL OR DATA, IN ANY WAY WHATSOEVER ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SERVICE.

YOU FURTHER ACKNOWLEDGE AND AGREE THAT NZIN PARTIES, ITS DIRECTORS, OFFICERS, AGENTS, CONTRACTORS, PARTNERS, AND EMPLOYEES ARE NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD NZIN PARTIES LIABLE, FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OTHER USERS OF THE SERVICE AND OPERATORS OF EXTERNAL SITES, AND THAT THE RISK OF THE SERVICE AND EXTERNAL SITES AND OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAWS, UNDER NO CIRCUMSTANCES WILL NZIN PARTIES BE LIABLE TO YOU FOR MORE THAN THE AMOUNT YOU HAVE PAID TO NZIN IN THE ONE HUNDRED AND EIGHTY DAYS (180) DAYS IMMEDIATELY PRECEDING THE DATE ON WHICH YOU FIRST ASSERT ANY SUCH CLAIM.

12.3. Indemnification

You agree to indemnify and hold harmless NZiN Parties from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of (a) your use or misuse of the NZiN Service, (b) any violation by you of the NZiN Policy, or (c) any breach of the representations, warranties, and covenants made by you herein.

NZiN may assume the defense of any matter for which you are required to indemnify NZiN by sending notice of such an intention to you. You shall use best efforts to cooperate with NZiN’s defense of these claims.

13. General Provision

13.1. Governing Law

The laws of the State of California (without giving effect to its conflicts of law principles) govern all matters arising out of or relating to the NZiN Policy, including, without limitation, its validity, interpretation, construction, performance, and enforcement.

13.2. Dispute Resolution

If you have any claim arising out of this Agreement against us, we strongly encourage you to contact our customer support team to seek a resolution. If both parties fail to reach a settlement within thirty (30) calendar days after the first contact occurs, either party may refer such a dispute in Seoul administered by the Korean Commercial Arbitration Board in accordance with the Arbitration Rules of the Korean Commercial Arbitration Board. The arbitration is to be conducted before a single arbitrator whom the parties jointly select. If the parties are unable to agree upon the arbitrator, either party may request the Korean Arbitration Association to select the arbitrator.

All claims filed or brought contrary to Section 13.2. will be considered improperly filed. If you file a claim improperly, NZiN will be entitled to recover attorney fees and costs up to $1,000, provided that NZiN has notified you in writing of the improperly filed claim and you have failed to promptly withdraw the claim.

13.3. Entire Agreement

The NZiN Policy is complete and exclusive understanding of you and NZiN relating to your use of the NZiN Service, and supersede all prior understandings of the parties hereto.

13.4. Language

The translation of the English language version of the NZiN Policy is provided for informational purposes only and does not modify the English language version of the NZiN Policy. If there is a conflict between the English language version of the NZiN Policy and its translation, the English language version of the NZiN Policy will control.

13.5. No Waiver

The failure of NZiN to require or enforce strict performance by you of any provision of the NZiN Policy or failure to exercise any right hereunder will not be considered a waiver or relinquishment of NZiN’s right to assert or rely upon any such provision or right in that or any other instance. An express waiver made by NZiN in one occasion is effective only in that instance and only for the purpose that it is given and is not to be construed as a waiver on any future occasion or against any other person.

13.6. Force Majeure

NZiN will not be liable for any delay or failure to perform resulting from any cause outside the reasonable control of NZiN, including, without limitation, any failure to perform under the NZiN Policy due to unforeseen cause beyond NZiN’s control, such as acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, change of law or administrative rules, fire, floods, network infrastructure failures, cyber crimes, strikes, or shortages of transportation facilities, fuel, energy, labor or materials

13.7. Severability

If any portion of the NZiN Policy is determined to be invalid, illegal or unenforceable by any court of competent jurisdiction, the remaining provisions of the NZiN Policy remain in full force and effect.

Privacy Policy

Introduction

NZiN Corporation and/or its affiliates (“NZiN,” “we” or “us”) respect your rights and our obligations regarding your privacy and personal information,

and we provide this Privacy Policy to help you understand how we collect, use, share, store, and disclose your information we obtain when you are using NZiN’s mobile/online games (“NZiN Games”)

and related services, including, without limitation, the use of NZiN Games, participation in an online communities for NZiN Games or social network services offered

via the Hive Platform or NZiN branded websites (collectively, the “NZiN Service”).

THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AND NZIN BY DOWNLADING AND/OR INSTALLING NZIN GAMES, ACCESSING AND/OR USING THE NZIN SERVICE

AND/OR CREATING A HIVE ACCOUNT, YOU ACCEPT AND AGREE TO BE BOUND BY THIS PRIVACY POLICY.

This Privacy Policy applies to any person or entity that uses the NZiN Service, except to a resident of the Republic of Korea.

NZiN may amend, at our discretion, any portion of this Privacy Policy at any time by posting or displaying the amended Privacy Policy within

and/or on NZiN Games, NZiN branded website, or the Hive Platform. You will be deemed to have accepted such amendments by continuing to use the NZiN Service.

Except as otherwise stated, any such amendments will be automatically effective after they are initially posted.

1. Information We May Collect

1.1. Information Received Through Your SNS(Social Networking Service) Account.

When you use or access the NZiN Service using a third party social networking service("SNS"), such as Facebook or Google +,

you allow us to access and/or collect certain information from your SNS profile/ account as permitted by the terms of the SNS Platform and your privacy settings thereon.

The information you allow us to access varies depending upon the NZiN Service you use as well as the terms of the SNS Platform and your privacy settings thereon.

For example, NZiN may access and/or collect some or all of the following information from your SNS profile/account when you use or connect to the NZiN Service through your SNS account:

• Your first and last name

• Your profile picture or its URL

• Your user ID number, which is linked to publicly available information such as name and profile photo

• The login e-mail you provided to that SNS when you registered

NZiN may also access and/or collect some or all of the following information from your SNS profile/account when you use or connect to the NZiN service through your SNS account:

• Your age or date of birth

• Your gender

• Your physical location and that of your access devices

• Other information about the hardware you may own

• The user ID numbers and other public data of your friends

• Your favorite websites and fan pages.

By using the NZiN Services through your SNS account, you are authorizing NZiN to collect, store, and use you SNS information in accordance with this Privacy Policy

as well as the terms of the SNS Platform and your privacy settings thereon. .

1.2. Other Information Collected by the NZiN Service

The NZiN Service will also record game play information including, without limitation, your high scores or game session duration. Any time you access the NZiN Service,

we may also collect aggregate information, including, without limitation:

• User's mobile and PC device info (model, OS type and version)

• Internet protocol addresses

• Browser type

• Brower language

• Referring/exit pages and URLs

• Platform type

• Number of clicks

• Domain names

• Landing pages

• Pages viewed and the order of those pages

• The amount of time spent on particular pages

• The date and time of any of the activity listed above

NZiN uses the game play information and aggregate information to better tailor the NZiN Service to your interests, to provide you more efficient customer support, and to overall enhance the NZiN Service.

1.3. Information You Provide To Us Directly.

When you use any of the NZiN Service (including through a SNS) we may collect the following information you provide to us directly:

Registration Information We strongly encourage you to create a Hive Account that enables you to receive customer support services with ease and enjoy various features of the NZiN Services.

When you create a Hive Account, we will collect and store any registration information you share with us, such as an e-mail address or password (the “Registration Information”).

Profile Information If you have a Hive Account, you may have the option of providing additional information about yourself, including a profile photo, user name, gender, email address,

birthday, and your phone number (collectively, the “Profile Information”), to create your user profile in the Hive platform. Please keep in mind that your Profile Information may be publicly viewable

by other Hive users depending upon your privacy setting. You may control the visibility of most of the Profile Information you share with other Hive users at any time.

Public Posting Some of NZiN Games and/or the Hive Platform may allow you to interact with other users and/or post, share, communicate with, or otherwise transmit content publicly,

such as by participating in player forums, message boards, news feeds, status updates, sending messages or invitations to other users, chatting with other users, and/or posting photo (collectively, “Public Postings”).

We may collect and store archives of such Public Postings on NZiN’s servers, and all Public Postings are subject to this Privacy Policy.

Customer Support Correspondence When you ask our customer support team for assistance, we may collect and store from you your contact information as well as your payment information

regarding the purchase of digital items of NZiN Games to the extent reasonably necessary to provide customer support.

Promotional Events We may offer you the opportunity to participate in promotional events regarding NZiN Games through NZiN Games, the Hive Platform, NZiN branded websites, or third party websites or platforms.

If you choose to participate in such promotional events, we may collect and store the information you provide in connection with your participation in the event, such as your e-mail address or phone number,

and we will use and/or disclose that information in accordance with this Privacy Policy unless stated otherwise. We may use information you provide to contact you for winner notification, prize delivery confirmation or other related purposes.

Your entry in the promotional event may also result in your being added to our mailing lists as well as those of our promotional partners associated with such an event.

The acceptance of a prize may require you to allow us to post publicly some of your information within or on the Hive platform or NZiN branded websites.

Friends Matching If you are an Android phone user and log-in to the Hive Platform, we may, upon your request, periodically access your contact list

and/or address book on your mobile and online device in order to help you find any friends who may also have a Hive Account. We will use such contact information solely for such a friends-matching service,

and we will not store such information after fulfilling this purpose. If you are an iOS user, we will not access your contact list and/or address book on your mobile and online device unless your identity is verified in a reasonable way

Telephone Number/ Technical & Usage Information Collected Through Automated Means When you access and/or use the NZiN Service, we may collect

(a) your telephone number (we collect the telephone number through automated means only if you attempt to create a Hive Account and you are an Android phone user;

if you are an iOS user, we will not collect your telephone number unless your identity is verified in a reasonable way),

(b) certain technical information about your mobile device, including MAC Address, IP Address and mobile and online device ID (except for iPhone’s unique identifier, “UDID”); and

(c) usage statistics about your interactions with the NZiN Service.

Such information and usage data is collected through the use of server log files and/or tracking technologies. We may use “cookies” and other technologies such as pixel tags and web beacons,

clear GIFs on certain our services, games, advertising and web pages to analyze your use of our services, games, advertising and web pages, to customize, improve our services, games, advertising and web pages,

to measure promotional effectiveness, and to promote trust and safety. E-mails and other electronic communications we send to you may contain code that enables us to track your usage of the communications,

including whether the communication was opened and/or what links were followed (if any). You are always free to decline our cookies if your browser, device permits,

although doing so may interfere with your use of some of our services, games, advertising and web pages. Please note that certain features of our services, games, advertising and web pages will not be available once cookies are declined.

2. How We Use the Information We Collect

NZiN may use the information we collect through your use of the NZiN Service for providing enhanced game services and promotional information regarding NZiN Games.

For example, we may use the information we collect in any of the following ways:

• Creating your Game Account and managing the account information;

• Informing you of (a) products, new products, services, features, promotions, enhancements, and updates regarding the NZiN Service and (b) updates to the NZiN Policy;

• Promoting and facilitating your use of the NZiN Service, including the targeted advertising and affiliate marketing;

• Marketing NZiN Games to you, including sending you offers, promotion information, newsletters, local or push notifications, e-mail campaigns, and communications regarding new, improved or existing NZiN Games;

• Providing customer support and responding to user inquiries;

• Fulfilling your request and/or order for NZiN Games and our obligations under the NZiN Policy;

• Enabling user-to-user communication and interaction;

• Helping users find their friends who have also created a Hive Account;

• Soliciting your input and feedback to improve user experience;

• Monitoring the technical functioning of the NZiN Service;

• Developing new and/or improved games, products, services or offerings;

• Analyzing market trends and user traffic;

• Trouble-shooting errors or issues with any of the NZiN Service; and

• Complying with applicable laws, regulations, or administrative orders.

Also, NZiN may combine your information in an attempt to provide you with a better user experience, to improve the quality and value of the NZiN Service and to analyze how the NZiN Service is used.

3. Sharing of Your Information

We may share your information with certain third parties in the following circumstances:

Third Party Service Providers We may provide your information with third party companies that perform services on our behalf, including, without limitation, operation of the Hive platform,

data analysis, marketing services, promotional events, e-mail campaigns, hosting services, and customer service or support. Such third party companies may access your personal information,

but are required to use it solely as directed by us for performing requested services.

Business Partners In conjunction with the running of NZiN Games via the Hive Platform, we are partnering with NZiN Holdings Corp. and its affiliates (collectively, “Business Partners”) in order to:

(a) assist us in providing maintenance services of the Hive Platform and enhancing user convenience of the Hive Platform;

(b) enable you to log-in and use the Hive Platform when you are playing the Business Partners’ games without creating further accounst;

(c) enable you to receive from Business Partners any information, newsletter or notification regarding Business Partners’ games provided via the Hive Platform; and

(d) enable to participate in any promotional event or campaign of such games arranged by Business Partners.

We may share with Business Partners the information you provide about yourself, such as (1) your Hive Account information, (2) your Profile Information, (3) your telephone number,

(4) any technical and usage information we collect, and/or (5) game play information, to the extent that such disclosure may serve the above-mentioned purposes and/or facilitate your use of the Hive Platform service.

We will take commercially reasonable efforts to ensure that Business Partners use your information shared by us in compliance with any applicable laws or regulations and solely for the above-mentioned purposes.

If you wish to no longer have your personal information used by the Business Partners for their marketing purposes you may contact us at support@nzinent.com and we will facilitate your request to Business Partners.

Affiliate Marketing We may share your information with third party companies for affiliate marketing associated with the promotion of NZiN Games if such disclosure is reasonably necessary to conduct, administer,

or fulfill such a marketing activity. We will take commercially reasonable efforts to ensure that such third party companies use your information shared by us in compliance with any applicable laws or regulation and

solely for the above-mentioned purposes.

If you wish to no longer have your personal information used by third party companies for their market purposes, you may contact us at support@nzinent.com and we will facilitate your request to the Business Partners.

Advertising of Third Party Products/Services We will not actively share personal information with third party advertisers for their direct marketing purposes unless we obtain your consent. We may share

(a) aggregated information (information about you and other NZiN users collectively, but not specifically identifiable to you); (b) anonymous information; and (c) certain technical information (including IP Addresses,

MAC Addresses for IDs for mobile and online devices) to develop and deliver targeted advertising in the third party advertiser’s website or application. We may also allow advertisers to collect these and similar types of information

within the NZiN Service and they may share it with us and/or use it for advertising. Advertisers may collect this information through the use of a variety of tracking technologies, including without limitation, browser cookies and web beacons.

The information collected may be used to offer you targeted ad-selection and delivery in order to personalize your user experience by ensuring that advertisements for products and services you see will appeal to you,

a practice known as behavioral advertising, and to undertake web analytics (i.e. to analyze traffic and other end user activity to improve your experience).

Offer Walls NZiN Games or their purchase pages may display an “offer wall” that may be hosted by a third party offer wall provider. The offer wall allows third party advertisers to provide virtual currency to users

in exchange for interacting with an advertisement or for completing a marketing offer that may include signing up for an account with one of those advertisers. These offers are not controlled by or made by NZiN.

These offers may be displayed to you based on certain technical information, such as your geographic area or anonymous demographic information. After clicking on one of these advertisements, you will no longer be on a site hosted by NZiN.

To properly credit user accounts and to prevent fraud, a unique identifier will be shared with the offer wall provider. This identifier is used to ensure proper crediting of your account, prevent fraud or duplicate offers and

to resolve any customer service inquiries that may arise.

Safety, Security and Compliance with Law We may disclose your information to certain third parties if we reasonably believe that:

(a) we are required to disclose the information in response to legal process (e.g., a court order, search warrant or subpoena);

(b) we are required to satisfy any applicable laws, regulations, or administrative orders;

(c) there is an emergency that poses a threat to the safety condition of you, another person, or general public; and

(d) such disclosure is reasonably necessary to protect the rights or property of NZiN.

Sale or Merger In the event that NZiN undergoes a business transition, such as a merger, acquisition by another company, or sale of all or the substantiation portion of its assets,

we may transfer all of your information you have provided, including personal information, to the successor organization in such transition if permitted by and done in accordance with any applicable law.

If material changes to NZiN’s privacy practices will occur as a result of the business transition, we will notify you the business transition prior to transferring your personal information.

4. Change/Delete Your Information

To the extent required by applicable law, you may have the right to request access to or delete your personal information.

4.1. Information We Receive From SNS

To manage the information NZiN receives about you from an SNS, you should change your privacy settings on the SNS in accordance with any applicable policy of the SNS

In addition, in the events that it is no longer necessary to provide app experiences or services to the user (if the information is deemed non-essential for the implementation of function),

the synced social media account is deleted, requested by the provider of the synced account, required in accordance with the law or regulations, the corresponding information will be deleted immediately.

4.2. Profile Information

You may change or update the Profile Information by logging into your Hive Account.

4.3. Deleting Account

If you choose to terminate or delete your Hive Account, we will immediately delete your Hive Account information. Even after your Account is terminated or deleted some or

all of your information may still remain visible to others, including but not limited to any information that has been incorporated into any User Contents or copied, stored or disseminated

If you want to delete all or part of your personal informaition, please contact Hive Customer Service(https://customer.withhive.com/ask). You may also make a request by sending an email to support@nzinent.com.

Depending on your request, certain services may be limited or unavailable.

5. Links

The NZiN Service may contain links to other websites. The fact that the NZiN Service links to a website or presents a banner ad or other type of advertisement does not mean

that NZiN endorses or authorizes that third party, nor is it a representation of our affiliation with that third party. NZiN is in no way responsible for the privacy policies of these other websites to

which you choose to access from the NZiN Service. It is your responsibility to read the privacy policies of these other websites when exiting the NZiN Service.

6. Security of Your Information

NZiN takes commercially reasonable security measures to protect against unauthorized access to, or unauthorized alteration, disclosure or destruction of, sensitive data that you share and we collect and store.

Despite our efforts to enhance a security level of the NZiN Service, we cannot guarantee that unauthorized access, hacking, data loss, or other breaches will never occur.

We strongly encourage you not to share your account password with any third parties for any reasons. Also please note that email and messaging systems are not considered secure,

so we discourage you from sending us personal information through these mediums. If you have questions regarding the security measures of the NZiN Service, please contact us at support@nzinent.com.

7. Our Policy Concerning Children

We do not knowingly collect any personal information from children under the age of 13. Children under the age of 13 should not use the NZiN Service at any time.

If we learn that we have inadvertently gathered personal information from such children, we will take reasonable measures to promptly erase such information from our records.

8. Your California Privacy Rights

California residents have the right to receive (a) information identifying any third party company to whom NZiN may have disclosed (within the previous calendar year) his/her personal information for that company’s direct marketing purposes; and
