  2.   (A California Nonprofit Religious Corporation)


  3.   Preamble


  4.   This document outlines the governing principles and operational

  5.   framework of IDCYDE, a spiritual and religious organization dedicated

  6.   to fostering community, personal growth, and collective evolution

  7.   through the core value of music.


  8.   Article I: Name and Purpose


  9.    * Section 1.01: Name: The name of this corporation is Idcyde,

  10.      hereinafter referred to as "the Church."

  11.    * Section 1.02: Purpose: The Church is organized exclusively for

  12.      religious purposes under Section 501(c)(3) of the Internal Revenue

  13.      Code. Its primary purpose is to provide a space for spiritual

  14.      exploration and expression through the universal language of music,

  15.      embracing its evolving forms and diverse expressions. The Church's

  16.      teachings are living, evolving, and expressed through spontaneous and

  17.       communal musical creation and improvisation, rather than through a

  18.      fixed written doctrine.


  19.   Article II: Core Principles


  20.    * Section 2.01: The Primacy of Music: The Church holds that music, in

  21.      its myriad forms, is the paramount expression and conduit of the

  22.      divine. Spiritual growth, understanding, and communal unity are

  23.      achieved through the creation, sharing, and reception of musical

  24.      experiences.

  25.    * Section 2.02: Evolving Ideals: The Church's understanding of

  26.      spiritual truth is continually refined through collective experience,

  27.       empathy, and a commitment to justice and inclusion.

  28.    * Section 2.03: Worship and Gatherings: Regular gatherings are convened

  29.       for the purpose of communal musical creation, performance,

  30.      improvisation, and shared spiritual experience. Communal drumming

  31.      sessions are considered the primary form of preaching, teaching, and

  32.      spiritual guidance.

  33.    * Section 2.04: Spiritual Guidance: Spiritual guidance is provided by

  34.      individuals recognized for their profound musical wisdom and their

  35.      ability to facilitate harmonious communal musical expression. Their

  36.      authority stems from their spiritual insight and contribution to the

  37.      collective song.


  38.   Article III: Membership


  39.    * Section 3.01: Eligibility: Membership is open to all individuals who

  40.      resonate with the spiritual path centered on music and who affirm the

  41.       principle of "no fixed written word as primary spiritual guide or

  42.      doctrine."

  43.    * Section 3.02: Admission: Individuals may become members upon

  44.      expressing a verbal commitment to the core principles of the Church

  45.      and consistently participating in its communal musical gatherings.

  46.    * Section 3.03: Member Rights and Responsibilities: Members have the

  47.      right to full participation in musical worship and the general life

  48.      of the Church. Responsibilities include contributing to the harmony

  49.      and mission of the community through active participation and

  50.      voluntary contributions.


  51.   Article IV: Governance


  52.    * Section 4.01: Governing Body: The affairs of the Church are governed

  53.      by a Board of Directors, which is responsible for the administrative,

  54.       financial, and legal oversight of the corporation. The Board shall

  55.      consist of no fewer than three (3) and no more than seven (7)

  56.      Directors.

  57.    * Section 4.02: Election and Term of Directors: Directors are elected

  58.      by the existing Board at the annual meeting. Each Director serves for

  59.       a term of two (2) years and may serve up to three (3) consecutive

  60.      terms.

  61.    * Section 4.03: Officers: The officers of the Church shall include a

  62.      President (or Chief Harmonizer), a Secretary, and a Treasurer, who

  63.      are elected by the Board from among its members.

  64.    * Section 4.04: Duties of Officers:

  65.        * President/Chief Harmonizer: Presides over all meetings, serves as

  66.           the primary spiritual and organizational voice of the Church,

  67.          and ensures adherence to its core principles.

  68.        * Secretary: Records minutes of all Board and general meetings,

  69.          maintains official records, and ensures proper notice of

  70.          meetings.

  71.        * Treasurer: Oversees the financial assets of the Church, ensures

  72.          accurate financial records are maintained, and prepares regular

  73.          financial reports.

  74.    * Section 4.05: Meetings:

  75.        * Annual Meeting: The Board shall hold an annual meeting in January

  76.           of each year.

  77.        * Regular Meetings: Regular meetings of the Board shall be held

  78.          quarterly.

  79.        * Special Meetings: Special meetings may be called by the President

  80.           or by a majority of the Directors.

  81.        * Quorum: A majority of the Directors in office shall constitute a

  82.          quorum for the transaction of business.

  83.        * Decision-Making: Decisions shall be made by a majority vote of

  84.          the Directors present at a meeting where a quorum is established.


  85.   Article V: Financial Administration


  86.    * Section 5.01: Fiscal Year: The fiscal year of the Church shall be

  87.      from January 1st to December 31st.

  88.    * Section 5.02: Use of Funds: All funds received by the Church shall be

  89.       used exclusively for religious, educational, and charitable

  90.      purposes. No part of the net earnings shall inure to the benefit of

  91.      any private individual.

  92.    * Section 5.03: Contributions: The Church may solicit and accept

  93.      voluntary contributions, gifts, and bequests.

  94.    * Section 5.04: Financial Records: Accurate and comprehensive financial

  95.       records shall be maintained for administrative, legal, and

  96.      transparency purposes.


  97.   Article VI: Amendments


  98.    * Section 6.01: Amendment Process: These Bylaws may be amended,

  99.      repealed, or altered, in whole or in part, by a two-thirds (2/3)

  100.      majority vote of the Board of Directors.

  101.    * Section 6.02: Notice: All Board members must receive written notice

  102.      of any proposed amendment at least thirty (30) days prior to the

  103.      vote.


  104.   Article VII: Dissolution


  105.    * Section 7.01: Dissolution Clause: In the event of the dissolution of

  106.      the corporation, its assets shall be distributed exclusively for

  107.      religious, educational, or charitable purposes within the meaning of

  108.      Section 501(c)(3) of the Internal Revenue Code, or to a federal,

  109.      state, or local government for a public purpose. No assets shall

  110.      inure to the benefit of any private individual.
