Terms of Service

Please read these Terms of Service ("Terms," "TOS") carefully before using the PlantoCare mobile application (the "App") operated by Kello Solution ("us," "we," or "our").

Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the App.

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the App.

1. The App Service

A. Description of Services

The Green Home | PLANTO App is designed to assist users in selecting suitable house plants based on environmental factors (room size, light, humidity) and to provide advisory assistance in identifying potential plant diseases or issues through image recognition technology ("Services").

B. Nature of Advice and Disclaimers (Crucial)

The information and guidance provided by the App, including plant recommendations and illness detection results, are for informational and advisory purposes only.

• The illness detection feature is based on algorithmic analysis of images and is not a substitute for professional horticultural or agricultural advice.

• Kello Solution makes no representations or warranties regarding the accuracy, reliability, completeness, or timeliness of any advice or diagnosis generated by the App.

• You acknowledge that you are solely responsible for determining the appropriate course of action regarding the health and care of your plants.

2. User Accounts

A. Registration

While some features of the App may be available without registration, certain Services (such as saving plant lists or tracking a plant’s history) may require you to create an account. You agree to provide accurate, complete, and current information during registration.

B. Account Security

You are responsible for safeguarding the password that you use to access the App and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party.

3. User Content and Image Rights

A. Your Content

The App allows you to upload, submit, or store content, including but not limited to photographs of your plants, plant care notes, and environmental data ("User Content"). You retain all ownership rights in your User Content.

B. License to Kello Solution

By submitting User Content to the App, you grant Kello Solution a worldwide, non-exclusive, royalty-free, perpetual, transferable license to use, reproduce, modify, adapt, publish, and display such User Content (in whole or in part) for the purpose of operating, improving, developing, and promoting the App and our related services, specifically including training and improving our plant illness detection algorithms.

This license specifically covers our use of anonymized or de-identified image data for the purpose of machine learning and model improvement, as further detailed in our Privacy Policy.

4. Intellectual Property Rights

A. App Ownership

The App and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Kello Solution and its licensors. The App is protected by copyright, trademark, and other laws of both the Netherlands and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kello Solution.

B. Grant of License

Kello Solution grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your personal, non-commercial purposes strictly in accordance with these Terms.

5. Prohibited Uses

You agree not to use the App:

1. For any unlawful purpose.

2. To solicit others to perform or participate in any unlawful acts.

3. To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.

4. To infringe upon or violate our intellectual property rights or the intellectual property rights of others.

5. To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.

6. To upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the App or related services.

6. Limitation of Liability and Indemnification

A. Limitation of Liability

In no event shall Kello Solution, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the App; (ii) any conduct or content of any third party on the App; (iii) any advice, recommendation, or diagnosis provided by the App; (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

B. Indemnification

You agree to defend, indemnify, and hold harmless Kello Solution and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, or b) a breach of these Terms.

7. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the App will immediately cease.

8. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.
