Terms of  Use

These Terms of Use (hereinafter referred to as the "Terms") define the conditions for using the application "FRAME" (hereinafter referred to as the "App") provided by FRAMELAB LLC (hereinafter referred to as the "Company"). By using the App, the user (hereinafter referred to as the "User") is deemed to have agreed to all the provisions of these Terms.

Article 1 (Service Overview)

The App is an application that allows the User to combine and process various metadata (such as titles, location information, dates, custom fonts, and background styles) with selected photos, and provides functions to systematically organize and view photo data strictly within the User's device (local environment).

Article 2 (Local-First Architecture and Data Management)

1. The App operates entirely on a local-first system architecture. It does not require any user account creation, login, or registration of personal information.

2. All data, metadata, and photo files processed, generated, and saved within the App are processed and stored solely within the local storage of the device used by the User.

3. The User shall bear sole and exclusive responsibility for the management of their own data within the App. The Company shall not be held liable for any data loss arising from the deletion (uninstallation) of the App, loss/failure/damage of the device, or OS updates.

Article 3 (Subscriptions and Premium Access)

1. Premium Plan: Following the expiration of the free trial period, a paid subscription is required to continue creating, editing, and saving new data within the App.

2. Restrictions After Cancellation: Users without an active paid subscription may only access the read-only functionality of their existing data. Creating, editing, or saving new data to the device will be restricted.

3. Billing and Payments: Subscriptions are offered on a monthly or annual auto-renewable basis. All transactions, payments, and billing processes are handled securely and exclusively by Apple Inc. through the App Store system (StoreKit), and Apple’s standard terms and conditions shall apply.

4. Auto-Renewal and Cancellation: Subscriptions will automatically renew unless auto-renewal is turned off in the User's Apple Account settings on their iOS device at least 24 hours before the end of the current billing period. Deleting the App from the device does not automatically cancel the subscription.

5. Grace Period After Cancellation: Even after cancelling a subscription, the User will continue to have access to all premium features for the remaining duration of the already-paid billing cycle.

Article 4 (Prohibited Conduct)

When using the App, the User shall not engage in any of the following acts:

1. Acts that violate laws, regulations, or public order and morals.

2. Acts that interfere with the App's servers, networks, or normal system functions.

3. Acts of reverse engineering, decompiling, disassembling, or any other similar analytical behavior targeted at the App’s source code.

4. Attempting to bypass, disable, or circumvent premium subscription billing or functional restrictions through unauthorized means, external programs, or by exploiting system vulnerabilities.

5. Any other acts deemed inappropriate by the Company.

Article 5 (Disclaimer of Warranties and Limitation of Liability)

1. The Company does not guarantee the absolute accuracy, completeness, validity, or timeliness of any metadata (such as location information, place names, and dates) obtained or entered automatically or manually within the App.

2. To the maximum extent permitted by applicable law, the Company shall not be liable for any damages (including direct, indirect, special, incidental, exemplary, or consequential damages, or loss of profits) incurred by the User arising out of or in connection with the use of or inability to use the App.

Article 6 (Intellectual Property Rights)

1. All intellectual property rights, including but not limited to program codes, user interface (UI) designs, logos, trademarks, pre-installed fonts, and asset styles constituting the App, belong exclusively to the Company or its legitimate licensors.

2. The copyright and ownership of the final processed photo images created by the User using the App shall belong entirely to the User.

Article 7 (Amendments to the Terms)

The Company reserves the right to modify or amend these Terms at any time without prior notice to the User. If the User continues to use the App after any modifications to the Terms have been made, the User shall be deemed to have accepted and agreed to the revised Terms.

Article 8 (Governing Law and Jurisdiction)

1. These Terms shall be governed by and construed in accordance with the laws of Japan.

2. Any and all disputes arising out of or in connection with the App or these Terms shall be subject to the exclusive jurisdiction of the district court having jurisdiction over the location of the Company’s registered head office in the first instance.
