These Terms of Service ("Terms") govern your use of the FileFly | Share & Upload Files mobile application ("FileFly", the "App", "we", "us", or "our"), operated by Kello Solutions.

By downloading, accessing, or using FileFly, you agree to these Terms. If you do not agree with these Terms, please do not use the App.

1. Description of the Service

FileFly is a file-sharing service that allows users to:

• Select and upload files;

• Store files temporarily;

• Generate shareable links;

• Share files with other people;

• Set file expiration periods where available;

• Protect files with passwords where available;

• Generate QR codes for file links;

• Manage and delete uploaded files.

FileFly does not require you to create a user profile or account to use its core functionality.

Features may change, be added, or be removed from time to time.

2. Eligibility

You must be legally permitted to use FileFly under the laws applicable to you.

If you are under the age required to enter into a legally binding agreement in your jurisdiction, you may only use FileFly with the involvement and permission of a parent or legal guardian where required by law.

3. Your Files

You retain ownership of files that you upload to FileFly.

By uploading a file, you grant Kello Solutions a limited, non-exclusive, worldwide license to host, store, process, transmit, reproduce, and make that file available solely as necessary to operate and provide the FileFly service.

This license ends when the file is deleted from our systems, except where continued processing or retention is necessary for technical, security, legal, or backup purposes.

We do not claim ownership of your uploaded files.

4. Your Responsibility

You are solely responsible for the files and content you upload, share, or distribute through FileFly.

You must ensure that you have all necessary rights, permissions, and legal authority to upload and share your files.

You must not use FileFly to upload, store, or distribute content that:

• Violates applicable laws or regulations;

• Infringes copyrights, trademarks, patents, or other intellectual-property rights;

• Contains malware, viruses, ransomware, or other malicious code;

• Facilitates fraud, scams, identity theft, or other illegal activity;

• Contains unlawful or exploitative material;

• Threatens, harasses, or abuses other people;

• Attempts to gain unauthorized access to systems or data;

• Interferes with or attempts to disrupt FileFly;

• Attempts to bypass security, access controls, download limits, or expiration mechanisms;

• Places unreasonable or excessive demands on the service.

5. Sharing Links

FileFly generates unique links that can provide access to uploaded files.

You are responsible for how you distribute your sharing links.

Anyone who obtains an active link may potentially access the associated file, subject to any password, expiration, or other restrictions that apply.

You should not share links publicly when doing so could expose confidential or private information.

Kello Solutions is not responsible for unauthorized access resulting from your decision to publicly or improperly distribute a sharing link.

6. File Expiration and Deletion

Files may automatically expire according to the expiration period selected during upload or according to the limits of your FileFly plan.

When a file expires, access to the file may be disabled and the file may be deleted from our active systems.

Files may also be deleted if:

• You manually delete them;

• They violate these Terms;

• They are reported or identified as unlawful;

• They create a security or operational risk;

• They are subject to legal requirements;

• We discontinue or modify the relevant service.

We do not guarantee that expired or deleted files can be recovered.

You are responsible for maintaining your own backup copies of important files.

7. Prohibited Use

You may not use FileFly to:

• Distribute illegal content;

• Distribute malware or malicious software;

• Conduct phishing or credential-theft campaigns;

• Store or distribute stolen or unlawfully obtained material;

• Infringe intellectual-property rights;

• Circumvent security mechanisms;

• Abuse automated systems or APIs;

• Attempt to overload or disrupt FileFly infrastructure;

• Reverse engineer or exploit the service for unauthorized purposes;

• Use FileFly for activities that violate applicable laws.

We reserve the right to investigate suspected violations and take appropriate action.

8. Service Availability

We aim to keep FileFly available and reliable, but we do not guarantee uninterrupted or error-free operation.

The service may occasionally be unavailable because of:

• Maintenance;

• Updates;

• Technical problems;

• Server or infrastructure failures;

• Security incidents;

• Internet or network problems;

• Circumstances beyond our reasonable control.

We may modify, suspend, or discontinue parts of FileFly at any time.

9. File Availability

We do not guarantee that uploaded files will remain available for any particular period beyond the applicable expiration or storage period.

You acknowledge that:

• Files may expire;

• Files may be deleted;

• Links may become unavailable;

• Technical failures may occur;

• File transfers may fail.

For important files, you should maintain an independent backup.

10. Security

We use reasonable technical and organizational measures to protect the FileFly service and information processed through it.

However, no online service can guarantee absolute security.

You acknowledge that uploading and sharing files over the internet involves inherent security risks.

You should consider the sensitivity of a file before uploading or sharing it.

11. Privacy

Your use of FileFly is also governed by our Privacy Policy, which explains how we collect, use, store, and protect information.

The Privacy Policy forms part of these Terms.

12. Third-Party Services

FileFly may rely on third-party providers for hosting, storage, infrastructure, security, analytics, payment processing, or other technical services.

Third-party services may have their own terms and privacy policies.

We are not responsible for the availability, functionality, or policies of third-party services that are outside our reasonable control.

13. Subscriptions and Purchases

Certain FileFly features may be offered through paid subscriptions or other purchases.

Before completing a purchase, the applicable price, billing period, and included features will be presented to you.

Subscriptions purchased through the App Store are processed by Apple and are subject to Apple's applicable terms and conditions.

Unless otherwise stated, subscriptions automatically renew unless canceled before the end of the current billing period.

You can manage or cancel subscriptions through your Apple account settings.

Refund requests for purchases made through Apple's App Store are generally handled by Apple according to Apple's policies.

14. FileFly Pro

If FileFly offers a premium service such as FileFly Pro, additional features may include:

• Larger file-size limits;

• Increased storage;

• Extended file retention;

• Password-protected links;

• Custom expiration periods;

• Download limits;

• Download statistics;

• Other premium sharing features.

Specific limits and features may change over time and will be presented within the App.

15. Intellectual Property

The FileFly application, including its software, branding, logos, design, graphics, interface, text, and other original materials, is owned by or licensed to Kello Solutions.

Except as expressly permitted by these Terms or applicable law, you may not:

• Copy;

• Modify;

• Distribute;

• Sell;

• Lease;

• Reverse engineer;

• Decompile;

• Create derivative works from;

• Exploit

any part of FileFly without our prior written permission.

Your uploaded content remains yours.

16. Copyright Complaints

If you believe that content shared through FileFly infringes your copyright or other intellectual-property rights, please contact us.

Your notice should include sufficient information to identify:

• The copyrighted work;

• The allegedly infringing content or link;

• Your contact information;

• Your basis for claiming ownership or authorization;

• Any other information reasonably necessary for us to evaluate the complaint.

Where appropriate and legally required, we may remove or disable access to allegedly infringing content.

17. Suspension and Termination

Because FileFly does not require a user account, access to specific files and links may be restricted or terminated without account termination.

We may suspend, disable, or remove files or links if we reasonably believe that:

• These Terms have been violated;

• The service is being abused;

• The content is illegal;

• The content creates a security risk;

• We are required to do so by law;

• It is necessary to protect FileFly, Kello Solutions, or other users.

We may also discontinue the FileFly service or any feature at any time.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, FileFly is provided on an "as is" and "as available" basis.

Kello Solutions does not guarantee that:

• FileFly will always be available;

• Uploads will always succeed;

• Downloads will always succeed;

• Files will never be lost or corrupted;

• Links will always remain active;

• The service will be completely secure or error-free;

• The service will meet every individual requirement.

Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded under applicable law.

19. Limitation of Liability

To the maximum extent permitted by applicable law, Kello Solutions will not be liable for indirect, incidental, special, consequential, or exemplary damages arising from your use of FileFly.

This may include loss of:

• Files;

• Data;

• Revenue;

• Business opportunities;

• Profits;

• Reputation.

You are responsible for maintaining appropriate backups of important files.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Kello Solutions and its affiliates, officers, employees, and service providers from claims, damages, liabilities, costs, and expenses arising from:

• Your use of FileFly;

• Your uploaded or shared content;

• Your violation of these Terms;

• Your violation of another person's rights;

• Your violation of applicable law.

21. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the Effective Date at the beginning of these Terms.

If you continue using FileFly after the updated Terms become effective, you agree to the revised Terms to the extent permitted by applicable law.

22. Governing Law

These Terms are governed by the laws applicable to Kello Solutions, except where mandatory consumer-protection laws provide otherwise.

Nothing in these Terms limits any mandatory rights you may have under the laws of your country or place of residence.

23. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid provision will be interpreted or replaced to the extent necessary to make it enforceable while preserving its original purpose as closely as reasonably possible.

24. Entire Agreement

These Terms, together with the FileFly Privacy Policy and any additional terms presented for specific paid features, constitute the agreement between you and Kello Solutions regarding your use of FileFly.
