BoChat - Terms of Service

1. Overview

This Agreement (hereinafter referred to as "the Terms") stipulates the terms and conditions for your use of the services we provide (hereinafter referred to as the "Service"), including the video social platform Bochat application developed by our team (hereinafter referred to as the "Bochat App"). One party to this Agreement is you, and the other party is the Bochat team (hereinafter referred to as "we" or "Bochat").

We reserve the right to change these Terms at any time. Your continued use of the Service will be deemed as your acceptance of the revised Terms. Your use of the Service indicates that you accept all the terms of this Agreement.

2. Eligible

Our services are only accessible to adults aged 18 and over. If you are under 18, please do not use our services.

3. Your Account

You may choose to use a third-party service to register and log in to Bochat services. Please note that the collection, use and disclosure of your personal information by these third-party services is subject to their own privacy policies.

If you decide not to use our services anymore and want to cancel your account, we will provide the necessary assistance. You can contact us via email for help and we will guide you through the cancellation process. You can also refer to our privacy policy and cancel your account yourself in the application or our official website.

Please understand that we reserve the right to suspend or terminate your account at any time for reasonable reasons, including but not limited to situations where you have violated the Terms of Service, or we believe that your account activities may cause damage to Bochat services, infringe third-party rights, or violate laws and regulations.

4. User Content

Bochat provides users with a variety of interactive methods such as chat and video services, and allows users to share, publish or store various types of content on the platform, including but not limited to messages, text, audio, images, applications, codes or other forms of data (collectively referred to as "User Content"). Users can also use the various functions provided by Bochat ("Bochat Functions"), such as virtual items, to enrich their own user content and share it through the Bochat platform. Please note that other users' expressions on the Bochat platform do not reflect our views or values.

In order to maintain our global service operations, we may need to store and process your data in data centers and systems around the world, which may include data centers and systems located outside your country.

5. Use of services

Your access to and use of the Bochat Services is subject to these Terms and all applicable laws and regulations. You agree will not:

i. Create, upload, transmit, distribute or store any content that is inaccurate, illegal, infringing, defamatory, obscene, pornographic, invasive of privacy or publicity rights, harassing, threatening, abusive, inflammatory or otherwise objectionable;

ii. Impersonate any person or entity, misrepresent your affiliation with any person or entity, or access another person’s Bochat account without permission, falsify another person’s identity or the content of information transmitted through the Bochat Service, or engage in any other similar fraudulent activity;

iii. Defame, harass, abuse, threaten or deceive Bochat users, or collect or attempt to collect personal information about users or third parties without their consent;

iv. Remove, circumvent, disable, damage or otherwise interfere with security-related features of the Bochat Services or User Content, features that prevent or restrict the use or copying of any content accessible through the Bochat Services, features that impose restrictions on the Bochat Services, use Bochat Services or User Content, or remove copyright or other proprietary notices on Bochat Services or User Content;

v. Interfere with or disrupt the operation of the Bochat Services or any user's enjoyment of the Bochat Services in any way, including by uploading or otherwise transmitting viruses, adware, spyware, worms or other malicious code;

vi. Manipulate identifiers to obscure the origin of any User Content transmitted through the Twitch Service.

viii. Interfere with or disrupt the Bochat Live Service or servers or networks connected to the Bochat Live Service, or violate any requirements, procedures, policies or regulations of networks connected to the Bochat Live Service; in any manner that may interfere with, disrupt, negatively affect or prevent other Use the Bochat Services in a manner that allows the User to fully enjoy the Bochat Services, or in any manner that could damage, disable, overburden, or impair the functionality of the Bochat Services;

ix. Attempt to circumvent any content filtering technology we employ, or attempt to access any service or area of the Bochat Service that you are not authorized to access;

6. Virtual Items

When you decide to purchase “diamonds”(virtual items), the corresponding price will be displayed. The cost of purchasing “diamonds” will be borne by you. Once the purchase process is completed, the corresponding number of diamonds will be added to your account. These diamonds can be used to purchase virtual gifts on the platform. Please note that diamonds cannot be exchanged for cash, any legal currency, the currency of any country or region, nor can they be used as any other form of credit.

You can only purchase diamonds and virtual gifts if you are at least 18 years old or have reached the legal age of majority in your location and have the right to give gifts to others.

Unless otherwise stated in these Terms, once diamonds and gifts are purchased, the transaction is final and we will not provide any form of refund. Diamonds and gifts cannot be exchanged for cash or refunded for any reason once purchased.

7. Termination of service

To the maximum extent permitted by law, Bochat has the right to terminate or restrict your use of Bochat services at its sole discretion, and may prevent you from using and accessing Bochat services in the future without prior notice. This may happen in the following circumstances:

1. If we believe that your behavior violates the terms of service or relevant legal provisions;

2. If you are found to have committed fraud or abused Bochat services;

3. If we are unable to continue to provide you with services due to technical problems or reasonable business considerations.

This may also affect your right to use the purchased products or services.

8. Intellectual Property

When you upload or share any live content or other materials to the public area of the Bochat website through the Bochat service, you grant Bochat and its licensors a global, free, perpetual, irrevocable, non-exclusive and fully sublicensable license. This license allows us to freely use, copy, modify, adapt, publish, translate, edit, process, create derivative works, distribute, display and publicly perform these contents (whether in whole or in part) in any geographic area and time without additional approval or compensation, and integrate these contents into existing or future works, media or technologies.

All texts, data, images, graphics, audio, video information and other materials provided on the Bochat platform belong to Bochat and are protected by copyright, trademark and other relevant intellectual property laws. These terms should not be interpreted as granting you any intellectual property rights or a license to use these materials.

9. Disclaimer

You are solely responsible for the risks of using Bochat services. By choosing to use or rely on Bochat services, you accept all related risks.

Bochat does not guarantee that the services will perfectly meet all your needs or that the services will be uninterrupted. We cannot guarantee the real-time, security and accuracy of the video services. Bochat services are provided on an "as is" basis, and we do not provide any express or implied warranties of any kind for the operation or any part of the services. Bochat is not responsible for any results that may arise from the use of Bochat services, including the quality, timeliness, accuracy or completeness of the services.

For any external links accessed through Bochat services, Bochat does not guarantee the accuracy and completeness of their content, nor is it responsible for the content of these links. Please understand that the content of these external links is beyond the control of Bochat.

In the event of force majeure or beyond the control of Bochat, Bochat will not be responsible for interruptions or other problems in the Bochat service. However, we will take measures to mitigate the impact and losses caused to you by these situations as much as possible.

10. Guarantee

In the process of using Bochat services, you agree to assume the corresponding compensation liability and ensure that we, our licensors, partners, affiliates, management, directors, employees, contractors and suppliers (whether individually or collectively) will not suffer any claims, lawsuits or liability losses due to the following situations:

Your failure to comply with the provisions of these terms or violate any relevant laws and regulations;

Your infringement of the rights of any third party;

Your use or abuse of the product;

The content or other forms of communication you transmit through the product.

Even if we are found to be responsible or punished in legal proceedings, you still need to fulfill the above compensation obligations.

11. Legal jurisdiction

Any dispute arising out of or in connection with these Terms, including but not limited to the existence, validity or termination of these Terms, shall be referred to and finally settled by arbitration in accordance with the rules of the Singapore International Arbitration Centre for the time being in force. Such rules are deemed to be part of these Terms. The arbitration will be held in Singapore and the language to be used shall be English. To commence arbitration proceedings, please follow the specified procedure.

12. Modification

We reserve the right to update or change these terms at any time. Your continued use of our services after these terms are updated or changed will be deemed as your acceptance of the latest terms. If you use our services, you agree to abide by all the provisions of these terms. If you do not accept these terms, please stop using Bochat services.
