These Terms of Service (“Terms”) are a legal agreement between Vertex Games PTE. LTD. (“Vertex Games,” “we,” “our,” or “us”) and you (“you” or “user”). These Terms govern your access to and use of our mobile games, websites, customer support channels, and related services that link to these Terms (collectively, the “Services”).
Please read these Terms carefully. By downloading, accessing, or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.
The Services are intended for adults only.
You may access or use the Services only if you are at least 18 years old and have reached the age of majority in your country or region of residence.
If the Services include bingo, casino-style, chance-based, or social casino entertainment features, you may access or use those features only if you are at least 18 years old and have reached the legal age required to access such content in your jurisdiction.
The Services are not directed to children or minors. You must not access or use the Services if you are under 18 years old or if you are otherwise not legally permitted to use the Services in your jurisdiction.
By accessing or using the Services, you represent and warrant that you meet these eligibility requirements. We may restrict, suspend, or terminate your access to the Services if we reasonably believe that you do not meet these requirements.
The Services are provided for entertainment purposes only.
The Services do not offer real-money gambling, betting, wagering, or any opportunity to win money or prizes of real-world value.
Virtual currency, virtual items, points, rewards, bonuses, or other in-game content have no cash value and cannot be withdrawn, transferred, sold, exchanged, redeemed, or converted into money, goods, services, or anything of real-world value.
Purchasing or using virtual currency or virtual items in the Services does not create any right to receive money, goods, services, or real-world prizes.
Any in-app purchases are optional and are used only within the Services.
By downloading, accessing, or using the Services, you agree to these Terms and to any additional terms, rules, or policies that apply to particular features, events, purchases, promotions, platforms, or services.
If you use the Services on behalf of another person or entity, you represent that you have authority to accept these Terms on that person’s or entity’s behalf.
If you do not agree to these Terms, your only remedy is to stop using the Services.
We may update these Terms from time to time. If we make material changes, we will provide notice as required by applicable law, such as by posting the updated Terms in the Services, updating the effective date, or providing another appropriate notice.
Your continued use of the Services after the updated Terms become effective means that you agree to the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own personal, non-commercial entertainment purposes.
You may not use the Services for any commercial purpose without our prior written consent.
We may modify, suspend, discontinue, or restrict access to all or part of the Services at any time, including game features, events, content, virtual currency, virtual items, rewards, rankings, or availability in certain countries or regions.
We are not liable for any modification, suspension, discontinuation, or restriction of the Services, except where prohibited by applicable law.
Some features of the Services may require an account, player profile, platform login, or third-party login.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep your account information up to date.
You must not sell, transfer, share, sublicense, rent, or assign your account or login credentials to anyone else.
We may suspend or terminate your account if we reasonably believe that your account has been compromised, used in violation of these Terms, used by a person who does not meet the eligibility requirements, or used for fraudulent, abusive, cheating, or illegal activity.
The Services, including all software, code, technology, designs, characters, artwork, graphics, animations, music, sound effects, text, game rules, game mechanics, virtual currency, virtual items, user interface, logos, trademarks, and other content, are owned by Vertex Games or our licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.
Except for the limited license expressly granted in these Terms, you do not receive any ownership interest or other rights in the Services or any content made available through the Services.
You must not copy, reproduce, modify, adapt, translate, distribute, sell, lease, license, publicly display, publicly perform, scrape, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit any part of the Services, except as expressly permitted by these Terms or applicable law.
The Services may allow you to purchase, earn, receive, or use virtual currency, virtual items, boosters, passes, rewards, points, bonuses, or other in-game content (“Virtual Items”).
Virtual Items are licensed to you, not sold. You do not own Virtual Items. You receive only a limited, personal, revocable license to use Virtual Items within the applicable Service, subject to these Terms.
Virtual Items:
have no cash value;
are not legal tender;
are not property;
cannot be sold, transferred, assigned, gifted, exchanged, withdrawn, redeemed, or converted into money, goods, services, or anything of real-world value;
may be used only within the game or Service for which they were purchased or provided, unless we expressly state otherwise.
We may manage, regulate, modify, remove, rebalance, or discontinue Virtual Items at any time, including prices, availability, functionality, balance, and usage rules, except where prohibited by applicable law.
You must not buy, sell, trade, transfer, or exchange Virtual Items outside the Services. Any such activity is unauthorized and may result in suspension or termination of your account.
The Services may offer optional purchases, including Virtual Items, subscriptions, season passes, event passes, bundles, or other digital content.
Purchases made through app stores or platforms, such as Apple App Store or Google Play, are processed by the applicable platform and are subject to that platform’s payment terms, refund policies, and billing rules. We do not control the platform payment process and do not collect or store your full payment card information.
All purchases are final and non-refundable except where required by applicable law, required by the applicable platform’s policies, or expressly approved by us or the platform.
You are responsible for reviewing the price, content, duration, renewal terms, and other purchase details before completing a purchase.
You are responsible for all purchases made through your account or device, except where applicable law or platform policy provides otherwise.
If the Services offer subscriptions, the subscription will automatically renew unless cancelled in accordance with the applicable platform’s rules. You are responsible for cancelling subscriptions through the applicable platform account settings.
The Services may include randomized rewards, mystery boxes, chance-based item drops, card packs, wheels, events, or other mechanisms that provide randomized Virtual Items.
Randomized Virtual Items are available only to users who meet the eligibility requirements in these Terms.
Where required by applicable law or platform policy, we will disclose the probabilities or odds of receiving randomized Virtual Items before purchase and in close proximity to the purchase opportunity.
Randomized Virtual Items are for entertainment purposes only and have no real-world monetary value.
The Services may allow you to create, upload, submit, post, display, transmit, or share content, including names, profile images, text, messages, chat content, team names, club names, comments, feedback, images, or other materials (“User Content”).
You are responsible for your User Content. You represent and warrant that you have all rights necessary to submit your User Content and that your User Content does not violate these Terms, applicable law, or the rights of any third party.
By submitting User Content, you grant Vertex Games a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, translate, display, perform, distribute, and otherwise use your User Content for the purpose of operating, providing, improving, promoting, moderating, and protecting the Services.
This license ends when your User Content is deleted from the Services, except that we may retain copies where reasonably necessary for legal, safety, backup, moderation, fraud prevention, or technical purposes.
We may review, moderate, remove, restrict, or delete User Content at any time if we reasonably believe it violates these Terms, applicable law, platform rules, or the rights or safety of others.
The Services may include chat, clubs, teams, leaderboards, profiles, friend lists, forums, or other social and communication features.
You understand that communications and profile information shared through these features may be visible to other users. You should not share personal information, sensitive information, payment information, passwords, or information that you do not want other users to see.
We may monitor, moderate, record, remove, or restrict access to community features to enforce these Terms, protect users, prevent fraud or abuse, comply with legal obligations, or improve the Services. We are not obligated to monitor all user communications.
You agree not to:
use the Services for any unlawful, harmful, fraudulent, abusive, harassing, threatening, defamatory, obscene, hateful, discriminatory, sexually explicit, or otherwise objectionable purpose;
upload, post, or share content that infringes or violates any intellectual property, privacy, publicity, contractual, or other rights;
impersonate another person, misrepresent your identity, or falsely suggest an affiliation with any person or entity;
bypass, misrepresent, or attempt to circumvent age restrictions, eligibility requirements, geographic restrictions, platform rules, or access controls;
attempt to obtain passwords, account credentials, payment information, personal information, or other private information from other users;
cheat, exploit bugs, use bots, scripts, macros, automation tools, emulators, unauthorized third-party software, modified clients, hacks, or other tools that alter gameplay or provide an unfair advantage;
interfere with, disrupt, overload, attack, reverse engineer, scrape, crawl, data mine, or attempt to gain unauthorized access to the Services, servers, networks, systems, or data;
sell, transfer, trade, lease, sublicense, or otherwise commercialize accounts, Virtual Items, rewards, or access to the Services;
abuse customer support, submit false reports, make fraudulent refund claims, or engage in chargeback abuse;
use the Services to promote real-money gambling, betting, wagering, sweepstakes, illegal activity, or unauthorized commercial activity;
use logos, names, marks, or other identifiers associated with real-money gambling brands in connection with the Services, unless expressly authorized by us and permitted by applicable law and platform policy;
violate any applicable law, regulation, platform rule, or third-party terms.
If we reasonably believe that you have violated these Terms, platform rules, applicable law, or the rights or safety of others, we may take action, including:
issuing a warning;
removing or restricting content;
limiting access to features;
resetting progress, balances, rewards, rankings, or event results;
suspending or terminating your account;
blocking device identifiers, IP addresses, or other access methods;
reporting conduct to platforms, payment processors, law enforcement, regulators, or other relevant third parties where appropriate.
We may take enforcement action if we reasonably believe that you are under 18, have misrepresented your age, or are not legally permitted to access the Services in your jurisdiction.
We are not required to provide prior notice before taking enforcement action, except where required by applicable law.
The Services may include or interact with third-party services, including app stores, social networks, advertising networks, analytics providers, payment processors, customer support tools, and external websites.
Your use of third-party services may be subject to separate terms and privacy policies. We are not responsible for third-party services, content, ads, websites, policies, or practices.
If you access the Services through Apple App Store, Google Play, Amazon Appstore, or another platform, you must also comply with the applicable platform terms.
If you downloaded the Services through Apple App Store, Google Play, Amazon Appstore, or another platform, your purchase, download, and use of the Services may also be governed by the platform provider’s terms, payment rules, refund rules, and usage rules.
If these Terms conflict with applicable platform terms, the platform terms will apply only to the extent necessary to resolve the conflict.
For Services downloaded from Apple App Store, Apple is not a party to these Terms and is not responsible for providing maintenance or support for the Services, except as required by applicable law. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as third-party beneficiaries where applicable.
Our collection, use, disclosure, and protection of information is described in our Privacy Policy.
By using the Services, you acknowledge that we process information as described in the Privacy Policy.
If there is a conflict between these Terms and the Privacy Policy regarding the processing of personal information, the Privacy Policy will control for that issue.
If you provide us with ideas, suggestions, comments, bug reports, proposals, or other feedback about the Services (“Feedback”), you grant us the right to use the Feedback without restriction or compensation to you.
We may use Feedback to improve, develop, market, operate, or protect the Services.
To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not warrant that the Services will be uninterrupted, secure, error-free, accurate, complete, or free of viruses or harmful components. We do not warrant that any defects will be corrected or that the Services will meet your expectations.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
To the fullest extent permitted by applicable law, Vertex Games and our directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or similar damages, including loss of profits, revenue, data, goodwill, virtual currency, virtual items, account access, or business opportunity, arising out of or relating to the Services or these Terms.
To the fullest extent permitted by applicable law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of:
the amount you paid to us for the Services during the six months before the event giving rise to the claim; or
USD 100.
Nothing in these Terms limits or excludes liability where such limitation or exclusion is not permitted by applicable law.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Vertex Games and our directors, officers, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to:
your use or misuse of the Services;
your violation of these Terms;
your User Content;
your violation of applicable law;
your violation of any third-party rights;
your fraud, cheating, abuse, or unauthorized activity.
You may stop using the Services at any time.
We may suspend, restrict, or terminate your access to the Services at any time if we reasonably believe that you have violated these Terms, created risk or possible legal exposure for us, harmed other users, engaged in fraud or abuse, failed to meet eligibility requirements, or used the Services in a way that may damage the Services or our business.
Upon termination, your license to use the Services will end immediately. You may lose access to your account, game progress, Virtual Items, and other Service-related content, except where applicable law requires otherwise.
Sections that by their nature should survive termination will survive, including sections relating to eligibility, no real-money gambling, ownership, Virtual Items, User Content licenses, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.
These Terms are governed by the laws of Singapore, without regard to conflict of law principles, except where the mandatory consumer protection laws of your country or region require otherwise.
If a dispute arises out of or relates to these Terms or the Services, you agree to first contact us at legal@vertexgames.sg so that we can try to resolve the dispute informally.
If the dispute cannot be resolved informally, the courts of Singapore will have non-exclusive jurisdiction, except where applicable law gives you the right to bring a claim in another jurisdiction.
These Terms, together with any additional terms or policies that apply to specific features, events, purchases, promotions, platforms, or services, constitute the entire agreement between you and Vertex Games regarding the Services.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
You may not assign or transfer these Terms or any rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
