Terms of Service
1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the services offered by Batao, including the Batao social video platform, mobile application, and other related products or services that we develop, provide, or operate (collectively, the “Service” or “Services”).
For the purposes of these Terms, “you” and “user” mean any individual who accesses or uses the Services. “Batao,” “we,” “us,” and “our” refer to the Batao team or the entity that operates and manages the Services.
We may revise these Terms from time to time where changes are required due to modifications to our Services, business operations, technology, or applicable laws and regulations. Any revised Terms will take effect from the effective date stated in the updated version. If you continue to access or use the Services after the revised Terms take effect, this will constitute your agreement to the updated Terms.
By registering for an account, accessing, or using Batao, you acknowledge that you have read and understood these Terms and agree to comply with them. If you do not accept any provision of these Terms, you must discontinue your access to and use of the Services.
2. Eligibility
The Batao Services are intended exclusively for individuals who are 18 years of age or older.
By accessing or using any of the Services, you represent and confirm that you satisfy the applicable minimum age requirement. Anyone under the age of 18 is prohibited from registering for an account or accessing or using any Batao Service.
If we discover, or have reasonable grounds to believe, that an account is operated or accessed by an individual who does not satisfy the required age condition, we may take appropriate action, including restricting access to, suspending, or permanently terminating the account.
3. Your Account
Where supported by Batao, you may register for or access your account using credentials or an account provided by an authorized third-party platform. Your use of any third-party account or login method may also be governed by the applicable terms of service and privacy policies of that third party.
You are responsible for keeping your account information and login credentials secure and for all activities performed through your account. You must not disclose your account credentials to another person or knowingly permit an unauthorized individual to access or use your account.
If you no longer wish to use Batao, you may request the permanent closure of your account. Where the relevant functionality is available, you may delete your account through the application or our official website. If you require assistance with account cancellation or deletion, you may also contact our customer support team by email. Additional information regarding account deletion is provided in our Privacy Policy.
To maintain the security, proper operation, and integrity of the Batao platform, we may restrict, suspend, or permanently terminate an account where reasonably necessary. Such circumstances may include violations of these Terms or applicable laws and regulations, infringement of another person's rights, or activities that may adversely affect Batao, its users, or the operation of the Services.
4. User Content
Batao offers various communication and social interaction functions, which may include text messaging, video calls, and other features made available through the Services. When using these functions, you may submit, upload, send, transmit, or otherwise make available materials such as text, messages, photographs, images, audio or voice recordings, code, and other information or data (collectively, “User Content”).
The Services may also contain tools and features provided by Batao (“Batao Functions”), including virtual items and related functions designed to facilitate user interaction or enhance the use and presentation of User Content.
You are solely responsible for the User Content that you create, upload, transmit, submit, or otherwise make available through the Services. User-generated content represents the views and activities of the relevant user and does not necessarily represent or reflect the opinions, policies, positions, or views of Batao.
For the purpose of operating the Services and providing the necessary technical functions, User Content and related information may be transmitted to, processed by, or stored on systems and servers located in different countries or regions. Such locations may be outside the country or jurisdiction where you reside.
5. Acceptable Use of the Services
Your use of Batao must comply with these Terms, applicable laws and regulations, and any additional rules or requirements presented within the Services.
You agree that you will not engage in, assist with, or attempt to facilitate any activity that:
i. Creates, uploads, publishes, distributes, or otherwise makes available content that is illegal, defamatory, obscene, abusive, threatening, harassing, or otherwise inappropriate;
ii. Provides false or misleading identity information, impersonates another person or entity, or attempts to access, use, or control another user's account without proper authorization;
iii. Intimidates, threatens, deceives, abuses, or harasses other users, or obtains, collects, or uses another person's personal information without appropriate authorization or consent;
iv. Attempts to disable, circumvent, remove, interfere with, or otherwise undermine Batao's security mechanisms, access controls, technical protections, or copyright protection measures;
v. Interferes with the normal functioning of the Services, including by introducing viruses, malware, spyware, malicious code, corrupted files, or other harmful software;
vi. Alters, falsifies, manipulates, or conceals identifiers or other technical information in order to disguise the origin or source of information transmitted through the Services;
vii. Places unreasonable loads on the platform, damages or disrupts Batao's infrastructure, or interferes with another user's ability to access or normally use the Services;
viii. Attempts to evade, disable, circumvent, or manipulate content moderation or filtering mechanisms, or seeks unauthorized access to restricted, protected, or otherwise unavailable areas of the Services.
Batao reserves the right to take reasonable measures in response to activities that violate these Terms, including removing relevant content, restricting functionality, suspending accounts, or terminating access to the Services where appropriate.
6. Virtual Items and Purchases
Batao may offer users the ability to purchase virtual currency, including “Diamonds,” or other virtual credits that are displayed together with their applicable purchase prices. After a payment has been successfully processed and confirmed, the corresponding Diamonds will be credited to the user's Batao account and may be used for eligible in-app functions, including sending virtual gifts.
Diamonds, virtual gifts, and other virtual items provided through Batao are digital items intended solely for use within the Services. They do not constitute cash, currency, or property with real-world monetary value. Unless expressly permitted by Batao, virtual items cannot be sold, transferred for cash, withdrawn, redeemed, or exchanged for government-issued currency or other real-world monetary consideration.
Purchases and the sending of virtual gifts are available only to users who are 18 years of age or older, or who have reached the applicable legal age of majority in their jurisdiction, where that age is higher.
Unless otherwise required by applicable law or expressly stated by Batao, purchases of Diamonds and other virtual items are considered final and non-refundable once the transaction has been successfully completed. Batao does not generally provide refunds, replacements, or exchanges for completed purchases.
7. Suspension and Termination
To the fullest extent allowed by applicable law, Batao may, at its discretion, temporarily suspend, limit, restrict, or permanently terminate your access to the Services, in whole or in part, and may do so without advance notice where circumstances reasonably require immediate action.
We may take such measures in circumstances including, but not limited to:
You have breached these Terms or violated applicable laws, regulations, or other rules governing your use of the Services;
We have reasonable grounds to believe that you have engaged in fraud, unauthorized activity, abuse, manipulation, or other misuse of the Batao platform;
Continued operation or provision of a particular Service is no longer reasonably possible due to technical issues, security concerns, changes in our business operations, or other legitimate business considerations.
If your account or access to the Services is suspended or terminated, you may also lose access to certain features, functions, virtual items, or other products or services previously purchased through Batao, subject to applicable law and any rights that cannot legally be excluded.
8. Intellectual Property Rights
When you upload, stream, publish, or otherwise make live or user-generated content available through publicly accessible areas of Batao, you grant Batao and its affiliated companies a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use that content.
This license allows Batao and its affiliates to reproduce, store, modify, adapt, translate, publish, distribute, publicly display, communicate, and create derivative works from such content. The license may be exercised through any media, format, platform, or technology currently available or developed in the future, without the need to provide additional notice or compensation to you, except where applicable law requires otherwise.
The Batao platform and its contents, including but not limited to text, designs, graphics, images, data, video, audio, software, logos, trademarks, and other materials, are protected by copyright, trademark, and other applicable intellectual property laws.
Unless these Terms or Batao expressly state otherwise, your use of the Services does not give you ownership of, or any additional intellectual property rights in, Batao's content, technology, software, trademarks, or other platform materials.
9. Disclaimer of Warranties
Your decision to access and use Batao is made at your own discretion and risk. You are responsible for assessing whether the Services are suitable for your individual needs and circumstances.
To the maximum extent permitted by applicable law, Batao does not guarantee that the Services will always satisfy your expectations or operate continuously, securely, accurately, or without interruption, delays, defects, or errors.
The Services are provided “as is” and “as available,” without warranties or representations of any kind, whether express, implied, statutory, or otherwise, to the extent such exclusions are permitted by law. We do not guarantee the completeness, accuracy, reliability, availability, timeliness, or performance of the Services or information made available through them.
To the extent permitted by law, Batao will not be responsible for losses or consequences resulting from your use of, dependence on, or inability to access the Services, including matters relating to service availability, information accuracy, data integrity, delays, or technical performance.
Batao may provide access to third-party websites, services, or content for convenience. Such third-party materials are outside our control, and their availability through Batao does not constitute an endorsement or guarantee of their accuracy, reliability, or suitability. You access and use such third-party resources at your own risk.
Batao will not be responsible for delays, interruptions, or failures caused by circumstances beyond our reasonable control, including events that may qualify as force majeure. Where reasonably possible, we will take appropriate steps to reduce the impact of such events and minimize disruption to users.
10. Governing Dispute Resolution
Any dispute, claim, or controversy arising from or connected with these Terms or your use of the Services, including any matter concerning their validity, interpretation, performance, existence, or termination, shall be submitted to arbitration administered in accordance with the rules of the Singapore International Arbitration Centre (SIAC) that are applicable at the time the arbitration is commenced.
Unless otherwise required by applicable law or agreed by the relevant parties, the arbitration shall be seated in Singapore, and the proceedings shall be conducted in English.
Any party seeking to commence arbitration must follow the applicable filing, notice, and procedural requirements established under the SIAC Rules.
11. Indemnification
You agree, to the extent permitted by applicable law, to indemnify, defend, and hold harmless Batao, its affiliates, business partners, directors, officers, employees, licensors, contractors, and representatives from claims, losses, damages, liabilities, costs, and expenses arising out of or relating to:
Your violation of these Terms or any applicable law or regulation;
Your infringement or violation of the rights of another person or entity;
Your unauthorized, improper, fraudulent, or abusive use of the Services;
Any content, material, communication, or other information that you create, upload, transmit, publish, or distribute through Batao.
These indemnification obligations will continue to apply to the fullest extent permitted by applicable law, including where Batao is subsequently determined to have liability in connection with a legal proceeding, except to the extent such continuation is prohibited by law.
12. Changes to These Terms
Batao may amend, replace, or otherwise update these Terms from time to time at our discretion. Changes may be made to reflect developments in our Services, technology, business operations, security practices, or applicable legal and regulatory requirements.
When revised Terms are published, the updated version will govern your subsequent use of the Services from the applicable effective date.
By continuing to access or use Batao after revised Terms take effect, you acknowledge that you have reviewed and accepted the updated Terms and agree to comply with them.
If you do not agree with any revised provision, you should stop accessing and using the Services.
