A Corporate Legal Advisor plays a critical role in ensuring that a company operates within the boundaries of the law while achieving its business objectives. This position is essential for minimizing legal risks, ensuring compliance, handling contracts, managing disputes, and advising on corporate governance.
Ensure the company complies with laws, regulations, and licensing requirements (e.g., Companies Act, labor laws, tax laws).
Draft, review, and negotiate contracts such as vendor agreements, NDAs, lease deeds, employment contracts, MoUs.
Identify and mitigate legal risks in business operations and transactions.
Coordinate with external lawyers, respond to notices, manage legal strategy in disputes.
Handle trademark, copyright, and patent registration and enforcement.
Conduct legal due diligence, draft share purchase agreements, and advise on structuring deals.
Conduct legal due diligence for:
Investment rounds
Acquisitions or mergers
IPOs
Identify legal risks in contracts, licenses, or statutory compliance.
Represent companies in courts, tribunals, or arbitrations for:
Corporate disputes (e.g., shareholder conflicts, oppression/mismanagement claims)
Insolvency proceedings before NCLT under the IBC (Insolvency and Bankruptcy Code)
Breach of contract cases or employment disputes
Securities litigation or regulatory inquiries (e.g., by SEBI)
Shareholders Agreements (SHA)
Service Level Agreements (SLA)
Employment Contracts
Vendor Agreements
Non-Disclosure Agreements (NDAs)
Term Sheets and MOUs
