TERMS AND CONDITIONS

These Terms and Conditions (“Terms”) govern your use of Ask Visualise Manifest (also referred to as “Ask Visualise Manifest” or “the App”) services (collectively, the “Service”), operated by Gareth Morgan (“we”, “us”, “our”). By downloading, installing, or using the App, you (“user”, “you”, “your”) agree to these Terms. If you do not agree, you must not use the Service.

1. Eligibility

1.1 Age Requirement: You must be at least 18 years of age to use the Service.
1.2 Authority and Capacity: By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms and to abide by all of their conditions.

2. Nature of the Service

2.1 Generative AI: The App employs generative artificial intelligence (“AI”) (e.g. GPT-4 or similar) to provide personalised manifestation guidance, suggestions, and visualisations.
2.2 For Information Only: The Service is designed to provide general information, self-help strategies, and personal development content. It does not constitute professional advice (financial, legal, medical, or otherwise).
2.3 No Guarantee of Results: All guidance and suggestions are provided “as is” without any guarantee or promise of personal, financial, or professional outcome.

3. Subscription and Fees

3.1 Subscription Plans

We offer two subscription tiers, each subject to daily word and token usage limits. For simplicity, we approximate 1 token ≈ 0.75 words, factoring in both user inputs and AI-generated outputs.

1. Light Tier (£9.99/month)

   • Daily Word Limit: Approximately 2,500 words/day (text-only; no image generation)

   • Token Equivalent: ~3,333 tokens/day (since 1 token ≈ 0.75 words)

   • Monthly Token Budget: ~100,000 tokens/month (3,333 tokens/day × 30 days)

   • Notes:

     • This tier is ideal for text-based queries without image-generation needs.

     • The stated word and token limits are approximate and may vary based on actual usage and model behaviour.

2. Premium Tier (£19.99/month)

   • Daily Word Limit: Approximately 5,000 words/day (includes image generation)

   • Token Equivalent: ~6,667 tokens/day

   • Monthly Token Budget: ~200,000 tokens/month (6,667 tokens/day × 30 days)

   • Notes:

     • This tier includes both text-based and image-generation capabilities.

     • The stated word and token limits are approximate and may vary based on actual usage and model behaviour.

3.2 Payment

• By subscribing, you authorise us (or our third-party payment processor) to charge your chosen payment method.

• All subscription fees are payable in advance and are non-refundable except as required by applicable law.

3.3 Auto-Renewal

• Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.

• You will be charged for renewal within 24 hours prior to the end of the current subscription period.

3.4 Price Changes

• We reserve the right to change subscription fees at any time.

• If we do so, we will provide notice to you. Your continued use of the Service after any price change constitutes your acceptance of the new fees.

3.5 Word/Token Limits

• The listed daily and monthly word counts (or token usage limits) are approximate and may vary.

• Contextual Usage: Please note that previous messages in your conversation may be re-sent to the AI model as context to refine responses. This re-sent data can increase your overall token/word usage.

• We reserve the right to impose additional usage restrictions, throttle your access, or charge additional fees if you consistently exceed the stated limits in your subscription plan.

• We may update these word/token limits at any time, and such changes will be communicated to you via email or in-App notifications.

4. Fair Use

4.1 Compliance: You must use the Service in a way that complies with these Terms and all applicable laws.
4.2 Prohibited Conduct: You must not abuse the Service by:

• Attempting to exceed your daily/monthly word or token limits through automated or manual means.

• Circumventing, tampering with, or disabling security or usage controls.

• Using multiple accounts or other methods to bypass usage limits or subscription restrictions.
  4.3 Enforcement: We reserve the right to suspend or terminate your account if we reasonably believe you are in violation of these Terms, including this Fair Use provision.

5. AI-Generated Content and Licensing

5.1 Licence to Us: To the extent that any AI-generated work is copyrightable under applicable law, you grant us a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable licence to use, reproduce, modify, and distribute such AI-generated outputs for the operation, improvement, and promotion of our Service.
5.2 User Involvement: You may incorporate original input or material into the prompts (e.g. custom text, images, or other content). You represent that you have all necessary rights, licences, and permissions to do so.
5.3 Acknowledgement of Uncertain Copyright Status: You acknowledge that the legal status of purely AI-generated content may be unclear or evolving and that we make no representation or warranty regarding the copyrightability of such works.
5.4 Licence to Users: Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to view, download, and use any AI-generated output for lawful personal or internal business purposes (i.e. within your own organisation, not for external sale or distribution).

6. Withdrawal or Modification of Service

6.1 We reserve the right to withdraw, modify, or discontinue the Service (in whole or in part) at any time, with or without notice.
6.2 We are not liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service.

7. User Conduct and Prohibited Uses

7.1 Lawful Use: You agree to use the Service only for lawful purposes.
7.2 Prohibited Content: You must not use the Service to post, generate, or transmit any content that is:

• Illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;

• Promoting self-harm, suicidal ideation, or any encouragement of harm to self or others;

• Violating any third-party rights, including intellectual property or privacy rights.
  7.3 Personal or Sensitive Information: You should not share personal or sensitive information (whether about yourself or others) in the prompts or outputs. If you choose to provide personal data, you represent and warrant that you have the legal right to do so and acknowledge that the Service is not designed to handle sensitive personal data.
  7.4 Self-Harm or Suicidal Content: If you or anyone else are experiencing suicidal thoughts or tendencies, or if you believe you may harm yourself or another person, please seek professional help immediately or contact emergency services. The Service is not a substitute for medical or mental health care.

8. Intellectual Property

8.1 Our IP: All content, features, and functionality on the App—including but not limited to text, graphics, logos, and software—are owned by or licensed to us, unless otherwise noted.
8.2 Reservation of Rights: Except as expressly provided in these Terms, no licence or right is granted to you by implication or otherwise under any intellectual property right owned or controlled by us or our licensors.

9. Disclaimer of Warranties

9.1 As Is, As Available: The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied.
9.2 No Warranty of Accuracy: We do not warrant that the results or outputs obtained from the use of the Service will be accurate, reliable, error-free, or meet your expectations.
9.3 Risk Assumption: Any reliance you place on information from the App is strictly at your own risk.

10. Limitation of Liability

10.1 No Liability for Indirect Damages: To the fullest extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or exemplary damages (including but not limited to loss of profits, goodwill, or data).
10.2 Decisions Based on AI Outputs: We shall not be responsible for any loss or damage arising from your failure to comply with these Terms or from content generated by the AI, including but not limited to decisions you make or outcomes that occur based on such content.

11. Indemnification

11.1 User Indemnity: You agree to indemnify and hold us, our affiliates, officers, agents, and employees harmless from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with:

• Your breach of these Terms;

• Your misuse of the Service, including any prohibited uses;

• Your violation of any law or the rights of a third party;

• Content you generate, submit, or transmit through the Service.

12. Termination

12.1 Termination by Us: We reserve the right to terminate or suspend your access to the Service at our sole discretion, without notice, for any conduct that we reasonably believe violates these Terms or is harmful to others.
12.2 Effect of Termination: Upon termination, your right to use the Service will immediately cease. Any provisions which by their nature should survive termination shall survive termination.

13. Changes to Terms

13.1 Updates: We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this document.
13.2 Acceptance of Changes: Your continued use of the Service after any changes to these Terms indicates your acceptance of such changes. If you do not agree, you must discontinue use of the Service.

14. Governing Law and Jurisdiction

14.1 Applicable Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales.
14.2 Dispute Resolution: Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

15.1 Partial Invalidity: If any provision of these Terms is deemed unlawful, void, or unenforceable, then that provision shall be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions.

16. Entire Agreement

16.1 Complete Terms: These Terms, together with the Disclaimer (see below) and our Privacy Policy (if applicable), constitute the entire agreement between you and us concerning your use of the Service.

2. No Guarantee of Results

   • All guidance, strategies, and suggestions in the App are based on personal development methodologies and AI-generated insights. We do not guarantee that you will achieve any specific outcome or result by using the App.

3. Personal Responsibility

   • You acknowledge that any reliance on information obtained through the App is at your own risk. You assume full responsibility for all decisions, actions, and potential outcomes resulting from your use of the App.

4. Generative AI Limitations

   • The App uses AI technologies (e.g. GPT-4 or similar) that generate content based on patterns in large datasets. While we strive for accuracy and relevance, there is an inherent risk of inaccuracies or errors in AI-generated responses.

5. Copyright Status of AI-Generated Content

   • Due to evolving laws regarding AI-generated works, we make no representation about the copyrightability of purely machine-generated content. To the extent any copyrightable work is produced, it may be owned, licensed, or otherwise controlled as stated in the Terms.

6. No Liability

   • Under no circumstances will we be liable for any losses or damages (including, without limitation, indirect or consequential damages) arising out of or in connection with your use of the App or the AI-generated content.

7. Self-Harm and Crisis Situations

   • The App is not a substitute for professional mental health care. If you or someone you know is in crisis or considering self-harm, please contact emergency services or seek immediate professional assistance.

8. Changes to Disclaimer

   • We reserve the right to modify or update this Disclaimer at any time. By continuing to use the App after we post any changes, you accept and agree to this Disclaimer as modified.
