MoonReach, Inc. Licensed Application End User License Agreement (EULA)
1. Acknowledgment and Acceptance
This Licensed Application End User License Agreement ("EULA") is an agreement between you and MoonReach, Inc. ("MoonReach"). By downloading, installing, or using any application provided by MoonReach ("Licensed Application"), you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Licensed Application.
2. License
MoonReach grants you a non-transferable, non-exclusive license to use the Licensed Application on devices that you own or control, as permitted by the usage rules set forth in the Terms of Service and any applicable third-party terms of agreement.
3. Restrictions
You may not:
Modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Licensed Application.
Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Licensed Application or any part thereof.
Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Licensed Application, or any features or functionality of the Licensed Application, to any third party for any reason.
Remove any proprietary notices from the Licensed Application.
4. Consent to Use of Data
You agree that MoonReach may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. MoonReach may use this information, as long as it is in a form that does not personally identify you.
5. Termination
This EULA is effective until terminated by you or MoonReach. Your rights under this EULA will terminate automatically without notice from MoonReach if you fail to comply with any term(s) of this EULA.
6. No Warranty
The Licensed Application is provided to you "AS IS" and with all faults and without warranty of any kind. MoonReach disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the extent not prohibited by law, in no event will MoonReach be liable for personal injury, or any incidental, special, indirect, or consequential damages whatsoever, arising out of or related to your use or inability to use the Licensed Application, however caused, regardless of the theory of liability (contract, tort, or otherwise) and even if MoonReach has been advised of the possibility of such damages.
8. Export Regulation
The Licensed Application may be subject to US export control laws, including the Export Administration Regulations (EAR). You agree to comply with all applicable international and national laws that apply to the Licensed Application, including the EAR, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments.
9. Governing Law
This EULA will be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law principles.
10. Entire Agreement
This EULA constitutes the entire agreement between you and MoonReach regarding the use of the Licensed Application and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
