ARTICLE 1 – ORGANIZATION OF THE COMPETITION The companies VELDT SAS, headquartered at 84 rue Claude Bernard, 75005 Paris, and MAISON SAGAN, headquartered at 32 Rue d'Argout, 75002 Paris (hereinafter jointly referred to as "the Organizers"), are hosting a call for creative projects entitled the "Veldt x Maison Sagan Creative Challenge" (hereinafter the "Competition").
ARTICLE 2 – PURPOSE OF THE COMPETITION AND ELIGIBILITY The Competition invites students from European design schools to submit an original design applied to a Veldt helmet. Participation in the Competition implies the express and unreserved acceptance of these rules in their entirety (hereinafter the "Rules").
ARTICLE 3 – THE JURY AND WINNER SELECTION Submitted projects will be evaluated by a jury composed of design professionals:
Isabelle Moisy-Cobti (Bureau Isabelle Moisy-Cobti, Co-founder of Bildung Agency)
Marc Armand (Graphic Designer, Co-founder of Feelings)
Jean-Baptiste Levée (Typographer, Founder of Production Type)
Pierre Jeanneau (Graphic Designer)
The jury's decision is final and binding. It cannot be appealed or contested in any way by the participants.
ARTICLE 4 – PRIZE AND ENDOWMENT The first-place winner, selected by the jury, will receive a single financial award of €2,500 (two thousand five hundred euros). This sum will be paid exclusively by VELDT SAS.
ARTICLE 5 – PRODUCTION AND COMMERCIAL EXPLOITATION
5.1. Right of Production: VELDT SAS reserves the right, at its sole and absolute discretion, to select one or more submitted designs for production and commercialization on its website or through its distribution networks. VELDT SAS is the sole decision-maker regarding the choice of designs to be produced, the production schedule, and manufacturing volumes. Winning first prize does not entail an automatic obligation for VELDT SAS to manufacture the design.
5.2. Compensation (Royalties): Should VELDT SAS decide to produce a design, it commits to paying the creator royalties set at 15% of the retail price (excluding taxes and shipping costs) for each helmet featuring their design that is actually sold and paid for. A specific copyright assignment agreement will then be drafted between the student and VELDT SAS to govern this commercial exploitation.
ARTICLE 6 – REPRODUCTION AND REPRESENTATION RIGHTS (COMMUNICATION) By submitting their design, participants grant VELDT SAS and MAISON SAGAN, free of charge, the right to reproduce, represent, adapt, and distribute their project, their full name, and the name of their school, across all media known or unknown to date (including websites, social media, newsletters, exhibitions, POS displays) as well as in the press (PR, advertorials). This authorization is granted worldwide for a period of 10 years from the project submission, solely for the purpose of promoting the Competition, its results, and the corporate communication of the Organizers.
ARTICLE 7 – WARRANTIES AND LIABILITY (INTELLECTUAL PROPERTY)
7.1. Originality: The participant guarantees the Organizers that their creation is strictly original, that they are its sole author, and that it does not in any way constitute counterfeiting, plagiarism, or a violation of a third party's intellectual property rights (copyrights, trademarks, designs, and models) or privacy rights.
7.2. Indemnification: The participant agrees to indemnify and hold VELDT SAS and MAISON SAGAN harmless against any recourse, action, claim, or conviction initiated by a third party alleging a violation of their rights regarding the submitted design.
7.3. Illegal Content: Submissions containing elements that are defamatory, abusive, contrary to public morals, or public order will be immediately disqualified.
ARTICLE 8 – MODIFICATION, POSTPONEMENT, OR CANCELLATION OF THE COMPETITION The Organizers reserve the right to shorten, extend, modify, postpone, or cancel this Competition if circumstances require (particularly in the event of force majeure, technical issues, or an insufficient number of entries). They cannot be held liable for such actions, and no compensation may be claimed by the participants.
ARTICLE 9 – PERSONAL DATA Personal data collected during the Competition is processed by VELDT SAS and MAISON SAGAN solely for the purpose of managing the Competition. In accordance with the GDPR and the French Data Protection Act (loi Informatique et Libertés), participants have the right to access, rectify, delete, and object to their data, which they may exercise by contacting the Organizers.
ARTICLE 10 – APPLICABLE LAW AND DISPUTES These Rules are governed by French law. Any dispute relating to the application or interpretation of these Rules that cannot be settled amicably shall fall under the exclusive jurisdiction of the courts within the jurisdiction of the Paris Court of Appeal.
