1. Agreement
These terms are an agreement between you and Tower Charters, LLC about your use of the PAUT Weld Planner app (the "App"). By downloading, opening or using the App, or by starting a free trial or subscription, you agree to these terms. If you use the App for your employer or another business, you confirm you are allowed to accept these terms for that business, and "you" includes it. If you do not agree, do not use the App.
The App also shows a disclaimer that you must accept before first use. The disclaimer is part of these terms.
2. What the App is - and is not
The App is a planning and training aid for phased array ultrasonic testing (PAUT) of welds. It does not perform an examination and does not inspect anything.
- It does not replace a qualified written procedure, the manufacturers' manuals for your instrument, probes, wedges and software, or the review and sign-off by a qualified Level II or Level III individual that your code, standard, employer or client requires.
- Its results come from a simplified two-dimensional straight-ray model of a flat plate. A predicted "echo" means only that a ray path exists in the model. It is not a prediction that a real flaw will be detected, sized or characterized correctly.
- Some values in the App are placeholders you must confirm (for example wedge front-to-index distance, face tolerance and beam spread).
- Pipe dimensions and the acceptance quick reference are summaries compiled from public sources. They are not the codes or standards themselves, which are copyrighted and change by edition. The App never makes an accept or reject decision for you.
- Nothing in the App is engineering, inspection, legal or certification advice, and using it does not create a professional relationship between you and us.
You are solely responsible for checking every input, setting and result against your equipment, your written procedure and your licensed copy of the applicable code edition; for the qualifications of anyone who relies on the App; and for every inspection decision.
3. License
We grant you a personal, limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your own inspection planning, training and reporting, as allowed by these terms and by the rules of the store you got it from. We keep all other rights.
You may not: copy, sell, rent, lend or redistribute the App; remove its notices; reverse engineer, decompile or disassemble it except where the law allows this despite this restriction; get around its subscription or access controls; or use it to build a competing product.
The scan-plan reports you create with the App belong to you. You may share them as you choose, and they carry the App's planning-aid notice, which you agree not to remove.
4. Subscriptions, free trial and billing
- Plans. The App offers yearly auto-renewing subscriptions, currently: Planner (the Planner tab) and Everything (all features). Prices, and whether a plan includes a free trial, are shown on the subscription screen and in the store before you buy, in your local currency.
- Free trial. If a plan includes a free trial and you are eligible (the store decides eligibility, usually one trial per store account), you will be charged the plan price when the trial ends unless you cancel at least 24 hours before it ends.
- Billing and renewal. Payment is charged to your Google Play or Apple account when you confirm the purchase (or when the trial ends). The subscription renews automatically each year at the then-current price unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within the 24 hours before the period ends.
- Cancelling. Manage or cancel in your Google Play or Apple account settings. Uninstalling the App does not cancel. After cancelling, you keep access until the end of the period you paid for.
- Refunds. Purchases are processed by Google or Apple, and refunds follow their policies. Apple refund requests: reportaproblem.apple.com. Google Play: play.google.com/store/account/orderhistory or Google Play Help. We cannot issue refunds for purchases made through the stores.
- Price changes. We may change subscription prices. Changes apply from your next renewal and only after the notice (and, where the store requires it, the consent) that Google or Apple requires. If you do not agree, cancel before the change takes effect.
- Changes to features. We may add, change or remove features. If we remove a substantial paid feature during a period you have paid for, you may ask the store for a refund under its policies.
5. Acceptable use
Use the App lawfully and only for its intended purpose. Do not use it in a way that could damage the App or the stores, or present its results as a completed examination, a code-compliance certification, or a manufacturer-approved setup.
6. Intellectual property and third-party names
The App, its design, text, graphics, code and the arrangement of its data are owned by Tower Charters, LLC or its licensors and are protected by copyright and other laws. Names such as ASME, AWS, API, ASTM, ASNT, Evident and Olympus, and their product names, belong to their owners. They are used only to identify the documents and products the App refers to. The App is not affiliated with, endorsed by or sponsored by any of them. No code or standard text is reproduced in the App.
7. No warranty
To the fullest extent the law allows, the App and everything in it are provided "as is" and "as available," without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, or that the App will be uninterrupted or error-free. Some places do not allow some of these exclusions, so some may not apply to you.
8. Limitation of liability
To the fullest extent the law allows:
- We are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, data, goodwill, rework, repair or replacement costs, downtime, or the cost of any inspection, re-inspection or failure, arising out of or related to the App, its results, reports created with it, or these terms - however caused and even if we were told they might happen.
- Our total liability for all claims related to the App or these terms is limited to the amount you paid for the App in the 12 months before the claim arose, or US$50 if you paid nothing.
- Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law - for example liability for intentional or gross fault, or for physical injury, where the law does not allow it to be excluded.
9. Indemnity
To the fullest extent the law allows, you agree to defend, indemnify and hold harmless Tower Charters, LLC, its owners, managers, employees, contractors and assigns from any claims, liabilities, damages, losses, costs and expenses (including court costs and reasonable attorney fees) arising out of or related to your use of the App or its results, reports you create with it, your inspection work, or your breach of these terms.
10. Store terms - Apple
If you got the App from the Apple App Store, the following also applies:
- These terms are between you and Tower Charters, LLC only, not Apple. We, not Apple, are solely responsible for the App and its content.
- Your license is limited to using the App on Apple-branded products you own or control, as allowed by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may also be accessed by other accounts associated with you through Family Sharing or volume purchasing if available.
- Apple has no obligation to provide maintenance or support for the App. Support questions go to us at the contact below.
- If the App fails to conform to any warranty that applies despite Section 7, you may notify Apple and Apple will refund the purchase price (if any) for the App to you. To the maximum extent the law allows, Apple has no other warranty obligation for the App, and any other claims, losses, liabilities, damages, costs or expenses from a failure to conform to a warranty are our responsibility, subject to these terms.
- We, not Apple, are responsible for addressing any claims by you or a third party relating to the App or your use of it, including product liability claims, claims that the App fails to meet legal or regulatory requirements, and claims under consumer-protection, privacy or similar laws.
- If a third party claims the App or your use of it infringes its intellectual property, we, not Apple, are responsible for investigating, defending, settling and discharging that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with any applicable third-party terms (for example your wireless data plan) when using the App.
- Apple and its subsidiaries are third-party beneficiaries of these terms, and once you accept them Apple may enforce them against you as a third-party beneficiary.
11. Store terms - Google Play
If you got the App from Google Play, Google Play's Terms of Service also apply to your purchase, and Google, not us, processes payments and refunds.
12. Termination
These terms apply until ended. Your rights end automatically if you break them. You may stop at any time by deleting the App and cancelling any subscription. Sections 2, 6, 7, 8, 9, 13 and 14 survive the end of these terms.
13. Governing law and venue
These terms are governed by the laws of the State of Louisiana, without regard to conflict-of-laws rules. Venue and jurisdiction for any dispute lie exclusively in the 19th Judicial District Court, Parish of East Baton Rouge, Louisiana, except where the law of your place of residence gives you a right to bring a claim elsewhere that cannot be waived.
14. General
- Severability. If a court finds any part of these terms invalid or unenforceable, that part will be limited or struck only as much as needed, and the rest stays in effect with its original meaning and intent.
- Entire agreement. These terms, the in-app disclaimer and the Privacy Policy are the whole agreement about the App.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not transfer these terms. We may transfer them with the App or our business.
- Changes. We may update these terms. We will post the new version with a new effective date and, for material changes, tell you in the App. Continuing to use the App after a change takes effect means you accept it.
