CONSTITUTION AND BYLAWS
CONSTITUTION
I. Name and Purpose
a. The name of the club shall be the “Valley Vintage Car Club.”
b. A nonprofit corporation incorporated under North Dakota law, whose purpose shall be the preservation, restoration, and admiration of all antique, vintage, and special interest vehicles.
II. Membership
a. Any person interested in the purposes of the VVCC is eligible for membership.
III. Board of Directors
a. There shall be a board which consists of president, vice president, secretary, treasurer, six directors, and the past president. All VVCC members are welcome to board meetings on an advisory basis, with the board carrying the only votes. The board is responsible for appointing a member to fill an unexpired board position.
IV. Duties
a. The president shall preside at all meetings of the membership and the board. In the absence of the president, the order of presiding shall be vice president, secretary, and treasurer. The president shall appoint committee chairs. The president also shall have power to decide all questions of equal division.
b. The vice president will coordinate with the president in arranging programs for monthly meetings and will schedule serving of refreshments at meetings.
c. The secretary shall keep minutes of all meetings, other records, and official correspondence.
d. The treasurer shall keep account of all fund handled by the club, deposit all funds in a chartered bank, and sign all checks. The treasurer shall maintain a list of all club assets. The treasurer shall be responsible for keeping the list of membership and addresses up to date.
e. The historian/librarian will be the custodian of publications and reference books owned by the club; will additionally be charged with maintaining a pictorial and written chronology of club events for the club; and is encouraged to attend board meetings.
f. The editor will be responsible for the production of the club’s newsletter and is encouraged to attend board meetings.
V. Amendment
a. Amendments to this constitution shall be by two-thirds majority of those voting.
b. Amendment shall be moved at a regular meeting, but shall not be voted on until the next meeting. Amendments may be voted on by mail ballot.

I. Membership
a. Member: Any eligible person interested in promoting the purpose of this club shall be entitled to all privileges of the club, including the right to vote and hold office.
b. Paid membership includes member, spouse, and dependents under the age of 18.
II. Nominations
a. A nominating committee shall be appointed by the president for purpose of drawing up a list of candidates for the offices of president, vice president, secretary, treasurer, and board members. Nominations may also be proposed from the floor by the general membership.
b. Term of the officers shall be one year. Term for directors will be two years, three being elected annually.
c. Officers and board will be elected at the November meeting each year.
d. Only paid-up members will be eligible for nominations and eligible to vote.
e. The board shall appoint the editor, monthly program chairman, and historian/librarian.
III. Dues
a. Yearly dues for members shall be set by the board.
b. Membership year shall be a calendar year.
c. Membership dues for the ensuing year shall be payable on or before January 1.
IV. Meetings
a. Regular meetings of the membership and meetings of the board will be held monthly at a place and time designated by the board. General membership meetings exclude the month of December.
b. Special membership meetings may be called with not less than 10 days written notice to the members.
V. Rules and Regulations
a. All questions will be governed by straight majority vote, which may be by a show of hands, roll call, or ballot as decided by the president.
b. Any member in good standing is entitled to one vote on any motion.
c. Proxy votes are prohibited.
d. A club newsletter shall be published every other month for all members.
