BYLAWS

CATHERINE J. RANDALL SCHOLARS PROGRAM

ARTICLE I – NAME

The name of the organization shall be the CATHERINE J. RANDALL SCHOLARS

PROGRAM.

ARTICLE II – PRINCIPAL OFFICE

The Honors College at The University of Alabama shall serve as the Academic Home for

the Catherine J. Randall Scholars Program.

ARTICLE III - ORGANIZATION PURPOSE

Section 1. Vision

To recognize outstanding student scholars at The University of Alabama based on GPA,

rigor of course study and extraordinary scholarly endeavor.

Section 2. Mission

A. To promote and reward young scholars through the awarding of scholarships.

B. To host an annual dinner honoring the Catherine J. Randall Premier Award

recipient and welcoming the recipient into the Randall family of scholars.

C. To foster a community among the Randall family of scholars, which includes

former Catherine J. Randall Premier Award recipients, as well as friends and

family of Dr. Catherine J. Randall.

ARTICLE IV – BOARD MEMBERSHIP

Section 1. Members

The Catherine J. Randall Scholars Program Board will initially be composed of seven (7)

members but no more than twenty (20) members, in addition to its Honorary and

Privileged Members (defined in Section 2, below). Members shall include

representatives of the Randall family, former recipients of the Catherine J. Randall

Premier Award, University Administrators and Faculty/Staff, and others as the Board

determines are needed in the future. The Dean of the Honors College shall always serve

as a member of the board.

Section 2. Honorary and Privileged Members

Dr. Catherine J. Randall and members of her family shall hold the title of Honorary and

Privileged Members of the Board.

Section 3. Election

A. New Board members shall be elected during one of the official annual meetings

of the Board (see Article V, below). Election shall require the vote of a majority

of Board members present at the meeting.

B. Board members shall be informed a minimum of two (2) weeks prior to a

scheduled meeting of the Board that elections will take place during that meeting.

C. Board Members shall serve staggered terms of three years.

D. Board members can be reelected.

Section 4. Responsibilities

Board members are responsible for promoting academic pursuits of student scholars and

fostering a community among the Randall Family as defined above. Board members

must:

A. Attend the annual Randall Award Banquet, and

B. Attend two (2) annual Board meetings, always including the annual meeting on

the night of the Banquet (see Article V, below).

Section 5. Officers

A. The officers of the Catherine J. Randall Scholars Program Board shall be one or

more Chairs and a Secretary. All officers shall be elected by a majority of the

Board.

B. The Chair(s) shall always be a former recipient of the Catherine J. Randall

Premier Award.

Section 6. Dues

Any dues, or changes in the amount of previously established dues, shall be determined

by a majority of Board members present at an officially scheduled meeting of the Board.

ARTICLE V. MEETINGS

A. Meetings shall be held as needed but no less than twice annually, with one

meeting occurring on the day of the annual Banquet welcoming the newest

Catherine J. Randall Premier Award recipient into the Randall Family.

B. Board members shall be given two (2) weeks’ notice prior to each regularly

scheduled meeting of the Board.

C. Board members may attend meetings remotely via phone or Skype if unable to

attend in person.

ARTICLE VI. SUBCOMMITTEES

A. A majority of the Board shall approve and appoint, during any of the official

annual meetings of the Board, subcommittees to schedule and organize events,

speaker series, etc. to further the Organization Purpose (see Article III, above).

B. Subcommittees may include non-members of the Board.

ARTICLE VII. AMENDMENTS TO THE BYLAWS

Amendments to the Bylaws may be established by a vote of a majority of the Board

members present.
