BY-LAWS OF THE NORTHEAST DISTRICT

MEMBER OF THE

FEDERATED GARDEN CLUBS OF MISSOURI, INC.

ARTICLE I - NAME

The name of this organization shall be Northeast District of the Federated Garden Clubs of Missouri, Incorporated.

ARTICLE II - OBJECTIVES

Section 1. To coordinate the interest of the garden clubs of the district and bring them into a closer Relationship of mutual helpfulness by association, conferencing correspondence.

Section 2. To aid in the protection and conservation of natural resources, to protect civic beauty, And encourage the improvements of roadsides and parks.

Section 3. To advance the fine art of gardening, landscaping design, and the study of horticulture.

Section 4. To operated on a non -profit basis for civic purposes and to restrict the activities of the District so that it shall not be used or operated for private profit.

Section 5. To cooperate with other agencies, furthering the interest of horticulture and Conservation.

ARTICLE III-MEMBERSHIP

Section 1. Any garden club in the district, interested in the objectives of the Federated Garden Clubs of Missouri, Inc. and having a membership of either (8) or more, shall be eligible for Membership in the Northeast District of the Federated Garden Clubs of Missouri, Inc.

Section 2. A garden club shall apply through the District Director for membership in the Northeast District.

ARTICLE IV-DUES

Annual dues shall be paid to the District Treasurer on or before the first (1st) of November for the next fiscal year,

beginning January 1 to December 31. A list of club membership and Addresses shall accompany the dues.

ARTICLE V-OFFICERS AND DUTIES

Section 1. Elective officers of the District shall be Director, Assistant Director, Secretary, and Treasurer.

Section 2. Director shall perform the duties as listed on pages 63-67 in the Revised 2011 Garden Club Manual.

Section 3. Assistant Director shall perform the duties as listed on Page 65 in the Revised 2011 Garden Club Manual.

Section 4. Secretary shall perform the duties pertinent to that office.

Section 5. Treasurer shall perform the duties as listed on Pages 20,65, 89, 93 and 115 in the Revised 2011 Garden Club Manual.

Section 6. All accounts shall be audited biennially and reported at the Annual District Meeting by an Auditing

Committee appointed by the Director.

Section 7 In case of vacancies in elective officers, other than the Director, the Board of Directors Shall elect a person to fill the remaining term.

ARTICLE VI-NOMINATION, ELECTION, AND TERM OF OFFICE

Section 1. A Nominating Committee, three (3) members will be elected on the even year at the Annual District Meeting. The committee will present a slate of candidates for action at the Annual District Meeting on the uneven numbered year.

Section 2. All terms of office shall be for two (2) years.

Section 3. The newly elected officers shall assume their duties at the end of the installation meeting.

Section 4. Each officer shall deliver to her successor all books, records and papers belonging to her office within one (1) month of the expiration of her term.

Section 5. A candidate of Director shall have served on the District Board for at least a term, have attended two (2) district meetings and one (1) state Convention.

Section 6. No officer shall succeed herself except the Treasurer.

Section 7. The District Director will appoint an assistant Treasurer with the cooperation of the treasurer. She should be from the same club.

Section 8. To be eligible for election, the member must have served at least one full term as a memberof the Board of Directors of Federated Garden Clubs of Missouri, Inc. and have attended one annual convention within the past two (2) years. Page 27

ARTICLE VII-MEETING

Section 1. The Board of Directors should hold one (1), if possible, two (2) meetings a year.

Section 2. The District Meetings which shall include all garden Club members shall be held.

Section 3. The place of the meeting is by invitation with in the District and the date determined at the Meeting of the District Directors held at the previous year’s State Fall Board Meeting.

Section 4. The District Director and the Hostess Garden Club Committee shall plan the meeting and decide the registration fee to include hospitality for guest, meals, decorations, programs, etc. Guests shall include the sate President, District Director, Speaker and such other persons as my be established.

Section 5. District Director shall send a “Call” to all Garden Clubs in the District, State Executive Committee and such guests as have been determined.

Section 6. The President or her representative from each club shall attend the meeting and submit six (6) written copies of the activities of her club for the current year. One for each Club President, District Director and District Secretary.

Section 7. Each District Chairman may give an oral report of her activities limited to two (2) minutes.

Section 8. The District Director shall preside at the meeting. It is advisable to prepare an agenda.

ARTICLE VIII - BOARD OF DIRECTORS

Section 1. The Board of Directors shall consist of the elected officers, Chairman of standing Committees, Club Presidents, and the Last District Director.

Section 2. A quorum of Directors shall be two (2) officers and ten (10) other board members.

Section 3. The Executive Committee shall be empowered to transact business at the Northeast District between Annual District meetings. the Executive commite consists of the Elected and appointed officers, including the past district director and the Presidents of the clubs. A quorum of over 50% is needed to approve business.

Section 4. The recommendations of the Executive Committee shall be read at the next Annual District Meeting.

Section 5. When a meeting is not possible, a poll of the Executive Committee may be taken by written, vocal or electronic device communication with prior approval of the Director. The results to be reported int he next Executive Committee meeting minutes. A two -thirds vote in such action shall be necessary for adoption.

ARTICLE IX - PARLIAMENTARY AUTHORITY

The rules contained in “Roberts Rules of Order-Revised” shall govern the Northeast District in all Cases.

ARTICLE X-METHOD OF AMENDING BY-LAWS

Section 1. These Bylaws may be amended at any District Meeting by a 2/3 vote of the voting body present, provided the amendment shall have been sent in writing to each club at least thirty (30) Days prior to the District Meeting.

Section 2. Without such notice, Bylaws may be amended at the District Meeting by unanimous vote.

ARTICLE XI - STANDING RULES

Section 1. Annual dues shall be two dollars and twenty-five ($2.25) per member and must be paid To the District Treasurer on or before November 1st of each year.

Section 2. Twenty-five cents ($.25) per member of the annual dues collected shall be used to defray the expenses of the District Director. The Treasurer shall send a check to the Director by November 10th each year during her term of office. The remaining monies collected shall be placed in the District Account for District Expenses.

Section 3. Each retiring Director will be given a State Life Membership Costing fifty dollars ($50.00) or a gift of equal value. This is the responsibility of the Assistant Director Director and shall be presented at the last meeting.

Section 4. The District will pay the District Director for State Convention expenses yearly not to exceed one hundred and fifty dollars ($150.00).

Section 5. The Hostess Garden Club for the Annual district Meeting shall be determined by Alphabetical order of the club names. A new club shall hostess in the next alphabetical round.

Section 6. At the annual Meeting the Hostess Garden Club shall furnish coffee and cakes for the Social Hour, all decorations and favors (if any), corsage or gift for the State President and District Director.

Section 7. The District shall pay for the Guest speaker (not to exceed $100.00 in the fall or $50.00 in the spring) if needed, rental for meeting place, printing of programs, meals for the State President, District Director, Guest speaker, and any incidental expenses incurred by the District Director.

Section 8. A copy of the District adopted budget and reports of the Treasurer will be given to the District Director, Assistant Director, Secretary and Garden Club Presidents.
