The Secretary Treasurer of the Division shall disburse those funds authorized by the Board only by cheques signed by the Secretary Treasurer and countersigned by the Chairperson, the Vice-chairperson or some other member of the Board appointed for that purpose. (See also Exhibit BBC-E1.)
Prairie Spirit School Division enters into many foundational and operational contracts to support students, staff and communities throughout the Division. The Board of Trustees authorizes the signing of all contracts and agreements.
Foundational agreements and contracts are those that affect the entire Division. These require Board approval and the signature of at least the Chairperson of the Board of Trustees. Examples of these agreements are Education Agreements, Board Meeting Minutes, Collective Agreements, Audited Financial Statements and Debentures. The Vice-chair of the Board of Trustees, acting in the Vice-chair’s capacity may sign in the Chair’s absence.
Operational agreements and contracts support the ongoing operations of the Division. Examples of these agreements are lease and rental agreements, clinician contracts, bank agreements, cheque signing and insurance documents. For these documents, the Board of Trustees has delegated signing authority to officers of the Division. These signing officers always include the Secretary-Treasurer and/or the Superintendent.
These contracts and agreements as listed above may be executed in any number of counterparts, including by way of facsimile or electronic transmission, each of which counterparts, whether by facsimile, electronic or otherwise, shall for all purposes be deemed to be original, and all such counterparts shall together, constitute one and the same resolutions.
