Chapter By-Laws

Article I – Identification

Section 1
Name:
The name of the student organization shall be the “University of Guam Society for Human Resource Management Student Chapter (SHRM)”

Article II – Purpose

Section 1

The purpose of the chapter shall be as follows:


To achieve these purposes, there shall be no discrimination in individual membership or chapter affiliations because of race, color, religion or belief, national origin, ethnic background, age, veteran status, sex, sexual orientation, gender identity, disability status, family, or parental status.

Article III – Membership

Section 1   

A member may be any undergraduate, graduate, or special student enrolled either part-time (less than 12 credit hours) or full-time (12+ credit hours) per term in a degree-seeking program at the University of Guam.

All Society members must meet these requirements in order to meet “Good Standing” within the organization:


Section 3:
Changes in dues: Changes in dues may be made by a special vote of the majority quorum by members present at any regular or special meetings.

Article IV Officers


Section 1: 

The executive officers of the society, who shall be elected, shall be the President, Vice President, Treasurer, Secretary, PRO, and other such offices may be deemed necessary in the course of business. Multiple offices may be held by the same person with the approval of the Executive Offices and Advisor(s).


Section 2:
All elected officers shall be chosen by plurality vote.  Each officer shall assume office at the first meeting of the Fanuchånan (Fall) semester, having been elected at the end of the Fañomnåkan (Spring) semester, and shall hold office for one academic year.

Article V – Election and Balloting


Section 1:
Election of the Officers

Officers will be elected by the end of the Fañomnåkan (Spring) semester. Any member, who is a member in good standing as referred to in Article III of this document, may be nominated to run for office. Nominations may be taken from the floor, or by anonymous nominations through online services (i.e. Google Forms, Microsoft Forms). Nomination period shall span a period no-less than five (5) days. Elections shall take place either physically in-person, or virtually through such services referred previously, as seen fit by the Executive Officers and Advisor(s). All votes shall be casted anonymously. Election period shall span a period no-less than five (5) days.

Section 2:
Election Decision

A. Votes required for election: All officers shall be elected on the basis of plurality of the nominees for a given office.  The nominee receiving the greatest number of votes of the total list shall be declared elected.

B. Tie Votes: In the event of a tie vote, successive balloting shall be conducted until one nominee receives a plurality.

Section 3:
Vacancies

A. In the event that any office of the society becomes vacant during the course of the year due to graduation, withdrawal from the society, or by resignation, such vacancy may be filled by appointment of the President with the approval of the Executive Offices and Advisor(s).

B.  An officer appointed to fill a vacancy shall hold the offices during the remaining term of his or her predecessor and until regular elections are held.

Article VI – Meetings of Members


Section 1
Meetings shall be held as scheduled by the Executive Offices.

 Special meetings may be called at any time by the President.

Notice of Meetings

Notice of General Membership meetings to include date, time, and location of each meeting shall be disseminated to all members through social media (UOG SHRM Instagram, Facebook, and WhatsApp Groupchat), word-of-mouth, UOG SHRM Bulletin Board, and any other method seen fit by the Executive Officers and Advisor(s).


Section 4
Presiding Officers:

The President, or in his/her absence, the Vice President, shall preside as Chairperson at all meetings of the Society.  In the absence of these officers, a Chairperson shall be appointed by the members present.

Section 5
Voting eligibility:
Every member of the Society in good standing shall be entitled to one vote on any matter of the Society’s business to be based upon vote.


Signing requirements
In case of any restrictions or States-of-Emergencies, as so ordered by a Governor’s Executive Order, that hinders in-person interaction, the use of electronic signatures to indicate member agreement and consent is permissible provided that the member displays clear intention to sign the document.


Section 6

Eligible members

A member shall be in good standing when he or she meets membership requirements and has met all dues required.

Article VII – Duties of Officers


Section 1
President

Shall preside at all meetings of this chapter; shall act as chairperson of the Executive Council; and shall be an ex-officio member of all committees except the Nominating Committee.  The president shall generate and update the chapter mission statement and annual goals/objectives.  The president shall appoint chairpersons for standing and temporary committees, and shall administer the business of this chapter between regular meetings, exercising authority consistent with the powers given in the bylaws.

Section 2

Vice President

Shall perform the duties of the president in the event of their absence, disability or at the president’s request.  If the office of the president becomes vacant, the vice president will temporarily act as president of this chapter. The chapter membership will then nominate and vote on a permanent replacement for the president.  Shall also be responsible for coordinating the semester calendar of events for the chapter.



Section 3

Secretary

Shall take minutes of meetings, distribute meeting agenda and previous meeting minutes, circulate sign-in and sign-up sheets at meetings and events, make copies available of relevant announcements, scholarship forms, and any other materials for distribution at chapter meetings. The secretary shall also distribute all announcements, meeting agenda and minutes for chapter members.


Section 4

Treasurer

The treasurer has the responsibility for gathering, distributing and managing the chapter’s funds.  Sound chapter operations require the establishment of and adherence to realistic budgets. All officers should be informed of funds budgeted for chapter activities prior to planning for the year.



Section 5

Public Relations Officer (PRO)

The Public Relations Officer has the responsibility to collect and preserve information that provides a clear and concise record of all chapter activities for the year. This duty includes the managing of social media, the student chapter’s website, updating of the WhatsApp group, SHRM board, and announcements in room 111. The PRO holds the responsibility of advertising SHRM events through word of mouth, social media platforms and flyers approved by the President or Vice President.


Section 6

Student Relations Officer (SRO)

The Student Relations Officer has the responsibility of welcoming new and retaining existing members. This duty includes recruiting from HR classes, providing forms for joining SHRM National, and assisting and mentoring students in ways that enrich their chapter membership experience. 

Article VIII – Committees

Committees may be appointed by the President as may be necessary to successfully conduct the business of the Society.

Article IX – Amendments to the By-Laws 

This code of by-laws may be altered, amended, or repealed, at any meeting of the members of the Society by a majority vote of the members voting at such meetings.
